Step by step

A free zone setup is not six counters like the mainland. It is one authority wearing five hats, and that is both the whole sequence and the whole risk.

On the Dubai mainland a formation passes through an economic department, a notary, a landlord, a recording system, a chamber and two immigration bodies.

One relationship, not six counters

You are about to pay a deposit and what you want is the order of work. The order itself is short and it is published. What decides how this project actually goes is something nobody puts in the brochure: inside a free zone, every test your file has to pass is applied by the same organisation.

Set that against a Dubai mainland formation, where the work is split across bodies that do not consult each other. The Department of Economy and Tourism licenses the activity. A notary attests the company's constitution. A private landlord signs the lease and a separate system records it. A chamber takes the membership. Immigration and labour permissions sit with federal and emirate-level authorities of their own. Six relationships, six failure points, and a great deal of time spent with one body waiting on another.

A free zone collapses that into one counterparty. It licenses you, it leases you the premises, it holds the company's constitution and its record of shareholders, it operates the channel through which your staff get permits, and it decides every year whether you may carry on. That is why the sequence is short. It is also why a single disagreement in this project reaches further than founders expect.

The five roles, and what each one tests

Read the sequence as five tests rather than as a list of steps, because the tests are what actually refuse things.

The hat it is wearingWhat that test asksWhat it holds for as long as the company exists
LicensorWhether the zone licenses this activity at all, in its own wordingActivity scope
LandlordWhich premises class you takeThe premises, and the visa ceiling attached to it
Incorporating bodyThe constitution and the shareholder record it holds for youConsent to a change of shareholder
Immigration channelThe entity-level file that exists before any per-person permitVisa capacity
Annual renewal gateThe licence, the lease, dues, filings, and audited accounts in several zonesThe exit

Two things follow. The good one is that nothing in this project waits for one authority to answer another, which is most of what makes a mainland file slow. The uncomfortable one is that there is no second body to appeal to, because the second body is the same body.

Those five roles add up to a set of standing powers rather than a set of steps, and it is worth seeing them as a list of what the authority controls for as long as the company exists — premises, activity scope, visa capacity, consent to a change of shareholder, and the exit. What a free zone authority actually controls sets that list out on its own terms.

The sequence, and what is already spent when the next step says no

The published order is correct. What the published order does not tell you is where your money already is when each test runs.

Step five is the real decision point and it is the one most founders skip past. Initial approval is the zone saying, in principle, that it will license this activity to these shareholders. Before it, a refusal costs you a name fee and an afternoon. After it, every refusal lands on top of a lease, a licence fee and in many cases an offer letter. The setup clock starts at a complete file, not at your deposit explains why the advertised turnaround describes step seven onwards and nothing before it.

Step six deserves the same suspicion. The package tier is normally sold to you before anyone has asked how many people you will sponsor in year two, and the tier is what fixes the ceiling. Decide the headcount, then buy the tier. Doing it the other way round is the single most common self-inflicted problem in this sequence.

What actually gets refused, and the step where it was caused

A refusal almost never has its cause at the step where it appears. That gap is why founders experience refusals as delay.

The document row is the one that costs the most time for the least interesting reason. Anything issued abroad has to travel through a legalisation chain before a UAE authority will rely on it, and the chain does not accept a shortcut. Forming a UAE company from outside the country sets out that chain step by step and what a power of attorney can and cannot carry through it, and a UAE formation does not fail slowly; it is refused at a named gate works the same failure map across mainland files as well.

The practical version of that row is a list of items and the exact state each one has to arrive in, including the three that somebody else writes for you: the documents a Dubai free zone actually asks for is worth reading before the pack is assembled rather than after the first item comes back.

The refusal that does not look like one

A zone can put an activity on your trade licence that a second authority still has to permit before you may perform it. Health, education, financial services, virtual assets, transport, food and several others sit this way. Nothing is refused. The licence arrives, the invoices go out, and the problem surfaces when a corporate client asks for the sector permission and there is none. The activities a second authority has to approve lists which ones behave like this, and the honest test is to ask the zone in writing whether its licence is by itself sufficient permission to perform the activity, and to keep the answer.

The refusal you cause by hiring first

The visa ceiling attaches to the premises class, not to the licence and not to how many people you actually need. A flexi-desk supports a small number of permits, an office scales with floor area, and an industrial unit scales with the facility. Founders discover this at step nine, having made offers at step six. Dubai free zone visa: a step-by-step guide covers the per-person sequence, and our visa services page covers the entity-level file that has to exist before any of it starts.

One counter means one point of failure

This is the part the sequence does not show you, and it is the reason the single-authority model is worth understanding before you sign rather than after.

the single-authority model, judged honestly on both sides

What one counterparty gives youWhat the same counterparty costs you

  1. SpeedNothing waits for one authority to answer anotherThere is no second body to appeal to, because it is the same body
  2. RelationshipsOne counterparty instead of six, and six failure points become oneA single disagreement reaches further than founders expect
  3. PremisesThe lease and the licence come from the same handsA dispute over the premises sits with the body that renews you
  4. The company recordNo notary, and no separate system to record the leaseConsent to a change of shareholder sits with your licensor
  5. RenewalOne gate, one date, and five tests you have already met onceNever let a commercial dispute sit unresolved into a renewal window

None of that is an argument against a free zone. It is an argument for two habits: keep the relationship with the zone in writing, and never let a commercial dispute sit unresolved into a renewal window. Moving between free zone and mainland after you have chosen sets out what leaving actually involves, which is more than founders assume.

What your zone does not decide

Five tests belong to the zone. Several decisions that matter more than any of them do not.

where each gate in this project actually sits

The zone

  • The activity on the trade licenceStep seven, and again every year
  • The premises class, and the visa ceiling it carriesStep six, before the headcount is known
  • Consent to a change of shareholderWhenever the shareholding moves

A sector regulator

  • Permission to perform the activityBefore the first invoice, not after it

A Cabinet decision

  • Designated Zone status for VATFixed before you chose the zone

The federal corporate tax system

  • Whether a corporate tax relief appliesA conditional test, run annually

The bank

  • The bank accountOutside the zone's chain entirely

Customs

  • Customs codes for moving goodsAfter the trade licence, in no package

The tax row is the one that still gets misstated in this market. A free zone company is inside the federal corporate tax system like everyone else; what a zone can support is a conditional annual relief with its own tests, not an exemption. Which free zone benefits survived the reforms separates what is still true from what is repeated out of habit, and our corporate tax page covers how the qualifying test is actually run. For goods, customs codes and moving goods after the trade licence covers the step that is not in any package, and your intellectual property sits outside the licence file covers the brand.

Renewal is the same five tests, run by the same body, every year

The sequence above is not a one-off project. It is the first pass through a cycle.

Each year the zone re-tests the licence, the lease, your dues, your filings and, in several zones, audited financial statements. Beneficial ownership and shareholder records have to be current, and changes are notifiable within a short window — a share transfer, a new manager, even a renewed passport, because those records carry passport details. Each person's permit runs on their own date rather than the company's, and a renewal brings the medical fitness step back, which is a physical act nobody can perform on someone's behalf.

The licence date is the one everything else hangs on, because a work permit is tested against a licence that is valid and free of violations. The UAE renewal date everything else hangs on sets out what stops when it slips. Audited accounts are worth arranging before the renewal window rather than inside it, and our audit and accounting page covers what the annual obligation involves.

Where a free zone is the wrong place to run this sequence

The sequence being short does not make the structure right.

Wrong if your customers are on the Dubai mainland. A zone licence does not reach them, and the routes that do — a mainland distributor, a branch licensed by the economic department, a permit for specified activities — each cost margin, a second licence or both. The only UAE customer a free zone licence already reaches is worth reading before the zone is chosen, not after.

Wrong if a sector regulator already holds your activity. Then the regulator has effectively chosen your jurisdiction, and shopping zones on price is wasted effort. Ask the regulator where it will authorise you and work backwards.

Wrong if you chose the zone before you fixed the activity. Go back to step one. Everything downstream of a wrongly chosen zone is either a refusal or a second company, and seven decisions you make in week one and cannot undo in year two explains which of those choices genuinely cannot be reversed.

Wrong if the plan needs a bank account by a fixed date. The bank is not in the zone's chain and answers to nobody in it. If a contract, an investor or a payroll depends on an account by a particular week, that is a risk to raise now, and our bank account opening page is honest about what can and cannot be promised.

Wrong if the cheapest package is the deciding factor and you intend to hire. The tier that wins on price is usually the tier that caps your permits, and discovering that at step nine costs more than the difference ever saved.

Wrong if you need the licence to be a residence permit. It is not one. A licence lets a company sponsor people through a separate file with its own tests, and a trade licence is not a golden visa covers what it does and does not entitle you to.

What we would want before quoting this work

The activity in the words you will actually use with a customer, so it can be matched against a zone's own list and checked for a second authority. The headcount you expect to sponsor in year two, because that and not the licence decides the premises tier. Where the shareholders are, and whether any shareholder is a company, because a corporate shareholder puts the legalisation chain on the critical path from day one. Whether anyone joining the company already holds a UAE permit under another sponsor. And where the revenue comes from, because a mainland customer base changes the answer to the whole question rather than one step of it. Our free zone company page carries the structural detail behind all of this, and mainland company covers the alternative honestly.

Frequently asked questions

Which step is the one that goes wrong most often?

Step six, the premises or package tier, because it is sold before the headcount decision that should drive it. Step one is the more expensive error when it happens, but it is rarer, because most founders at least know what they intend to do — they just do not know the zone's own wording for it.

The zone quoted a few working days. Was that misleading?

No, and it answers a different question. That figure describes licence issue once the file is complete, and the condition is doing most of the work in that sentence. It excludes document legalisation abroad, any second authority's approval, premises fit-out, per-person permits and the bank — which is where months actually go. Read every published turnaround the same way: as the length of the last step rather than the length of the project.

Do I have to be in Dubai for any of this?

Not for the company. The licence is issued against a complete file, and an attorney can sign most of what needs signing. Two things need a body: the medical fitness examination and identity biometrics for each person taking a permit, and usually a bank's own onboarding.

I want to add an activity. Who besides the zone needs to know?

The zone is the easy part: usually an amendment with a fee, provided it licenses the line and no second authority holds it. The harder question is the one nobody asks, and it sits with the parties outside the fence — whether the bank that onboarded you on one business description is comfortable with the new one, and whether customs and any sector regulator read the change the same way. Tell them before they find out.

Is a cheaper emirate's zone a worse zone?

Not inherently. The honest differences are premises availability, the commute for your staff, how third parties read the licence, and whether the zone sits on the Designated Zones schedule for VAT — a Cabinet decision, not something the zone grants itself. A free zone is a cluster before it is a price sets out which zones are competing on what.
