Our Vision: Structure for the Rules That Are Arriving

Between 2021 and 2025 the UAE repealed the local-partner requirement, introduced corporate tax, rewrote its anti-money-laundering law, retired the economic substance regime and began phasing in electronic invoicing.

Our Vision: Structure for the Rules That Are Arriving

There is a version of UAE business advice that was accurate in 2019 and is still being sold today. You can recognise it by what it promises: a local partner you must have, a free zone that is permanently tax-free, a licence that is the end of the process rather than the start.

Every one of those was true once. None of them is true now, and the instruments that changed them are public, dated and easy to check. The gap between what changed and what is still being advertised is the single largest risk in this market, and it is not a risk of fraud. It is a risk of being sold a structure that was correct for a set of rules that no longer exists.

ConsultZone's position is narrow: structure for the rules that are arriving, not the ones in the brochure. What follows is the short version of what changed, and — the part this page exists for — what we think it means for a decision you are taking now.

What changed, in the order it happened

Two things are visible in that column on the right. First, the changes are not marginal — four of them invalidate a sentence that formation providers were still using as a headline. Second, they all run in one direction.

What changedWhat it used to meanWhat it means now
The local partner you must haveA local shareholder you could not avoidLargely solved between 2020 and 2021: you own the company outright
The permanently tax-free free zoneThe zone you chose was the whole tax answerQualifying Free Zone Person status is conditional, and tested again next year
Discretion about who owns itA provider could imply opacityIdentified, recorded and reportable under the 2025 anti-money-laundering law
The substance filingAn annual notification and a reportWound back, while the substance behind the address hardened
Annual bookkeepingReconstructed once a year for an accountantElectronic invoicing is phasing in, and filing moves toward continuous

That table is a summary, not the account. Each of these arrived on a gazette date rather than as a trend, and the instrument-by-instrument version, with the dates and what each one made wrong, is set out in the UAE rule changes that made older advice wrong. The rest of this page is what we do about them.

The direction of travel, stated plainly

Ownership got easier. Everything after ownership got harder.

That is the whole pattern, and it explains why the market's sales pitch feels out of step with the experience of actually operating here. The thing that used to be difficult — owning your own company outright — was largely solved. The things that used to be easy are now the work: proving who ultimately owns the entity, proving where the money came from, proving the company does something at the address on its licence, and filing on a schedule with penalties attached.

A market that sells on the old difficulty is selling the solution to a problem you no longer have.

What this means for a structure you are choosing now

Four consequences, each of which changes a decision rather than merely being interesting.

The cheapest licence is now the most expensive structure

When ownership was the constraint, price was a reasonable way to choose between zones, because the zones differed mainly in fees. Now the differences that matter are whether the activity is available, whether the premises carry your visa count, whether a bank will accept an entity from that zone, and whether the structure qualifies for the free zone tax treatment at all.

A licence chosen on price alone optimises the one variable that no longer decides anything, and it does so at the cost of the four that do.

"Free zone" is no longer a tax answer

Qualifying Free Zone Person status is conditional, and the conditions are about what you actually do — the activities you conduct, where your income comes from, and whether you maintain adequate substance. Mainland-derived revenue can disqualify the whole entity rather than merely the mainland portion.

So the free zone question stopped being "is it tax-free" and became "does my actual revenue mix qualify, and will it still qualify next year". That is a question about your business model, not about your licence.

Substance stopped being a filing and became a fact

The economic substance regime produced an annual notification and a report. It has been wound back. What has not gone away — and has in fact hardened — is the underlying expectation that a company has some real presence behind its address. It now shows up in the free zone tax conditions, in bank onboarding, and in how a regulator or counterparty reads your file.

The paperwork got lighter. The substance itself got more load-bearing. Those are opposite movements and it is easy to notice only the first.

Ownership transparency is now the price of entry

The 2025 anti-money-laundering law, and the supervision of corporate services providers under it, mean the ultimate beneficial owner behind a structure is identified, recorded and reportable. Layering to obscure ownership does not merely fail; it actively marks the file.

A founder who wants privacy from competitors has legitimate options. A founder who wants opacity from the state does not have options here, and a provider who implies otherwise is creating a problem with your name on it.

What we think happens next, and how we are hedging it

This is a view rather than a fact, and it is labelled as one.

Filing becomes continuous rather than annual. Electronic invoicing is being phased in, and the logic of it points one way: the authority sees transactions closer to when they happen. A business whose bookkeeping is reconstructed once a year for an accountant is badly positioned for that, and the fix is procedural rather than clever.

The gap between a compliant company and a technically-licensed one widens. Two entities with identical licences will increasingly have very different experiences at a bank, with a large customer, and in a tender — determined by filing history, substance and traceability rather than by the licence.

Advice gets less portable. A structure that works for a consultancy invoicing Europe is not the structure for a trader moving goods into the mainland, and the divergence grows as the rules attach to activity rather than to ownership. Generic packages get less useful over time, not more.

So the hedge is boring and it is deliberate: choose the structure that is defensible on the facts of your actual business, keep the evidence as you go rather than assembling it under pressure, and prefer a slightly more expensive structure that survives the next change to a cheap one that has to be rebuilt.

What we are not claiming

  • We do not know what will change next. Everything above is either an instrument you can read or a direction inferred from several of them. Where it is inference, it says so.
  • We are not predicting rates. Any provider telling you what the corporate tax rate will be in three years is guessing, and the guess is being used to sell you something today.
  • We cannot make a regulator's decision for you. In the financial free zones especially, approval is the regulator's and no consultancy's relationship substitutes for meeting the standard.

Where this view is the wrong one to hire

  • Your horizon is genuinely short. A structure that exists to complete one transaction and then close does not need to survive the next five years of regulation, and paying for durability you will not use is waste. Say so and we will size the advice accordingly.
  • You want the market's standard answer. If what you need is the cheapest available licence, quickly, with no questions about the business model, this view produces friction and no benefit to you.
  • Your activity is entirely outside the UAE. If nothing about the customers, the assets or the work touches this jurisdiction, the direction of travel here is not your concern and forming here adds obligations without adding anything.
  • You need a decision today on facts you cannot yet supply. We would rather hold the decision than make it on assumptions, and if that is unacceptable then a provider who will decide without the facts is genuinely a better fit for your timetable — with the consequences that follow.

What to do next

If you already hold a structure, the useful question is not whether it was right when you formed it. It is whether it still qualifies for what you assume it qualifies for — the tax treatment, the market access, the visa count — under the instruments above rather than under the advice you were given at the time.

If you are choosing now, describe the business and let the structure follow. Every other page on this site is written to be read in that order, and each one states where it is the wrong choice.

A view of the rules is only half a position. What we undertake to actually finish for a client, rather than sell, is set out on our mission.

The other half is what we decline in order to finish it: nine specific shortcuts, named one by one, on our values.

Frequently asked questions

What is ConsultZone's actual view of where UAE regulation is going?

Ownership got easier and everything after ownership got harder. The requirement that used to be difficult — owning your own company outright — was largely solved between 2020 and 2021. The things that used to be easy are now the work: proving who ultimately owns the entity, proving where the money came from, proving the company does something at the address on its licence, and filing on a schedule with penalties attached. A firm still selling on the old difficulty is selling the answer to a problem you no longer have.

Is the advice I was given a few years ago still valid?

Check it against the instruments rather than against the firm that gave it. Four headlines that formation providers were using as recently as a few years ago have been invalidated outright: the local partner you must have, the free zone that is permanently tax-free, the licence that ends the process, and the idea that a provider can be discreet about ownership. The gap between what changed and what is still advertised is, in our view, the largest risk in this market — and it is a risk of being sold an obsolete structure, not of fraud.

Does choosing a free zone still settle my tax position?

No, and that is one of the larger changes in the list above. Qualifying Free Zone Person status is conditional, and the conditions are about what the company actually does: the activities it conducts, where its income comes from, and whether it maintains adequate substance. Revenue derived from the mainland can disqualify the whole entity rather than only the mainland portion. So the question stopped being whether a zone is tax-free and became whether your actual revenue mix qualifies, and whether it will still qualify next year — a question about the business model.

The substance filing was repealed. Does substance still matter?

More than it did, which is the easy thing to miss. The regime produced an annual notification and a report, and it has been wound back. The underlying expectation that a company has real presence behind its address has not gone away and has hardened: it now shows up in the free zone tax conditions, in bank onboarding, and in how a regulator or a counterparty reads your file. The paperwork got lighter and the substance itself got more load-bearing.

Who gets to see who really owns my company?

The supervisors do, and that is now the price of entry. Privacy from competitors is one thing; opacity from the state is another, and it is not on offer. Under the 2025 anti-money-laundering law and the supervision of corporate services providers beneath it, the ultimate beneficial owner behind a structure is identified, recorded and reportable. Layering that exists to obscure ownership does not merely fail — it marks the file. A founder who wants commercial confidentiality has legitimate options, and a provider implying the other thing is creating a problem with your name on it.

Should I just take the cheapest licence?

On this reading the cheapest licence is now the most expensive structure. Price was a sensible way to choose between zones when ownership was the constraint and the zones differed mainly in fees. What decides the outcome now is whether the activity is available, whether the premises carry your visa count, whether a bank will accept an entity from that zone, and whether the structure qualifies for the free zone tax treatment at all. Choosing on price optimises the one variable that no longer decides anything.
