Answered plainly

Sixteen free zone benefits are advertised in this market. Sorted by where each one actually comes from, four are the zone’s.

The standard free zone benefits list has barely changed since 2010, and the country changed underneath it.

The benefits list is old enough that most of it now describes the country rather than the zone

Sixteen headings, in roughly the same order, on the material of nearly every UAE free zone and everyone who sells into one: tax, ownership, setup speed, infrastructure, global access, sector clusters, innovation support, intellectual property, profit repatriation, talent, networking, regulatory support, flexibility, confidentiality, long leases, sustainability.

The list is not dishonest. It is undated. Five of the sixteen have always been federal law and reach any UAE licence. One was transferred to the mainland in 2020. One became a conditional annual test in 2023. Four are not claims at all. And four are real, specific and genuinely unavailable anywhere else — which is the useful part, and it is not the part anybody leads with.

Sorting them by provenance takes about ten minutes and changes which zone you choose, or whether you choose one. If the prior question is what a free zone legally is rather than what it advertises, that is the instrument-level answer in the founding purpose a zone can still give you.

Where each claim actually comes from

Read the bottom branch first. Four items. Everything else on the brochure either belongs to the UAE, belongs to everybody now, or does not survive being asked what it means.

The five that were never the zone's to give

No personal income tax. There is no federal personal income tax on employment income anywhere in the UAE. A salary drawn from a mainland company in Deira is taxed exactly as a salary drawn from a company in a zone: it is not. Listing this as a free zone benefit is the single most common misattribution in this market, and it makes a zone appear to be handing over something it never held.

Profit and capital remittance. There is no UAE exchange control stopping a company remitting profit or capital abroad. That is a federal position, not a concession granted at a zone counter. What actually constrains a remittance is the bank's own compliance process and the tax treatment at the receiving end, both covered in repatriating profit from a UAE company.

Intellectual property protection. Trade mark and patent rights in the UAE are granted federally through the Ministry of Economy. No free zone grants them, and holding a licence inside one confers nothing. A free zone cannot protect what your company made sets out where the protection actually comes from.

Infrastructure, ports, airports and connectivity. These are national assets. Proximity to one is a genuine locational advantage for a specific zone and a genuine differentiator between zones — but it is not a benefit of free zones as a category, and being inside a fence near a port is not the same as having access to it, as the port is not included with the free zone licence sets out.

Confidentiality. Free zone shareholder details are not published in the way several other records publish them, and that is a real difference from some jurisdictions. It is not opacity: banks, authorities and counterparties reach the ownership through beneficial ownership obligations regardless. The precise scope is in a free zone hides your ownership from competitors and nobody else.

The one that was transferred, and the one that was narrowed

Ownership. Full foreign ownership was the free zone's defining feature for two decades. Federal Decree-Law No. 26 of 2020 removed the majority-Emirati shareholding requirement for onshore companies, and Dubai applied its eligible-activity list from 1 June 2021. It is now available on most mainland activities. Nobody in the zone marketing business had a commercial reason to announce that their headline advantage had been extended to their competitor, so the line stayed on the page.

Tax. This is the item with the largest gap between what was published and what is still being sold. A free zone entity is within the scope of Federal Decree-Law No. 47 of 2022. It may be relieved at 0% on qualifying income if it is a Qualifying Free Zone Person for that tax period — conditions that include adequate substance in the zone, income of the right character, transfer pricing compliance, audited financial statements and a limit on the non-qualifying share. Cabinet Decision No. 100 of 2023 and Ministerial Decision No. 229 of 2025 work out what qualifies.

Three consequences follow, and all three are missing from the brochure. The relief is assessed each tax period, so qualifying this year guarantees nothing about next. A single transaction of the wrong character can move an entity out of the regime for a whole period. And relief is not exemption — the non-qualifying part is taxed at the standard rate, so a free zone company still files, still needs records, and still needs audited accounts.

The four that are genuinely the zone's, and worth paying for

Woman lifts a sheet printed with a UAE map outline from one of five tall file stacks

Customs suspension inside the fence. Goods held inside a customs-controlled free zone sit under duty suspension, and duty falls due when they enter the UAE local market rather than when they arrive. For a re-export or distribution business that is a working capital difference, not a talking point, and no mainland structure reproduces it.

Two cautions belong with it. It applies to goods, so a services company gets nothing from it. And "Designated Zone" is a VAT concept with its own published list and is not a synonym for "free zone" — not every zone is one, the list is amended, and a supply chain designed on the assumption that the two words mean the same thing is designed on a misreading.

Sector adjacency. A zone built around commodities, media, technology, healthcare or aviation puts your regulator, your suppliers, your competitors and your recruitment pool inside one perimeter. That is real and it is why the sector zones cost more than the volume ones. What it is not is a market — the neighbours are permitted customers rather than guaranteed ones, which the company next door is the only UAE customer your free zone licence already reaches works through in detail.

One counter. The zone licenses the company, leases the premises, holds the immigration file and issues the visa capacity. On the mainland those sit with four separate bodies and a private landlord, none of which shares a record with the others. This administrative consolidation is the zone's most under-sold asset and the one founders value most in year one.

A separate legal system, in two zones only. DIFC and ADGM run their own company, employment and data protection rulebooks and their own courts. For a fundable holding structure, a shareholders' agreement an investor recognises or a dispute forum a counterparty will accept, that is a category difference rather than a discount, and no other zone offers it.

What the list never mentions, and what it costs

Each of the four real benefits has a price attached that appears on no brochure.

The zone is your regulator as well as your licensor, so its rules, its fee schedule and its renewal terms are set by the same party you would complain to. The facility is a term of the package rather than a lease you negotiated, and your visa capacity is drawn from it. And the licence does not reach the UAE local market on its own — Dubai's Executive Council Resolution No. (11) of 2025 now creates emirate-level authorisations for a free zone establishment operating outside its zone, governed by an activity list the Department of Economy and Tourism must issue, which is a change to that answer rather than a reversal of it.

What it gives youWhat it costs you

  1. Duty suspension inside the fenceDuty falls due on entry to the local market, not on arrivalGoods only, so a services business gets nothing from it
  2. Sector adjacencyRegulator, suppliers, competitors and recruitment pool in one perimeterSector zones cost more, and neighbours are permitted customers, not guaranteed ones

Those three are the honest counterweight to the four. A brochure that lists sixteen benefits and none of these is not describing a product; it is describing a mood. The same sixteen items read a second way — by which kind of buyer actually collects each one — are sorted in the benefits list is written for five different buyers.

Where a free zone is the wrong choice

Your customers are UAE businesses and consumers outside the fence. The licence does not reach them directly, and every route that closes the gap — a branch, a permit, a distributor, re-incorporating, or transferring the company itself to the mainland authority where both authorities' systems allow it and both approve — has its own cost, set out in moving between free zone and mainland after you have chosen.

You chose a zone for the tax position and sell services to related parties or to UAE customers. The qualifying income test is exactly where that structure is examined, and a relief assessed annually is a poor foundation for a decision taken once.

You are a services business choosing a zone for the customs treatment. It applies to goods. There is nothing there for you.

You want the cheapest licence and have not read the facility terms. The package price is the licence plus a facility you did not choose, and the facility sets your visa ceiling. What a headline price leaves out is set out in what a low-cost UAE licence leaves out.

Your activity needs a sector regulator. The zone does not replace it. A health, education, media, food or financial services activity meets the same authority whichever side of the fence it is licensed on.

Frequently asked questions

Are UAE free zones still tax free?

No, and the phrase was never accurate as an unconditional statement after 2023. A free zone entity is within scope of corporate tax and may be relieved at 0% on qualifying income if it meets the Qualifying Free Zone Person conditions for that period. It is a test, assessed annually, on part of the income. The nine ways a company already holding a zone licence can fail that test are set out in no free zone can exempt you from a federal tax.

If ownership and tax are no longer differentiators, why choose a zone at all?

For the four things that are actually the zone's: duty suspension on goods, sector adjacency, a single administrative counter, and — in DIFC and ADGM only — a separate legal system. Those are strong reasons. They are simply different reasons from the ones on the brochure.

Is a free zone company exempt from VAT?

No. VAT enrolment turns on taxable supplies crossing the threshold and applies regardless of jurisdiction. What varies is the treatment of certain supplies involving a Designated Zone, which is a specific VAT concept with its own published list rather than a description of free zones generally.

Does a free zone protect my brand or my software?

No. Intellectual property is one of the five items on the advertised list that have always been federal law and reach any UAE licence: trade mark and patent protection is granted federally through the Ministry of Economy, and copyright arises federally. A zone licence gives you a trade name within that zone's own records, which is a different and much narrower thing — and the position is identical on the mainland, so it is not a reason to choose either.

How do I tell a real benefit from a transferred one when I am being sold to?

Ask which body provides it. If the answer is a federal ministry or federal law, it reaches every UAE licence and the zone is not giving it to you. If the answer is the zone itself, ask what happens to it if you stop paying the zone — which is the same question phrased so that it cannot be answered with a brochure.
