What it actually costs

A Jafza setup is a chain of gates in a fixed order, and the decisions that cost the most are all taken before the first form

Every step in a Jafza setup is gated by the one before it, and the two decisions that cost the most — the licence tier and the premises — are taken before any form is submitted.

Nothing in a Jafza setup is one application. It is a run of separate acceptance tests, each held by somebody who does not consult the others, and each one either passes you to the next or sends you backwards. Founders experience the backwards moves as delay and describe them as bureaucracy. They are refusals, and almost every one of them was caused by a decision taken weeks earlier, cheaply, without anybody flagging it as load-bearing.

Two of those decisions do most of the damage. The licence tier is chosen to save money and then has to be bought again. The lease is signed before anybody confirms how many people it lets you sponsor. Both are decided before the first form goes in, which is why a page about "steps" that begins at step one is describing the easy half.

What Jafza is, what it costs and which businesses it suits sit on the Jafza profile. This page is the order, and the refusals.

First, check you are not being sold the offshore vehicle

A large share of the material published under this title describes something else entirely. It uses the phrase "offshore company" alongside visas, offices and trading, and those things do not go together.

An offshore company under the zone's offshore regulations is a holding vehicle. It leases no premises inside the zone, sponsors no residence visas, and carries no right to trade inside the UAE. It has a narrow legitimate use — most often holding Dubai freehold property, subject to the land department's own approval — and is sold far more often than that use arises. If your plan involves employing anybody, importing anything, or living here, the offshore route ends the conversation before the sequence below begins. You want an operating entity: an FZE, an FZCO, a public company, or a branch of an existing company.

Import anythingNoYes
Live here on a residence visaNoYes

Where holding really is the purpose, the vehicle is not a lesser version of this page's subject but a different instrument with its own annual cycle, and what a UAE offshore company can actually do sets out what it may hold and the four things it can never do.

That distinction also settles the legacy claim that a local bank account is a legal requirement. It is not a licensing gate — the licence is issued long before any account exists. It is an operational necessity, and it is the one step in this whole project that no authority controls and nobody can promise you.

The three decisions taken before the first form

The activity map, over three years rather than three months. Jafza issues Trading, Service, Industrial and Logistics licences, and the trading and service licences are tiered — the tier fixes both how many activities the licence may carry and how many of the authority's activity groups those activities may spread across. Read at the date of review, a Type 1 trading or service licence permits up to seven activities inside a single group; a Type 2 permits up to twelve across two; trading Type 3 is unlimited across three or more.

The count is generous at every rung and almost nobody runs out of slots. The group boundary is what bites. A founder takes Type 1, then finds the second product line is filed under a different group, and pays for a conversion inside the first year. Map every product you expect to sell before choosing a tier, not after.

The entity type, including who signs for it. An FZE has one shareholder, an FZCO between two and fifty, and a branch has no separate legal personality and leaves the parent liable for everything it does. Any of them may be wholly foreign-owned; there is no Emirati shareholder to appoint and no agent on an annual fee. Where a corporate shareholder is involved, its constitutional documents and a board resolution have to be attested abroad, and that is reliably the longest lead item in the file — start it on day one, because it runs in parallel with everything else and gates the submission.

The premises class. Not the unit, the class: workstation, office, pre-built warehouse, land plot, showroom. This is where a Jafza setup differs most sharply from a package zone. Virtual offices are not permitted, a physical lease is mandatory, and workstations are available against trading and service licences only — which excludes the industrial businesses the zone was built around. Your visa headroom then follows the lease rather than the licence, and the ratios are not published by the authority. Get the allocation confirmed in writing for the specific unit before you sign it.

The order the steps actually run in

Jafza states 3 to 14 business days from complete documents to licence issue, and the condition in that sentence carries the weight. It is honest for a small office-based trading company whose documents were ready. It is not the timeline for a warehouse, where fit-out, safety sign-off, customs codes and gate passes add weeks to months after the licence exists. Our page on how the setup clock starts at a complete file works through why every published turnaround is conditional in the same way.

Read the third column of that table downwards and the structural point appears: for steps 1 to 7 the decider is largely one body acting in a different capacity each time — licensor, incorporating authority, landlord, then the channel to the immigration file. That single-counter arrangement is what every free zone has in common, and the five roles one free zone authority plays, and what each of them tests generalises the sequence beyond Jafza.

What gets an application sent back

These are the refusals we actually see on Jafza files, with the decision that caused each one and how far back it throws you.

Read the middle column on its own and a pattern appears: almost nothing on that list is refused for the reason a founder assumes. The name is refused against published rules, not on taste. The premises are refused on suitability, not availability. The bank refuses on coherence, not on documents. Our page on how a UAE formation is refused at a named gate generalises this across jurisdictions; the Jafza-specific gates are the tier, the premises class and the customs code.

Most compression available in this project is here, and most of it is unused because nobody started the slow item early.

Two joins in that list cannot be compressed at any price: the licence must exist before the immigration file, and the immigration file must exist before any individual visa. Everything a consultancy can genuinely accelerate sits above those two lines.

After the licence, the obligations that recur

The licence is the middle of this project rather than the end. What follows attaches permanently.

  • Audited financial statements. An FZE or FZCO must file a balance sheet audited by an approved auditor, over a financial year of six to eighteen months. This is a renewal gate: no audit, no licence. It is also the item most often missing from a first-year budget.
  • Beneficial ownership on record with the zone, kept current and updated within the prescribed window of any change.
  • Corporate tax. Enrol with the Federal Tax Authority whatever your rate turns out to be, and file within the statutory window after each year end. Jafza's position on qualifying income is genuinely strong for goods businesses — distribution in or from a designated zone, manufacturing, processing and logistics all appear as qualifying activities under Ministerial Decision No. 229 of 2025 — but the status is an annual test with substance, arm's length and audit conditions attached, not a property of the address.
  • VAT. A separate test on taxable supplies. Designated zone treatment applies to the movement of goods and not to services, which is the distinction that trips up trading companies with a consultancy line on the licence.
  • Anti-money-laundering obligations where the activity is a designated one, including enrolment on the national reporting platform and reporting to the financial intelligence unit. The ministry has suspended businesses for failing to enrol.
  • Economic substance filings have ended for financial years ending after 31 December 2022, under Cabinet Decision No. 98 of 2024. Historic exposure survives. Anyone telling you to file for later years is working from stale material.

Every one of those is re-tested at renewal, and growing the company re-runs the earlier gates from whichever one the change touches: a new activity re-tests the tier, more people re-test the premises, a new shareholder re-tests the documents.

Where this is the wrong sequence to be following

The honest answer for a meaningful share of people reading a Jafza guide is that the zone is wrong, and a correctly executed sequence will simply deliver the wrong company on time.

You will never touch a container. A consultancy, agency or single professional pays for port infrastructure it cannot use, with a mandatory lease and an enforced annual audit on top. This is the most common mistake made about this zone, and the sequence above does nothing to protect you from it.

the question the sequence above cannot answer for you

  1. Map every line you expect to sell over three yearsFixes the tier, and the group boundary inside it
  2. Choose the entity type and start the attestation abroadThe longest lead item in the file
  3. Choose the premises class before the unitWorkstation, office, pre-built warehouse, land plot or showroom
  4. Does anything physically move through this business
  5. Containers, stock and goods moveThe port is the reason to be here, and the lease and the audit are its price
  6. Nothing physical ever movesYou pay for port infrastructure you cannot use, plus a mandatory lease and an enforced audit
  7. A correctly executed sequenceIt delivers the company you chose, on time, right or wrong

You are testing a market rather than building a base. Land and warehouse leases carry terms, notice periods and handover obligations. That is a feature if you are committing and a trap if you are not, and no amount of careful sequencing shortens a lease.

Your customers are UAE mainland businesses. A Jafza licence does not reach them directly. Goods leaving a designated zone into the mainland are an import with duty and VAT at entry, and onshore selling needs a second arrangement. Moving between free zone and mainland after you have chosen sets out the routes and what each costs.

Your activity is regulated finance, insurance or virtual assets. Those licensing perimeters belong elsewhere and no enthusiasm from an agent moves them.

You were quoted an offshore company for an operating business. Start again. No sequence repairs the wrong vehicle, and the visas you were promised do not exist on it.

What to establish in writing before any money moves

  1. Every product or service line you expect to sell within three years, mapped to activity groups, with the tier that covers all of them.
  2. Which entity type, and what each corporate shareholder's home jurisdiction must attest — with that chain already started.
  3. The premises class, the specific unit, and its confirmed visa allocation from the authority rather than from an agent.
  4. Whether a sector authority has to clear your activity, what evidence it wants, and what it publishes as its own turnaround.
  5. What the audit will cost every year, and who is filing it.
  6. What the licence does not let you do on the day it is issued — hire, import, or invoice a mainland customer.

Tell us what physically moves through the business and how many people will hold a visa in year two. Those two answers set the tier and the lease, and the tier and the lease set everything else on this page.

Frequently asked questions

Do I need an Emirati partner or a local agent for a Jafza company?

No. Every Jafza entity type may be wholly foreign-owned, and the zone's own rules state there is no requirement for a UAE national as partner or shareholder. Where the word sponsor appears in a Jafza context it describes the zone acting as nominal sponsor of your employees' residence, which is an immigration arrangement rather than a shareholding. Since Federal Decree-Law No. 26 of 2020 most mainland activities can be fully foreign-owned too, so ownership no longer separates the two options.

Can I get a Jafza licence without leasing anything?

Not for an operating company. A physical lease is mandatory and virtual offices are not permitted. The lightest option is a workstation, and it is open to trading and service licences only — which rules it out for the industrial and logistics businesses the zone was built around. Whichever class you take, your visa headroom follows the lease rather than the licence, so get the allocation confirmed in writing for the specific unit before signing.

How long does it take?

The zone states a few business days to a fortnight from complete documents, and that is accurate for a simple office-based file. The realistic project length is set by whichever chain is longest — usually attestation abroad or a sector authority's approval — plus the strictly serial immigration steps after the licence, plus a bank that answers to no timetable.

The licence is issued. Why can I not hire anyone yet?

Because a trade licence lets a company trade; it does not let a company sponsor a person. The establishment card and the company immigration file come after the licence, and each individual permit and residence visa comes after those. Send offer letters against the capacity you have confirmed, not the licence you hold.

What is the single most common sequencing error?

Signing the lease before the visa allocation for that specific unit is confirmed in writing. It is discovered at the fourth or fifth hire, when the cost of fixing it is a larger unit plus an amendment, and it is entirely preventable with one email.
