What it actually costs
A UAE offshore company holds things. It will never hold a trade licence, a residence visa or a UAE customer, and no fee changes that.
An offshore company is a body corporate on a company authority's record with no licence to trade and no address it occupies.
Almost nobody reasons their way to an offshore company. They arrive holding a quotation — a few days, a low fee, no office, no audit — produced in answer to a question that was never asked properly, and the question is a single sentence: what does the vehicle have to hold?
Answer it and the decision usually takes one conversation. An offshore company is a body corporate on a company authority's record. It has no licence to trade anywhere in the UAE, no premises it occupies, no immigration file, and therefore nothing for a residence visa to attach to. Used for what it is — a clean container above an operating business, a titled property or a set of trade marks — it is efficient and cheap. Sold to somebody who intends to invoice customers, take on staff or move their family here, it fails on every one of those counts simultaneously, and the failure is designed into the vehicle at incorporation rather than discovered later.
This article treats offshore on its own terms rather than as the third column in a price comparison. If what you need is a side-by-side against the licensed structures, two of these three are trade licences and the third is not does that job. Our offshore company formation page carries the full service detail.

Three things the older guidance got wrong
Legacy material on this subject — including the version of this page that stood here previously — carried three claims that are either false now or were never true. They are worth naming, because each one has sold a structure to somebody who could not use it.
"Dubai has zero corporate tax, so an offshore company pays none." Corporate tax is federal and has applied since Federal Decree-Law No. 47 of 2022. Under Cabinet Decision No. 85 of 2022 a juridical person incorporated in accordance with legislation in force in the State is a UAE tax resident, and both offshore company authorities incorporate under UAE legislation. An offshore company is a resident taxable person, has to enrol with the Federal Tax Authority whether or not it ever earns anything, and pays 9% on taxable income above AED 375,000 and 0% at or below it. The 0% free zone rate is not available to it, for a reason set out below.
"You choose the right free zone for your offshore company." An offshore company is not a free zone licence and no free zone issues it. Two separate company-law regimes issue these entities, neither of which is a licensing authority for trade, and the confusion between the two products is the single most reliable indicator that a quotation was produced by somebody selling rather than advising.
"Arrange work visas for your offshore staff." There are none to arrange. A UAE residence visa is sponsored by an entity holding a company immigration file and establishment card, and those issue against a licensed entity with premises it leases. An offshore company has neither, so there is no sponsor in the structure. If you have been offered an offshore package with two visas, either a separate licence has been quietly folded into the bundle and the whole thing labelled offshore, or the product is being misdescribed. One question settles it: which authority issues the establishment card? The answer is never the offshore company authority.
A fourth claim, confidentiality, has not been true since beneficial ownership filing became general. It is dealt with below.
The two authorities worth using, and where they actually differ
Two UAE offshore regimes are credible. RAK ICC — the Ras Al Khaimah International Corporate Centre — operates under its Business Companies Regulations 2018, formed by merging the emirate's two earlier offshore company authorities. Jafza Offshore runs under the Offshore Companies Regulations, the Jebel Ali Free Zone Authority having been authorised by Dubai in 2003 to operate its own offshore regime; the Jafza text has been restated since, and the director and corporate-director provisions moved in 2024, so confirm which edition governs your incorporation with the authority rather than with an agent's brochure. A third regime, Ajman Offshore, exists, is cheaper, and is materially harder to bank.
Choosing between the two is rarely a cost question. It is a question of what the container has to do.
Two rows carry most of the practical difference. The certification row decides whether your project waits on an embassy queue — the UAE is not a party to the Apostille Convention, so attestation means the full consular chain in the parent company's home country: notary, foreign ministry, then the UAE mission, each with its own timetable. And the emirate on the certificate is not vanity. A Dubai address measurably changes the temperature of a banking conversation, and it is the honest reason Jafza still commands a premium.
On cost, only one side of the comparison can be stated. Under the RAK ICC schedule effective 1 January 2026, incorporation for one year is AED 3,250 and renewal for one year is AED 3,950 — note the direction, because most budgets assume renewal is the cheaper number. Jafza publishes nothing equivalent for a buyer to check, so insist on the authority's fees itemised separately from the agent's. Either way, the authority fee is the smallest number in the project.
The last row but one is the one being oversold, and it deserves its caution here rather than in a footnote. Ras Al Khaimah Emiri Decree No. 12 of 2024, amending Emiri Decree No. 4 of 2016, authorised RAK ICC to issue Free Zone Commercial Licences to its companies together with an official address inside RAKEZ, so an existing company can take a licence without re-incorporating. But a company with premises, a licence and substance has stopped being offshore in any meaningful sense, so cost it against a straightforward free zone formation rather than against a bare offshore fee — and confirm the scope, the address options and the visa position with the authority in writing, because the operational detail sits with it rather than in published legislation. The Jafza equivalent is conversion into a Jafza free zone company, and what that licensed route actually involves, gate by gate, is set out in a Jafza setup is a chain of gates in a fixed order.
RAK ICC publishes AED 3,250 to incorporate for one year and AED 3,950 to renew; Jafza publishes nothing equivalent
| Judged on | RAK ICC | Jafza Offshore |
|---|---|---|
| An auditor appointed and accounts laid before a general meeting annually | No | Yes |
| A Dubai address on the certificate | No | Yes |
| Dubai freehold with a corporate shareholder anywhere in the chain | No | Yes |
| A trade licence later without re-incorporating | Yes | No |
| A published fee schedule a buyer can check the quote against | Yes | No |
The agent is mandatory, and choosing one is the first decision
This is the part of the process that has no self-service route, and it is routinely presented as an administrative detail rather than the structural commitment it is.
Both authorities require the company to have an accredited agent at all times, and both take applications only from that agent. RAK ICC's regulations allow only the proposed licensed corporate agent to file an incorporation application and forbid the authority from accepting one from anybody else; the agent's own written consent to act is itself one of the documents filed. Jafza accepts offshore applications only through its own approved agents, submitted via the Dubai Trade portal. This is the licensed corporate agent appointment, and it is not a service you buy once — it is the company's permanent channel to the authority for as long as the company exists.
Three consequences follow, and none of them appears on a quotation.
An agent can resign on notice. A company whose agent has gone and has not been replaced drifts quietly toward strike-off, and the founder usually finds out at renewal. Restoring a struck-off company costs more than renewing one on time.
The agent's own anti-money-laundering duties are real, which is why its document list runs longer than the authority's published one. That is not padding. The agent carries supervised obligations of its own and will want to understand the company before it files anything.
And nothing in either authority's published process requires you to be in the country. RAK ICC's checklist provides for the memorandum and articles to be signed outside the UAE with signatures notarised, and for documents to be signed under a power of attorney. Jafza expects a corporate founder's papers to arrive already notarised and attested. The one counter where distance counts against you is the bank — which is the subject of its own section below, and the reason forming a UAE company from outside the country treats the account separately from the incorporation.
One further detail worth knowing before documents start moving: RAK ICC treats a document as current only if it is dated within three months of the application. Good-standing and incumbency certificates go stale, so a slow consular chain can deliver papers too old to use and send the file back to the start.

What the vehicle can hold, and the condition attached to each

Every legitimate use has the same shape: the company holds something. None of them requires it to sell anything, employ anybody or be anywhere.
Notice what is absent from the left-hand column: customers. There is no row for invoicing, because there is no activity to invoice against.
The four capabilities that are structurally absent
These are not restrictions that soften with the right agent or a bigger fee. Each is the absence of the thing the capability would have to hang on.

There is also no privacy argument left. Under Cabinet Decision No. 109 of 2023, UAE companies including offshore entities must maintain a real beneficiary record identifying every natural person who ultimately owns or controls 25% or more, or otherwise exercises effective control, filed with the incorporating authority and updated within days of any change. Stacking corporate shareholders does not break the chain; indirect ownership is traced upward until a natural person is reached. Separately, UAE banks report account data to the authorities, which exchange it under the Common Reporting Standard and the FATCA agreement with your country of tax residence. A shareholder record that is not public is not confidentiality from a tax authority, and building a plan on the assumption that it is turns an ordinary tax position into a serious one.
On substance, one obligation has genuinely gone. The Economic Substance Regulations were limited to financial years from 1 January 2019 to 31 December 2022, with notifications and reports for later years cancelled along with penalties issued for them. Historic exposure for those years survives and is worth checking on any vehicle incorporated before 2023 — and any advisor still billing an annual substance filing fee is charging for a service that no longer exists.

The banking reality, described as a compliance reader sees it
More offshore structures fail at the bank than at every other stage combined, and the reason is that the file arrives with no affirmative reason to say yes.
The UAE left the FATF list of jurisdictions under increased monitoring in February 2024. The listing went; the architecture built during it stayed and has tightened. The Central Bank's guidance on legal persons and arrangements does not instruct banks to refuse offshore entities — it instructs them to understand, manage and mitigate the risk and to look through complex structures to the beneficial owners beneath. In practice that inverts the burden.
Individually each of those is survivable. Arriving together they describe the archetype the framework was built to catch. Plan for weeks to months, refusals issued without reasons, and periodic reviews that can close an account which opened easily two years earlier. Some institutions decline offshore entities as internal policy and will never tell you that is the reason. Getting a business bank account in Dubai covers the refusal patterns in full.
The annual cycle nobody quotes at the point of sale
Small Business Relief may apply where revenue does not exceed AED 3 million, treating the company as having no taxable income for the period. It is closed to Qualifying Free Zone Persons, which an offshore company is not in any event, and it is a relief with a sunset rather than a permanent feature — confirm the current cut-off before relying on it.

Where an offshore company is the wrong answer
You intend to run an operating business. No licence, no premises, no staff, no UAE customers, no visas, and probably no account. Every objection lands at once, and what you needed was a free zone company.
You want UAE residence. Structurally impossible. Nobody can arrange it at any price, and anybody who says otherwise is selling a different product under this label.
Your customers are in the UAE. The company cannot invoice them and no distributor arrangement makes it the seller. That is a mainland company question — or, in Dubai, a free zone company with a second permission.
You are buying property and want the investor Golden Visa. Holding the apartment through a company defeats the application, because the title is the company's and not yours. Choose the structure or choose the visa; the same title deed will not deliver both.
You have a corporate parent and want Dubai freehold through RAK ICC. The No Objection Certificate route requires individual shareholders only, and one corporate shareholder anywhere in the chain closes it.
You want 0% corporate tax. Not available to this vehicle. A free zone or mainland holding company gets the same participation exemption on dividends and gains, plus a bank account and a residency certificate.
You want the structure to be invisible to a tax authority. Beneficial ownership filing and automatic information exchange closed that route years ago.
You are choosing it because it is the cheapest company on the price list. The authority fee buys a certificate. It does not buy an account, a visa, a customer or a defensible tax position, and unwinding a structure that was wrong from day one costs a multiple of every fee in this article. Company liquidation exists largely because of this row.
You already hold one and it is doing nothing. A dormant vehicle is not free. It still renews, still needs an agent, still has to be enrolled for corporate tax and still files a return. Either give it something to hold or wind it up deliberately.
What to settle before anything is filed
- One written statement of what the company will hold, who ultimately owns it, and where the money comes from. The agent's checks, the authority's review and later the bank all read the same facts, and three different versions of them is how a file stalls.
- Whether anybody in the structure needs a UAE residence visa. If the answer is yes for even one person, the offshore vehicle is not the answer on its own, and the conversation moves to a licensed entity.
- Which authority, and why, expressed as a fact about what the vehicle holds rather than about its fee.
- Whether any shareholder is a company, because that decides the document chain, the consular queue, the price of the layering and, at RAK ICC, whether the Dubai property route stays open at all.
- Whether the bank account is necessary, and if it is, which specific evidenced asset the account will be tied to. An offshore company with no bankable purpose is a certificate with annual costs attached.
- Corporate tax enrolment, before the window closes, with the financial year end chosen deliberately rather than defaulted into — your first financial year end sets every tax deadline the company will ever have.
Frequently asked questions
Can a RAK ICC company ever become a licensed business?
Yes. That opens the Qualifying Free Zone Person analysis, and the residency certificate that requires a licence and a lease. The cautions set out above apply, and they matter: this is already being oversold.
Do I have to travel to the UAE to incorporate?
Neither authority's published process requires attendance. Signatures can be notarised abroad and a power of attorney can carry the signing. The bank is the exception, and it is the step where being absent works against you rather than for you.
Is an offshore company audited?
It depends which authority. Jafza Offshore requires an auditor appointed and accounts laid before a general meeting annually. RAK ICC requires accounting records sufficient to explain the company's transactions, kept for at least five years, which is a real obligation and a lighter one. Neither position removes the corporate tax return.
Which is better, RAK ICC or Jafza Offshore?
Neither, in the abstract. Jafza if the certificate needs to say Dubai or the vehicle is buying Dubai freehold with a corporate parent in the picture. RAK ICC if you want a published fee schedule, a foundation, segregated cells, or the option of taking a licence later without re-incorporating. If cost is the only criterion you are applying, that is usually a sign the structure has not been settled yet.
Can the company own a car, a bank account or a phone line in the UAE?
An account, with difficulty, as described above. The rest generally follows a trade licence or a residence visa, and the company has neither. Assume nothing operational works and check each item before you rely on it. An account that does open is one tied to a specific evidenced holding — a titled Dubai property, or shares in a licensed UAE company that already banks credibly — rather than one whose stated purpose is simply "holding".
How do I tell whether I was mis-sold one?
Four questions settle it quickly. Did anyone ask who your customers would be and where they are standing? Were you shown the free zone alternative and its cost? Was a visa mentioned in the same conversation as the offshore certificate? And is the company enrolled for corporate tax? A recommendation compares alternatives; a sale does not. How to tell whether you were mis-sold an offshore company sets the same test out at length.
