Topic summary

An agency is an appointment with protection attached, not a big supply contract

A producer outside the country appoints a party inside it to represent its goods, the appointment goes on an official federal record, and from that point the arrangement is more than what the two sides wrote to each other.

The protections are the deal, and they cut both ways

For the appointed party the position becomes something close to an asset that cannot simply be withdrawn. For the producer it is a liability taken on deliberately, in exchange for a partner willing to invest in the brand. Both sides are being rational when the drafting takes months.

Products and territory decide what the appointment is worth

Both are easy to write broadly and hard to narrow later. A drafting that sweeps in a producer's whole catalogue commits the agent to lines it has no channel for, and the producer to an agent who will never sell them.

Exclusivity transfers risk, and that is what is being paid for

An exclusive appointment gives the agent every reason to spend on the market and gives the producer a single point of failure. Most disputes are one side wanting the upside without the performance obligations attached.

Ending one is harder than starting one

Beginning an agency needs agreement and a recording step. Ending one engages protections built to stop a producer walking away from a partner who built the market. The termination wording deserves more attention than the commission rate.

The appointment is not a licence to do everything a brand needs

Manufacturing under licence, retail through your own shops, and after-sales service are each separate activity lines. Importing still needs a customs code in the importing entity's own name, plus product clearances for controlled goods.

A trading licence is the right answer more often than people expect

Buying goods abroad and reselling them here needs no agency and carries none of the obligations. Introducing a producer to a buyer for a fee is brokerage. Selling in a principal's name without a recorded appointment sits on the commission-agency lines.

How to Start a Commercial Agency Business in Dubai

An agency is not a large distribution contract. It is a different kind of instrument, and the difference is the reason a foreign producer will sign a purchase order in an afternoon and spend six months on the appointment behind it.

The UAE has run a commercial agency framework for decades. Its purpose is straightforward: a producer outside the country appoints a party inside it to represent its goods or services in the market, that appointment is entered on an official federal record, and once it is on the record the arrangement is no longer purely a matter of what the two sides wrote to each other. Protections attach to the appointed party. The framework sits with the federal economy ministry, which maintains the record and administers the regime around it.

That is the whole commercial point, and it cuts both ways. For the local party, an agency converts a sales relationship into something closer to an asset — a position in the market that cannot simply be withdrawn because a better offer arrived. For the producer, the same protections are a liability being taken on deliberately, in exchange for a partner who will invest in the brand knowing the investment cannot be taken away casually. Neither side is being unreasonable when the drafting takes months. They are negotiating something that is genuinely hard to undo.

Both sides of the table read this page, and they want opposite things

The UAE party seeking an appointment. Usually an established trading or distribution business with warehousing, a sales force and real reach into the retail or institutional channel. What it wants is exclusivity, a territory worth having, and terms that make its own spending on the brand recoverable. What it should read most carefully is the exit.

The foreign producer choosing a partner. Often arriving with a draft written for a jurisdiction where an agency is simply a contract. The useful thing for a producer to understand early is that the appointment is not weightless here, and that the cheapest way to get the structure wrong is to treat the recording step as paperwork at the end.

The trading group formalising what it already does. Companies that have been selling a foreign brand on ordinary purchase orders for years and are now being offered, or now want, a formal appointment. The question is whether the protection is worth the obligations that come attached, and the answer depends entirely on how much of their own money is sunk in the brand.

Advisers and family offices structuring a portfolio of brands. For them the interesting feature is that agency positions behave like holdings — they are negotiated, they are defended, and they outlast the people who signed them.

Where this is the wrong purchase. A company that simply wants to buy goods abroad and resell them here does not need an agency and should not seek one; a trading licence does that job with none of the obligations. A firm that only introduces a producer to a buyer and takes a fee is brokering, which is CZ 107. A wholesaler selling in a principal's name and on a principal's account without a recorded appointment is on one of the commission-agency lines, CZ 104 to CZ 106.

What the appointment actually consists of

Four things decide what an agency is worth, and all four are settled in the drafting rather than by the framework. The principal is the producer or supplier being represented. The products are the specific goods or services covered, which is narrower than most first drafts assume. The territory is where the appointment runs, and whether it is one emirate or the whole country changes the value enormously. And the basis is whether the appointment is exclusive, and whether the agent buys and resells on its own account or sells for the principal and is paid a commission.

Getting the products and the territory wrong is the most common and the most expensive error, because both are easy to write broadly and hard to narrow later. An appointment drafted over a producer's entire catalogue commits the agent to selling lines it has no channel for, and commits the producer to an agent who may never touch them.

Exclusivity is the thing being paid for

Exclusivity is why the negotiation is difficult. An exclusive appointment means the producer has given up the option of appointing anyone else in that territory for those products — and in a protected regime, the option is hard to recover. The agent, in return, is expected to actually develop the market rather than sit on the position, which is why serious agreements carry performance obligations, reporting and minimum commitments in some form.

The honest way to think about it is that exclusivity transfers risk. A non-exclusive appointment keeps the producer's options open and gives the agent little reason to spend on marketing, staff or stock. An exclusive one gives the agent every reason to spend and gives the producer a single point of failure. Most disputes in this area are the consequence of one side wanting the upside of exclusivity without the obligations attached to it.

  1. Decide whether the arrangement is an agency at all, or ordinary distributionDistribution is a supply contract; an agency is an appointment with protection attached
  2. Fix the products and the territory before anything is signedThese two lines decide what the appointment is worth and what it forecloses
  3. Is the appointment exclusive across the whole country
  4. YesOne party carries the market, and the producer has given up appointing a second
  5. NoThe territory or the product range is split, and each slice needs its own wording
  6. Agree in writing how the arrangement ends and what is owed when it doesThe clause both sides skip in the first draft, and the one that decides the exit
  7. Put the appointment on the official federal record, then build the commercial file behind itRecording is the step that engages the framework, not an administrative afterthought
  8. An appointment that can be enforced by either sideThe point of the exercise, and the reason good drafting is slow

Ending one is harder than starting one

This is the sentence to take away. Beginning an agency requires agreement and a recording step. Ending one engages the protections, and those protections exist precisely to stop a producer walking away from a partner who has built the market for it. A producer who has not planned the exit has not finished the deal, and an agent who has not read the exit has not been paid for its work.

Practically, that means the termination and renewal wording deserves more attention than the commission rate. It also means a producer should be slower to appoint than it wants to be, and an agent should be slower to accept a narrow or short appointment than it wants to be, because the position is worth more than the first year of margin either way.

What the agency line does not cover

The licence covers representing a principal, not everything a brand needs done in the market. Manufacturing the products under licence is an industrial activity on its own line. Retail through the agent's own shops is a separate licensed activity from holding the appointment. After-sales service and repair is its own line again, and a producer who assumes the agency includes a service network is usually mistaken. Importing the goods needs a customs code in the importing entity's own name and, for controlled classes such as food, medicines, telecoms equipment or aviation parts, product clearances that sit entirely outside the agency question.

An appointment also does not decide the tax position. Commission and trading income are treated on their own facts, with VAT and corporate tax enrolment and filing handled through the Federal Tax Authority, and that is worth settling with the structure rather than after the first commission is banked.

The agency framework is federal. The licence that lets a company hold and operate the appointment is issued locally, and the activity wording, conditions and cost depend on the emirate and the licensing authority. ConsultZone confirms both halves for the specific principal, products and territory before anything is signed.

Most licences carry more than one activity. Adding a neighbouring line at the application stage costs a fraction of amending the licence afterwards.
