What it actually costs
A low-cost UAE licence is priced for year one, and you own the cost in year two
A headline licence price covers the licence and twelve months of premises.
The advertised number is accurate, and it is the smallest number in the transaction
A UAE trade licence advertised at a headline price is a quote for one line item. The figure is usually real — the authority does issue a licence at that level, and the firm quoting it will honour the quote. What the figure describes is the licence, plus a premises product, for twelve months. It does not describe the cost of having a working company.
This is not sharp practice. It is a limit on what the seller controls. Almost everything else a functioning company needs is charged by a different body: federal immigration, the labour ministry, an approved medical centre, the foreign ministry of whichever country issued your degree certificate, and often a sector regulator that has never heard of the package you bought. Nobody bundles a charge they do not levy. They handle it and charge a fee for handling it, which is a different product at a different price.
Three words in a package price carry most of the weight
"From" means the number is the floor of a range. The activity, the legal form, the number of shareholders, whether a shareholder is a company rather than an individual, and the premises product all move it upward before anything else is added.
"Excluding" usually means two things at once: excluding the government charges the firm pays on your behalf, and excluding VAT on the firm's own service fee. Those are different exclusions of different sizes. Ask which one the number in front of you already carries, and if the paper does not say, read the quotation line by line before you compare it with anyone else's.
"First year" is the word that costs the most. A promotional price is a decision the seller makes today; the renewal is a decision the same seller makes in twelve months, under no obligation to repeat it, at the moment when moving elsewhere means re-doing the visas, the bank mandate and the tenancy. That is the weakest position you will occupy, and the renewal price is set there.
| The word on the quotation | What it is actually saying | What it leaves you to settle |
|---|---|---|
| From | The number is the floor of a range | Activity, legal form, shareholder count and the premises product all move it upward |
| Excluding | Two exclusions at once, and of different sizes | Ask which one your number carries — government charges, or VAT on the firm's fee |
| First year | A price set today, against a renewal the same seller sets in twelve months | The renewal quotation — its price is set at the weakest position you will occupy |
Nothing about a residence visa works until the company has its own immigration file
A licence permits a company to trade. It does not permit a company to sponsor a human being. That requires a separate file with federal immigration, evidenced by an establishment card — a company-level purchase, made once and renewed on its own cycle.
The General Directorate of Identity and Foreigners Affairs lists the issuance of an establishment card and its renewal as two distinct services in Dubai; the Federal Authority for Identity, Citizenship, Customs and Port Security performs the equivalent function elsewhere. A free zone company does not usually apply directly — the zone authority opens the file on its behalf — but the charge exists whether or not a visa is ever used.
Mainland companies that employ staff carry a second file. The Ministry of Human Resources and Emiratisation issues its own establishment card, opens the labour file, and controls the electronic quota every work permit is drawn from. Two files, two authorities, two renewal dates — and a price for "the licence" is a price for neither.

A residence visa is four separate transactions, and the licence pays for none of them
Every residence permit issued in the UAE is assembled from the same components, and each has its own authority and its own charge:
- An entry permit, priced differently depending on whether the applicant is inside or outside the country when it is issued.
- A medical fitness screening at an approved centre, testing for communicable disease. Results are transmitted to the relevant health authority and then to immigration. Faster results cost more, and the fee repeats at every renewal.
- An Emirates ID. Mandatory for every resident, issued by the Federal Authority for Identity, Citizenship, Customs and Port Security, charged per person, and re-charged when the permit is renewed.
- The permit itself, issued into the immigration file once the first three are complete.
Add a work permit for anyone employed, which the labour ministry prices against the employer's establishment classification rather than at a flat rate — so the identical permit is not the identical cost at two identical-looking companies. Add health cover, which since 1 January 2025 has been a condition of issuing or renewing a residence permit for private-sector employees in every emirate, Sharjah, Ajman, Umm Al Quwain, Ras Al Khaimah and Fujairah included. Add dependants, who repeat the screening and the Emirates ID one person at a time and need attested marriage and birth certificates first.
A package advertising "licence + 1 visa" has priced the licence and the government's visa charges. It has rarely priced the screening, the Emirates ID, the cover or the dependants — those are per-person costs no seller can know until you say who is coming.
Attestation is charged in two countries by three authorities, and none of them is your consultant
Foreign documents do not enter a UAE file on their own authority. A document issued outside the country must first be attested by the foreign ministry of the issuing state, then by the UAE embassy or consulate there, and then by the UAE Ministry of Foreign Affairs. Where the document is not in Arabic, a legal translation by a licensed translator is a further step and a further charge.
This applies to degree certificates behind professional activities, to marriage and birth certificates behind dependants' visas, to corporate documents where a company rather than an individual is a shareholder, and to powers of attorney. It is charged per document, in a currency you may not control, on a timetable set by a government that is not the UAE's.
No package prices this, because no seller knows which documents you hold until they ask — and the cheapest packages are sold by firms whose speed depends on not asking. It is a common reason a setup quoted in days takes months.
- Attested by the foreign ministry of the state that issued it
- Attested again by the UAE mission in that same country
- Attested a third time by the UAE's own foreign ministry
- Translated, where the document is not in Arabic
External approvals are set by the regulator, which is why no licence package includes them

The activity you choose is the largest single determinant of whether a cheap licence stays cheap. Some activities require approval from a government body before the licence can issue, and that body sets its own fee, its own evidence requirements and its own timetable.
The UAE government's own licensing guidance names the pattern: telecommunications activities go to the Telecommunications and Digital Government Regulatory Authority; agriculture and environmental consulting to the Ministry of Climate Change and Environment; air cargo and travel agencies to the General Civil Aviation Authority; financial institutions and insurance to the Central Bank; auditing and branches of foreign companies to the Ministry of Economy; manpower supply to the labour ministry; financial consultation and investment advisory to the Securities and Commodities Authority. Clinics answer to a health authority, schools to an education regulator, food businesses to a municipality.
Two founders can buy the identical package on the same morning and end the year in entirely different cost brackets, purely on activity. A general trading licence and a supervised advisory licence are the same product only in the brochure.
The line items a package price does not contain
Year two is where the price you agreed stops applying
The second year is the first year without the discount, plus everything that only renews.
The licence renews. The immigration file renews. Every residence permit renews, which charges every medical screening and every Emirates ID again, per person. Health cover renews. The premises product renews, at a higher tier if the team grew, because visa capacity is tied to it. Where the zone requires audited accounts, the audit falls due. The corporate tax return falls due whether or not the company traded.
So comparing two sellers on their first-year headline is the wrong comparison. Ask both for a year-two quotation, in writing, for the same visa count, with government charges itemised separately from the service fee. A firm that will not put that in writing has already told you its renewal policy.
The steadier exercise is to model three years rather than two, because year one is distorted by one-off charges and by the discount at the same time; the three-year shape of a low-cost setup sets out what recurs, what repeats per person, and the triggers that turn a cheap licence into a move.
The tax obligations attach to the licence, not to the first invoice
A company that has not yet traded is still a company. Three obligations start at incorporation and none of them appears in a setup package.
Corporate tax enrolment is not optional and not revenue-dependent. Under Federal Decree-Law No. 47 of 2022, a taxable person must enrol with the Federal Tax Authority within the timeframe applicable to it. The administrative penalty for missing that deadline is AED 10,000, and it falls due on a company that may not yet have issued an invoice.
Small Business Relief reduces the tax, not the filing. A resident taxable person with revenue at or below AED 3,000,000 in the relevant and all previous tax periods may elect the relief. The threshold applies only to tax periods ending on or before 31 December 2029, extended from 31 December 2026 by Ministerial Decision No. 131 of 2026. Electing it still means enrolling, still means filing, and still means keeping accounts good enough to prove the revenue figure.
VAT arrives on a threshold, not on a decision. Mandatory enrolment applies at AED 375,000 of taxable supplies, and the application must be submitted within 30 days of becoming liable. A trading company on a cheap licence can cross that line in a quarter without noticing, because nothing in the licensing process warns it.

Where the cheapest licence is exactly the right purchase
It frequently is, and the honest version of this page has to say so.
A single consultant selling professional services, employing nobody, sponsoring nobody but themselves, with an activity no regulator supervises and revenue below the VAT threshold, is buying precisely the product a low-cost licence was designed for. The same is true of a founder testing a market before committing capital, and of a holding structure with no staff and no premises need.
In those cases the low price is not a trap. It is correct pricing for a small requirement. The failure mode is not buying cheaply — it is buying a price when the thing you needed to choose was a structure.
Where the cheapest licence is the wrong purchase
We would rather lose the engagement than sell you a licence that has to be unwound.
If the company needs a bank account to function, price is the wrong thing to optimise. Banks assess substance, and a licence bought on price — minimum premises, a broad activity chosen because it was included, an ownership chain assembled for speed — is the profile that produces refusals. Read what banks actually test before choosing the jurisdiction, not after.
If the activity is supervised by a regulator, the cheap zone may not be able to issue it at all. The approval is priced by the regulator, the evidence requirements are the regulator's, and some zones are not accredited for the activity in the first place. You will discover this after paying.
If you need to sell into the mainland UAE market, a free zone licence does not by itself confer that right. The structure question comes before the price question. Mainland formation and free zone formation answer different commercial problems, and the cheaper of the two is not the answer to "which one do I need".
If you expect to employ more than a handful of people, the premises product is the real purchase. Visa capacity is tied to it, and the upgrade is charged at the point where you have already hired, already committed and have no leverage.
If the entity exists mainly so that someone else looks at it — a residence permit for a business genuinely operated elsewhere, an account for flows that do not originate here — the cheapest licence is the fastest route to a company that gets exited by its bank and questioned by its regulator. Cheap makes that outcome arrive sooner, not later.
If you have not yet decided what the company will actually do, do not buy a licence to find out. The activity drives the approvals, the approvals drive the timeline, and the timeline drives the cost. Choosing an activity to fit a package is the expensive order to do this in.
Read the two sections against each other and they test the same six things — the questions do not change, only which side of each one you are standing on.
fit is settled before the deposit, or discovered at the renewal

None of this is a judgement on the seller, who is pricing the part of the job they control. It is a judgement on fit, and fit is settled before the deposit or it is discovered at the renewal, when the answer costs more and changes nothing you can still act on.
Fit is three choices made in order, and the zone is the last of them
Advice on the cheapest route into the UAE usually opens with a list of inexpensive free zones. The list is useful, but it answers the third question. Two earlier choices move the cost further, and both cost more to change once the licence has issued: which of the three company structures you are forming, and which legal form it takes.
Offshore is the third structure, and it is built to hold things, not to trade in the UAE
A UAE company is formed on the mainland, in a free zone, or offshore. The first two are licensed to trade, and everything above is about what their licences leave out. An offshore company — formed through RAK ICC in Ras Al Khaimah or through JAFZA's offshore regime in Dubai — holds no trade licence of its own, and its limits are written into the rules that create it. RAK ICC's regulations bar its companies from doing business with anyone inside its zone without the authority's express permission, and from conducting any activity elsewhere in the UAE until they have obtained the appropriate licences from the competent UAE authorities, on the terms that apply to a company incorporated abroad.
What remains is a holding vehicle: for shares in companies that do trade, for property and intellectual property, for a succession plan that spans several countries, and for business carried on entirely outside the UAE and licensed wherever it happens. It has no premises and no immigration file, so it cannot sponsor a residence visa. A founder who needs to invoice UAE customers, employ staff or live here on the company has bought the wrong structure, however low the price was.
The tax exemption older advice attached to offshore has gone as well. A company incorporated under UAE legislation is a UAE tax resident, and it enrols for corporate tax and files returns like any other company, including one that only holds. Offshore company formation sets out what the structure genuinely does well, and why the bank account is the hardest part of it.
A one-owner form costs least, and only the company version limits what you can lose
The legal form moves the price before the zone does, and the forms with a single owner are generally the least expensive to set up: one set of personal documents to attest, no co-owners to agree terms with, and the simplest file at every authority. Two very different things are sold under that description.
A sole establishment is not a company. It is one person trading under a licensed name, and the Government of Dubai describes its owner as personally liable for all of the business's financial obligations. A client's claim, a supplier's unpaid invoice or the balance of a lease is a claim on the owner's own savings and property. Who may hold one, and in which licence categories, is decided by each emirate's economic department, and the answer for a foreign national is not the same everywhere.
A company with one owner gives the same single-handed control with the exposure capped. On the mainland, a limited liability company may be formed by one partner and take up to fifty, and each partner's liability is limited to their share of the capital. In a free zone, the equivalent is a company or establishment with a single shareholder, incorporated under the zone's own regulations.
The saving between the two is modest and recurs every year; the exposure it buys is unlimited. For a business that signs contracts, holds stock, employs anyone or gives advice a client may rely on, the cheaper form is the more expensive risk. Choosing the legal form of your UAE company covers every form the law recognises, and one person, three legal shapes compares the solo routes on liability, visas and tax.
The zones quoted for low-cost setup were each built for a different business
Six free zones recur whenever the cheapest route into the UAE is discussed: RAKEZ, Ajman Free Zone, Umm Al Quwain Free Trade Zone, Fujairah Free Zone, SHAMS and IFZA. They are not ranked here by price. Promotional pricing changes without notice, and a league table of first-year headlines is exactly the comparison this page argues against. What changes slowly is what each zone was built around, and that decides whether your activity, your premises and your goods fit before any price is worth reading.
If the company will hold or move goods, one question divides the six more sharply than price: whether the facility sits inside a Designated Zone on the Federal Tax Authority's list, which governs how VAT treats goods moving within and between those zones. Ajman Free Zone, both Umm Al Quwain Free Trade Zone sites, Fujairah Free Zone and RAKEZ's three industrial zones are on it; RAKEZ's business zones, SHAMS and IFZA are not. For a consultancy the question never arises. For a distributor it can decide the zone on its own.
Ownership no longer separates these zones from one another, or a free zone from the mainland. A free zone company can be wholly foreign-owned with no UAE partner, and its capital and profits can be moved out of the country freely. Since the 2020 amendment to the Commercial Companies Law, investors of any nationality can also fully own a mainland company in every economic sector except some activities with a strategic impact, so advice that still sells full ownership as a free zone advantage describes a gap that has closed. Whether a particular payment actually leaves is a different question, answered in repatriating profit from a UAE company.
Whichever zone a quotation comes from, the questions in the checklist below come before its price — above all, whether your exact activity is on that zone's own list rather than inside a sector it is known for. For the emirates five of these zones sit in, and what a cheaper address adds back in travel, hiring, health cover and banking, read what a cheap licence outside Dubai and Abu Dhabi actually costs.
What to establish in writing before you pay a deposit
- The activity, decided on what the business will genuinely do, and confirmation of whether it requires an external approval.
- The number of people to be sponsored in year one and year two, and the premises tier each number requires.
- A per-person visa breakdown — entry permit, medical screening, Emirates ID, permit issuance, health cover, work permit where applicable.
- The list of documents needing attestation, and where each was issued.
- The year-two renewal quotation, for the same configuration, signed.
- A split between government charges and service fees, line by line, so the two can be compared across sellers — the four kinds of money on a formation quote shows where a third-party cost advanced on your behalf hides between the two.
- The accounting and audit obligation the chosen zone imposes, and its annual cost.
- The structure and the legal form, chosen before the zone — and, where one person will own the business, whether that form puts a company between the owner and a claim.
None of that requires a consultant to produce. It requires a seller willing to answer it, which is a narrower category. If you already hold a licence and the second-year invoice has arrived larger than the first, the useful questions — what the licence permits, what the premises supports, whether the structure still fits — are better asked before renewal than after.
Tell us the activity, who is coming and where your documents were issued, and our team in Business Bay will give you the itemised range rather than the headline. Where the honest answer is that the package you have been quoted is the right one, you will hear that too.
Frequently asked questions
Is a cheap free zone licence a real licence?
Yes. It is issued by the same authority under the same law as an expensive one and confers the same right to trade within its scope. The difference is not legitimacy — it is what the price covers, how much premises comes with it, and how many visas it supports before an upgrade.
Which excluded item catches founders out most often?
People. Everything inside a residence permit is charged per person and repeats at every renewal: the entry permit, the medical screening, the Emirates ID, the permit itself and the health cover. A founder who arrives alone and a founder who brings a spouse and two children buy the same licence and two very different companies.
Can any consultancy quote one honest all-in number?
Only against a full brief, and only as a range with the government charges itemised. Anyone quoting a single figure before asking what the business does, who is coming and which documents were issued abroad is pricing the part they control and leaving you to find the rest. A range you can test beats a single number you cannot.
Which free zone is the cheapest?
None holds the position long enough to name. Promotional pricing changes without notice, and the zone with this quarter's lowest headline may carry a higher renewal, a smaller visa allocation or the premises upgrade you need in year two. Start from what each zone was built for — six commonly quoted on price are compared above — and then compare their year-two quotations, not their first-year ones.
Is an offshore company the cheapest way to form a UAE company?
Only for a company that will never trade here. An offshore company holds shares and assets. It has no trade licence, may not conduct activities in the UAE until a UAE authority has licensed them, and cannot sponsor a residence visa. For a founder who needs UAE customers, staff or residence, it is not a cheaper free zone company but a different product, and the saving disappears the moment a licence has to be bought as well.
