Answered plainly

A mainland licence has one issuer and five conditions, and only one of the five belongs to the economic department

The obstacle this market still names first for a mainland company — a majority Emirati shareholder — was repealed in 2020 and stopped applying in Dubai in June 2021.

The difficulty this market names first stopped existing five years ago

The answer this market gives when asked what makes a mainland company harder than a free zone one is almost always ownership: you will need an Emirati partner holding the majority, or at least an agent on an annual fee.

Federal Decree-Law No. 26 of 2020 removed both. Dubai applied its list of eligible commercial and industrial activities from 1 June 2021, and the Commercial Companies Law was replaced wholesale by Federal Decree-Law No. 32 of 2021. What survives is a short strategic-impact list under Cabinet Resolution No. 55 of 2021, where a sector regulator sets the permitted foreign percentage case by case, and a local service agent on certain Dubai professional structures — an agent who holds no shares, no profit entitlement and no signing authority over anything. The full position is on four UAE obligations you are still being sold.

So the headline mainland difficulty is a repealed one. That matters less because founders are being overcharged for it, though some are, and more because it occupies the space where the real answer should be. A founder who has been told the mainland problem is ownership has been given a problem that a decree solved, and has therefore not been told about the four that a decree cannot.

One authority issues a mainland licence. Five hold conditions on it.

A free zone authority is a single counter with several desks behind it. It licenses the company, leases the premises, issues the establishment card, sponsors the visas and, in the financial centres, runs its own company and employment rulebook as well. One file, one relationship, one renewal conversation.

The mainland has no such counter. The Department of Economy and Tourism issues the licence. Whether it may issue it depends on a sector regulator that reports to nobody in the transaction. Whether the address is acceptable depends on a private landlord and a tenancy record held by the Land Department. Whether you may employ anybody depends on a labour file at the Ministry of Human Resources and Emiratisation. Whether you may sponsor anybody depends on a separate immigration file at federal immigration or, in Dubai, at the General Directorate of Residency and Foreigners Affairs.

Five bodies, five files, no shared record. Every mainland difficulty founders describe is a symptom of that, and it explains something the ownership story never could: why two founders who bought identical packages on the same morning finish on completely different dates. What each of those bodies wants from a Dubai licence, including the activities where a shareholder or an agent is still a condition, is set out on mainland company formation.

Read the last row first. It is the whole difference, and it is not a legal difference — it is an administrative one that nobody legislated. It is also the thing a zone is genuinely selling when it advertises simplicity. If you have not chosen a side of the fence yet, start instead at free zone or mainland, which is one question about your customer, because this page assumes the mainland is already on the table.

The condition founders under-price is the address, because it is a lease and a licensing test at the same time

Article 17 of Dubai's Law No. 13 of 2011 requires an applicant to specify premises suitable for the activity being licensed. That single word does the damage. Suitability is decided by the authority against the actual unit, and it is a different question from availability, price or what the agent said.

A tenancy on the mainland is negotiated with someone who has no obligation to your licence and no interest in your timetable, and it is then recorded — through Ejari in Dubai, operated by the Land Department, and Tawtheeq in Abu Dhabi. The recording is where a mismatch between the lease and the property surfaces, and it needs title and utility evidence that sits with the owner rather than with you. Four things go wrong repeatedly, and all four are the landlord's side of the transaction rather than the authority's:

  • The contract names the founder personally rather than the company, so it does not evidence the company's premises.
  • The unit is not permitted for the activity — stock at an office address, a commercial activity at a residential one.
  • The owner will not produce what the recording requires, which stalls a file at a step you cannot influence.
  • The space is too small for what the activity implies, which surfaces later as a capacity problem rather than as a premises one.

Inside a zone this class of problem does not arise, because the landlord and the licensor are the same organisation. That is a convenience with a price attached: the facility is a term of the package, set by the zone, and it is not negotiable in the way a market lease is. The address on your licence is filed by somebody else sets out what the recording actually proves.

"Unlimited visas on the mainland" is the second false claim, and it costs more than the first

The line circulates as a mainland selling point and it is not true. A mainland company's ability to sponsor people is not a property of being mainland; it is drawn from a labour file and an immigration file that are assessed separately from the licence, and capacity is tested against the premises and the activity rather than granted with the trade licence.

The failure mode is specific. The licence issues, the company trades, and the constraint stays invisible for months because nobody is standing behind it. Then a candidate accepts an offer, the permit is prepared, and the capacity is not there. Repairing it means a larger unit and a licence amendment, bought on the wrong side of a signed offer letter.

This market quotes floor-area-to-visa ratios with a confidence no authority publishes. This page will not reproduce a figure it cannot source. Treat any number you are handed as a claim to confirm in writing before it decides a lease. What opening a labour file actually involves is set out in hiring the first person opens a file the licence did not, which also covers the Emiratisation targets the labour ministry administers — an obligation that attaches to establishments on its record, and one of the few genuine asymmetries left between the two jurisdictions.

the question this section turns on

  1. Name the activity and the unitCapacity is tested against the premises and the activity, not granted with the licence
  2. Ask the authority or the zone in writing, against that unitNo authority publishes the floor-area-to-visa ratios this market quotes
  3. Does the capacity figure arrive before the lease is signed
  4. The figure arrives firstThe unit is chosen around the headcount, and the licence issues once
  5. It arrives after a candidate acceptsA larger unit and a licence amendment, bought on the wrong side of a signed offer letter
  6. Whether the number was in writing before the leaseTreat any figure you are handed as a claim to confirm

The condition that breaks timetables is the one held by a regulator the licensor cannot chase

Hand offers a large gold key over five icon-headed key stands while a woman reads a sheet

Where an activity sits under a sector authority — health, education, food, transport, telecommunications, media, financial services, manpower supply — that authority's clearance is a precondition of the licence, and the economic department holds the file until it arrives.

Two things follow that quotations systematically hide. The turnaround belongs to the second authority and is published against its own evidence requirements, unrelated to the licensor's. And the second authority does not exist because you chose mainland — a free zone company in the same activity meets the same regulator. The zone shortens the licensing half and does not shorten this half at all. Which body sits behind which sector is set out in the activities a second authority has to approve.

The question that prevents the whole class of failure is almost never asked before a deposit moves: which other body has to clear this activity, and what does it want to see? The distinction between a file a desk has returned to you and a file a desk is holding — only the first of which you can act on — is worked through in a mainland file is either returned by a desk or held by one.

What the coordination costs, and what it buys that no zone can sell you

The honest accounting has two columns and this page has only been writing one of them.

The mainland licence reaches the UAE market directly. A free zone licence does not, and closing that gap means a second permission, a branch, a distributor, a re-incorporation, or a transfer of the company itself to the mainland authority where both authorities' systems allow it and both approve. Each has its own consequences, set out in moving between free zone and mainland after you have chosen. Government and semi-government contracting is mainland territory in practice. And a mainland company's corporate tax analysis is comparatively short: Federal Decree-Law No. 47 of 2022 applies 9% above AED 375,000 and 0% at or below it, and there is no qualifying-income test to satisfy every year, because relief under Article 18 is a free zone question rather than a mainland one.

What the mainland gives youWhat it costs you

  1. Market reachThe UAE market directly, with no second permissionFive bodies hold conditions on one licence and share no record
  2. Corporate taxNo qualifying-income test to satisfy every year9% above AED 375,000 and 0% at or below it, and no relief to claim
  3. Sector clearanceNothing a zone avoids: the same regulator clears bothIts turnaround is published against its own evidence, not the licensor's
  4. The addressA lease negotiated in the market, on your own termsSuitability is decided against the actual unit, and the owner holds the evidence
  5. Public workGovernment and semi-government contracting, in practiceIt arrives with all five files, not with the licence alone

Set against that, the zone's single counter is real and worth money to a founder who does not need the local market. What it is not is a tax outcome, an ownership advantage or an exemption from a regulator. Those three were the free zone's sales list before 2020 and two of them have since been transferred to everybody.

Where a mainland licence is the wrong choice

Your customers are outside the UAE, and will stay outside it. Export, re-export, and services delivered abroad. You are paying for market access you will not use, and buying five files where one would do.

Your activity is clustered. Media, technology, healthcare, commodities and financial services all have zones built around the sector, with the regulator, the neighbours and sometimes the rulebook in one place. Sitting outside that cluster on the mainland buys reach you may not need at the cost of adjacency you probably do.

Headcount is one, and it is you. A single professional activity, no stock, no premises requirement beyond a desk. The mainland's five conditions are all live and four of them have nothing to do at that scale.

You cannot yet commit to a physical unit. The mainland premises test is unavoidable and it is a real lease with a real term. A zone facility bought as part of a package is the cheaper way to be uncertain.

Your funding depends on a regime the mainland does not offer. Where an investor expects a common-law holding structure, share classes and a court they recognise, the financial centres answer that and the mainland does not. Structuring a UAE company that investors can fund works that through.

Four things to settle before choosing, and none of them is about ownership

  1. Name every body that will hold a condition on your licence, by activity. If the list is one item long, the mainland's structural disadvantage does not apply to you.
  2. Get the visa capacity in writing from the authority or the zone, against the specific unit, before the lease is signed rather than after.
  3. Confirm which second authority clears your activity, what evidence it wants and what it publishes as its own turnaround. That number, not the licensor's, is your timetable.
  4. Decide whether you are buying market access or a cost base. Mainland is the first, a zone is usually the second, and every other difference between them is downstream of that one.

Frequently asked questions

Do I need an Emirati partner for a mainland company?

For ordinary commercial, professional and industrial activities, no. Federal Decree-Law No. 26 of 2020 removed the requirement and Dubai has applied its eligible-activity list since 1 June 2021. Where an activity sits on the strategic-impact list, the answer is not a flat majority requirement either — the sector regulator sets the permitted foreign percentage, so the question is what that regulator has decided for your activity.

What is a local service agent, and is it the same thing?

No. It survives for certain Dubai professional structures — typically a sole establishment or a civil company owned by non-GCC nationals — and it is not a shareholding. The agent holds no shares, no profit entitlement and no authority over the company or its bank account, and can be replaced. It is a privately negotiated annual contract, which is why quoted amounts vary and why the amount is negotiable.

Is a mainland company harder to bank than a free zone one?

Neither jurisdiction is a banking answer on its own. A bank tests the activity against the described business, the ownership chain, the substance behind the address and the counterparties. A mainland licence with a physical office and local customers can present more easily than a shared-desk zone entity with no identifiable UAE activity — and a well-run zone company can present better than a mainland one with a code that does not match what it does.

Can I start in a free zone and move to the mainland later?

Possibly, but not by your decision alone. The Commercial Companies Law now lets a company transfer to the mainland authority and keep its legal personality where both authorities' systems allow it and both approve; a move out of ADGM or DIFC depends on controls the law leaves to the Cabinet. Where no transfer is available or approved, the alternatives are a second permission, a branch, a distributor or a re-incorporation, each with different costs to your visas, contracts, bank account and tax position. That is a decision to take deliberately rather than to defer.

If the ownership rule is gone, why do quotes still include a sponsor line?

Usually because the quote template predates the change and nobody has re-read it. Occasionally because the activity genuinely sits on the strategic-impact list. Ask which instrument imposes the requirement and what has happened to that instrument since. A firm that cannot answer within a day has not read it either, and that tells you when the rest of their material was last updated.
