A mainland file is either returned by a desk or held by one, and only the return is yours to fix

The challenge older Dubai mainland guides name first — a 51% Emirati shareholder — was repealed in 2020 and is simply not the current rule.

Your mainland file has stopped, or you are about to open one and want to know where it will stop. Either way the first thing worth establishing is which of two completely different things has happened, because the answers are opposites and the market uses one word for both.

A return means a named desk looked at your submission, found a defect, and sent it back. You can fix it. The queue position at that desk resets, and anything you bought on the assumption that this step had passed may now be waste.

A hold means your file is complete and correct, and a decision sits with a body that answers to nobody in the transaction. You cannot fix it. Chasing it produces conversations rather than movement, and a consultancy promising otherwise is describing somebody else's desk.

Everything else on this page is a consequence of that distinction. Before any of it, though, one correction, because the challenge that older mainland guides name first has not been the rule for five years.

The challenge named first in every older guide was repealed in 2020

The assertion is that a Dubai mainland company requires a UAE national holding 51% of the shares, and that finding a reliable one is the founder's first problem.

That is not the current position and has not been since Federal Decree-Law No. 26 of 2020 amended the Commercial Companies Law, with Dubai applying its list of eligible commercial and industrial activities from 1 June 2021. Most activities now permit full foreign ownership. What survives is narrow: a strategic-impact list under Cabinet Resolution No. 55 of 2021, on which a sector regulator sets the permitted foreign percentage activity by activity, and a local service agent on certain Dubai professional structures owned by non-GCC nationals — an agent holding no shares, no profit entitlement and no signing authority over the company or its bank account.

So if a quote in front of you contains a sponsor line, ask which instrument imposes it and what has happened to that instrument since. The repeal and what replaced it are set out in four UAE obligations you are still being sold. The structural reason a mainland company is genuinely more work — five bodies hold conditions on one licence and none of them shares a record — is set out in a mainland licence has one issuer and five conditions, which owns that analysis. This page takes the next question: given those five bodies, what actually comes back, from whom, and with what note on it.

A return and a hold have nothing in common except the delay

The single most useful question to put to whoever is running your file is: which body is holding this right now, and what is it waiting for? A firm that can name the holder and the outstanding item is telling you the truth. A firm that cannot does not know either, and that is itself the finding.

the one distinction the market uses a single word for

  3. Did a named desk send the submission back with a defect
  4. A named desk returned it with a defectYou can fix it, and the queue position at that desk resets
  5. A complete file waits on a body outside the transactionNothing to resubmit; chasing produces conversations rather than movement

The desks a mainland file passes, and what each one sends back

Eight desks touch a Dubai mainland formation, and they test different things. The commonest return at each is boringly specific, which is what makes it preventable.

Three of those eight are worth saying more about, because they are where mainland files actually die.

The premises desk is a licensing test wearing a lease's clothes

Article 17 of Dubai's Law No. 13 of 2011 requires an applicant to specify premises suitable for the activity being licensed. Suitability is decided by the authority against the unit in front of it, not against the brochure, the price or what an agent said. And the lease is negotiated with somebody who has no obligation to your licence and no interest in your timetable, then recorded through Ejari, operated by the Land Department.

That produces a return pattern that is almost entirely the landlord's side of the transaction: a contract in the wrong name, an owner who will not produce what the recording requires, a unit that will not carry stock at an office address. The address on your licence is a document somebody else has to file sets out what the recording proves and what it does not.

The notary desk returns files for a reason that is invisible in English

A mainland company's constitution is executed from the Arabic text. Where the English beside it says something slightly different — a shareholding expressed differently, a manager's authority described more broadly, a trade name transliterated another way — the Arabic governs and the file comes back. It comes back for a mismatch nobody reading only the English would have noticed. Your mainland company's real documents are in Arabic covers who may translate and where English is permitted.

The sector regulator is not a return at all, and mistaking it for one wastes a month

Where an activity sits under a health, education, food, transport, telecommunications, media, financial or manpower authority, that body's clearance is a precondition and the economic department holds your file until it arrives. There is no defect to fix and nothing to resubmit. The turnaround belongs to the regulator, is published against its own evidence requirements, and is unrelated to the licensor's. Crucially, the same regulator applies inside a free zone — choosing a zone shortens the licensing half and does not touch this half at all. Which body sits behind which sector is in choosing a sector is choosing which second authority has to approve you.

A late return destroys purchases made earlier, and that is the actual cost

The delay is rarely the expensive part. The expensive part is that a formation is a run of separate submissions where each output is the next input, so a defect found at desk six was usually created at desk two — and by then you have bought things.

The order of operations is therefore the whole skill, and it is the one thing an experienced firm genuinely holds that is almost never how the service is described. What must not be bought yet matters more than what to buy. The sequence itself, read as a chain of dependencies rather than as a checklist, is set out on the Dubai mainland setup process.

What is genuinely harder on the mainland, stated as return mechanics

The five-bodies comparison lives on the other page. This one is narrower: what happens to a defect on each side of the fence.

What is not harder on the mainland deserves equal billing. Ownership is not harder — the rule everybody names was repealed. The sector regulator is not harder — it is identical on both sides. And the corporate tax analysis is comparatively shorter on the mainland, because there is no annual qualifying-income status to hold. Against that, the mainland licence reaches the UAE market directly and a zone licence does not, which is the whole reason anyone accepts the desks above and takes the mainland company route.

Where this page is the wrong answer

Nothing has been submitted yet. Then you do not have a returns problem, you have a decision problem, and optimising for desk behaviour before choosing the jurisdiction is premature. Seven decisions you make in week one and cannot undo in year two is the earlier page.

Your activity is regulated. Then your bottleneck is a hold, not a return, and every hour spent perfecting the licensing file buys nothing. The useful work is the regulator's evidence list.

Your file was returned once, on a single field. That is ordinary and it is not evidence of a bad consultant. A name substituted rather than restarted, a corrected field resubmitted the same day — this is what the fee is for. Judge a firm on whether it can name the holder and the defect, not on whether a return ever happened.

Your customers are outside the UAE. Then the mainland question itself is wrong, and no amount of desk-level competence fixes having bought market access you will not use.

You are looking for the cultural obstacle the old guides describe. Negotiation style and language are real features of doing business anywhere, and they are not licensing obstacles. The language issue that actually returns files is the Arabic constitution, which is a document problem with a document solution.

The licence has issued and nothing is outstanding. Then the thing to read is the renewal calendar, because every one of these desks re-tests you annually on its own date — your UAE company has one load-bearing renewal date.

What to establish before the first submission

  1. Which desks your activity touches, by name, including whether a sector regulator is involved at all. A one-item list means most of this page does not apply to you.
  2. The activity code in writing, checked against what you will actually be doing rather than against what passes fastest. A code accepted at the counter can still fail at a bank, at customs and in a tax analysis.
  3. What must not be bought yet — attestation, translation, a lease, an offer letter — and the sequence in which each becomes safe.
  4. Visa capacity against the specific unit, confirmed by the authority before the lease is signed. Treat any floor-area ratio you are quoted as a claim to be confirmed in writing; no authority publishes one.
  5. Who will tell you a file was returned, and how fast. Portal access in your own name answers this permanently — the portal logins are the company.

Frequently asked questions

Do I need a 51% Emirati partner for a Dubai mainland company?

For ordinary commercial, professional and industrial activities, no. The general requirement was removed by Federal Decree-Law No. 26 of 2020 and Dubai has applied its eligible-activity list since 1 June 2021. Where an activity sits on the strategic-impact list the answer is still not a flat majority rule — a sector regulator sets the permitted foreign percentage for that activity, so the real question is what that regulator has decided.

My file was returned. Does that mean the application is refused?

No. A return is a correction request at one desk, and the file continues from there. What it may have done is expire or waste something bought earlier, which is the cost worth quantifying immediately rather than the return itself.

Everything is submitted and nothing is moving. What is happening?

Most likely a hold rather than a return: a complete file waiting on a sector regulator, a consular chain, or owner-side evidence for the tenancy record. Ask which body holds it and what it is waiting for. If the answer is a second authority, the timetable is that authority's published one and no fee shortens it.

Is the mainland harder than a free zone, overall?

For administration, yes, and for a reason that has nothing to do with ownership: more bodies hold conditions and none of them shares a record, so defects surface late. For market access, the mainland is the only direct answer. The difficulty is real and it is the price of the access, not a defect in the jurisdiction.

Are the initial costs really the second big mainland challenge?

The lines are different rather than simply higher — a market lease instead of a zone facility, a separate immigration file, chamber membership arising with the licence. What catches founders is not the level but the repetition, because a late return means buying something twice. The anatomy of the quote is set out in a formation quote contains four kinds of money.

Can a consultant stop returns happening at all?

They can remove most of them, because the conditions at each desk are published and a firm that has run the sequence knows which of your three candidate names will survive and what must not be bought yet. They cannot remove a hold, and they cannot make a landlord produce a document. Which formation problems a consultant can actually remove sorts the two.
