What it actually costs

A Dubai real estate company is either a fee business or a balance sheet, and almost nothing crosses between them

Two completely different companies answer to the phrase real estate company in Dubai. One earns fees on property other people own, is licensed by the Land Department activity by activity, and needs almost no capital.

You have decided you want a real estate company in Dubai. The question that decides everything after it is not mainland or free zone, and it is not which free zone. It is this: does your revenue come from property somebody else owns, or from property you own?

Those two answers describe two companies that share a name and almost nothing else. One is a regulated service firm with staff, approvals and per-person licences, and it can be started with very little capital because the asset belongs to the client. The other is a holding vehicle whose entire risk is the asset on its own balance sheet, and which may need no real estate licence at all — until its behaviour starts looking like a trade, at which point it needs one urgently.

Almost every generic guide to "starting a real estate company in Dubai" blends the two, which is why its advice reads as unobjectionable and unusable. Pick a side first. Everything that sits behind the choice — freehold rights, brokerage licensing, escrow on unbuilt projects, net yields — is gathered in our real estate and property investment section.

The fee side is licensed activity by activity, and there are more of them than people expect

If your revenue comes from other people's property, the licence is the business. Dubai splits the work: the Department of Economy and Tourism or a free zone authority decides that a company may exist and carry the activity, and the Land Department, through RERA, decides whether that company and the individuals inside it may practise.

Department of Economy and Tourism, or a free zone authority

  • That the company may exist
  • That the company may carry the activity

Land Department, through RERA

  • Whether the company may practise
  • Whether the individuals inside it may practise

Two things surprise people at this point. The first is that there is no single real estate licence — the Land Department's own service lists a long set of separate activities, and they are not tiers of one permission that a firm climbs. Brokerage, property management, owners' association management, valuation and development are different businesses with different conditions, and the condition that separates them is whose money you hold and how long before they receive what they paid for. The second is that in brokerage the permission attaches to the person as well as the firm, and a brokerage runs on four permissions of which the trade licence is only the first.

That side is covered in depth elsewhere on this site: a brokerage licence does not let you manage a Dubai building, value it, or let it by the night takes the fee side activity by activity. The rest of this page is about the side nobody licenses.

Owning property is not a licensed activity. Doing it as a pattern can be.

Buying a Dubai apartment and letting it on an annual tenancy is not a business activity requiring a trade licence. It is ownership, and it is recorded on a title at the Land Department. Somewhere between that and a portfolio of fifty units turned over every eighteen months, it becomes a trade — and the boundary is drawn by what you do repeatedly, not by how many units you hold. A Dubai investment becomes a business when it needed a licence is the general case; here is the property-specific version.

  • Buy a unit and hold it
  • Let it on an annual tenancy

Ownership, recorded on a title at the Land Department

  • Buy, renovate and resell repeatedly

A trade, drawn by the pattern and not by the count

  • Let it by the night

A licensed activity, with its own permit and its own regulator

Read the third and fourth rows together, because that is where most people who think they are investors discover they are operating. Letting by the night is the clearest example: it looks like a variation on renting out your flat and it is a licensed activity with a different regulator.

What a company wrapped around the property changes, and what it does not

The instinct to hold property in a company is usually right for portfolios and usually wrong for a single unit. Here is what the wrapper actually does.

It separates the asset from you. A company that owns the property owes the mortgage, the service charges and the disputes. That matters when the portfolio is large enough that one bad building could reach your other assets, and it matters much less when the portfolio is one apartment you could sell in a quarter.

It changes who the owner is on the title, which changes several other answers at once. Whether a free zone entity or a foreign company may hold freehold title in a Dubai designated area is not a general question with a general answer — it depends on the zone, on the area, and on the Land Department's current position. Ask before you form the company, because forming the wrong vehicle and then transferring the asset into the right one means paying the transfer machinery twice. What a foreign buyer actually owns in Dubai sets out the ownership categories.

It changes the shape of your exit, and this is the single most valuable question to ask early. A property sale moves a title and attracts the Land Department's transfer fee, calculated on the price. A share sale moves the company that owns the title. Whether the Department treats the second as an instance of the first, for fee purposes, is the question that decides whether a holding structure saves anything at all on exit. Get that answered by the Department or by counsel before you pay for the structure. Note also that the absence of a capital gains tax is not a statement about your exit — the charges at the point of transfer are where the cost sits.

It does not make the residence question simpler. Both of the Land Department's residence routes for property investors rest on the owner named on the title. If a company is the owner, whether the shareholder qualifies is a question for the Department, not an inference. And a trade licence is not a golden visa in either direction.

It adds a succession problem it also solves. Property held personally passes under the succession rules that apply to you. Property held in a UAE company passes with the shares — and when a UAE shareholder dies, the company stops being able to act until the succession is resolved, which is a different problem rather than a smaller one. Both need a plan; neither is solved by the wrapper alone.

What the wrapper givesWhat it does not settle

  1. LiabilityThe company owes the mortgage, the service charges and the disputesLittle to ring-fence when the portfolio is one apartment you could sell in a quarter
  2. TitleA company, not you, is the owner named on the titleFreehold eligibility depends on the zone, the area and the Department's current position
  3. ExitA share sale moves the company that owns the title, not the titleWhether the Department treats that as a property transfer is still unanswered
  4. ResidenceNothing: both residence routes rest on the owner named on the titleWhether the shareholder qualifies is a question for the Department, not an inference
  5. SuccessionProperty held in a UAE company passes with the sharesThe company cannot act until the succession is resolved

The tax questions the two sides answer differently

Corporate tax is federal, applies at 9% on taxable income above AED 375,000 and 0% at or below it, and reaches property income like any other. What differs between the fee side and the asset side is which questions you have to answer.

Above AED 375,000 of taxable income9%The federal rate reaches property income like any other income

AED 375,000of taxable income

At or below AED 375,000 of taxable income0%Rent in a company's accounts is business income taxed at nil in this band

Two honest limits on that table. First, VAT is 5% and the rate is the least interesting thing about it in this sector: the categories are what determine your liability, and the Authority publishes a guide specifically for real estate because the categories are not obvious. Second, the boundary between an individual's real estate investment and an individual's business activity is drawn in the Authority's own material on natural persons, and no formation quote can settle it for you. If somebody tells you rental income is tax free without asking whether the owner is a person or a company, they have not read either document.

The costs that are not the purchase price

An asset-side company has a cost base that has nothing to do with its licence, and a first-year model built from the purchase price alone will be wrong by a wide margin.

No property tax is not no charges on property covers the charges an owner meets across a holding period, and the Land Department's own investor guide is the document to read before signing anything. Before you buy, use the free checks: Dubai has already done most of your property diligence, and the Department publishes the developers, the escrow trustees, the brokers, the valuers and the completion status of unbuilt projects at no cost to anyone.

Where a real estate company is the wrong structure

Four positions where the company is the expensive answer.

One unit, held for yield. A company around a single apartment adds a licence renewal, an official office address, bookkeeping and a corporate tax filing to an asset that produces rent whether or not the company exists. The liability it ring-fences is small, and the exit question may not be improved at all. Hold it personally and ask the tax question about yourself instead.

Commission income with no book. A brokerage licence does not produce transactions, and the market has a published list of everyone already licensed in it, which tells you exactly how crowded it is. If the plan is to earn fees on the strength of contacts you have not yet converted, an introduction is not influence, and the cheaper test is to work inside a licensed firm on a share of the fee before buying your own permissions.

Passive income from a let portfolio. A let unit is a small operating business with a tenant, a maintenance obligation, a service-charge bill and a renewal negotiation constrained by a published index. Investors who wanted passive income and bought units usually end up either paying a licensed manager or doing the job themselves. Price the management before you buy the asset.

A free zone company chosen on price to hold Dubai property. Jurisdiction shopping works for trading companies and fails here, because the question is not what the licence costs — it is whether that entity can appear on the title for that property at all. Dubai is four jurisdictions and the ownership answer is not the same in each. Confirm the vehicle with the Land Department before you pay a formation fee.

What to settle before anyone quotes you

Six answers, and a quote built on them can be compared against another quote.

  1. Does your revenue come from property you own, or property somebody else owns? If the honest answer is both, you are describing two entities and should price them separately.
  2. If it is the fee side, which named Land Department activity is it? Not "real estate" — the activity as the Department names it, because the conditions attach to that name.
  3. If it is the asset side, who will appear on the title? You, a UAE company, a free zone entity or a foreign company. Confirm the answer with the Department rather than with a formation adviser.
  4. Is the property residential or commercial, and is it a first supply? That determines your VAT position and it is settled by the Authority's Real Estate Guide, not by your accountant's habit.
  5. How do you intend to exit, and has anyone confirmed how the Land Department treats it? Share transfer and property transfer are not interchangeable until somebody with authority says they are.
  6. What is your assumed void period and service charge per unit per year? A projection without both lines is not a projection.

Sometimes the right answer to the first question is that you do not need a company in Dubai at all — you need a title, a manager and a tax opinion about yourself. That is a cheaper conclusion to reach before the formation fee than after it.

Frequently asked questions

Do I need a real estate licence to own and let a Dubai apartment?

Not in itself. Buying a unit and letting it on an annual tenancy is ownership: the title sits with the Land Department and the tenancy is Ejari-recorded. What changes the answer is a pattern rather than a count. Buying, renovating and reselling repeatedly raises the trading question, and letting by the night is a licensed activity with its own permit and its own regulator. A single apartment on a yearly lease is neither of those.

Should I hold Dubai property in my own name or in a company?

The wrapper is usually right for a portfolio and usually wrong for one unit. A company separates the asset from you, which matters when a single bad building could reach your other assets and matters very little when the portfolio is one apartment you could sell in a quarter. Against that it adds a licence renewal, an official office address, bookkeeping and a corporate tax filing to an asset that produces rent either way.

Is there a single real estate licence in Dubai?

No. The Land Department's own service lists a long set of separate activities, and they are not tiers of one permission that a firm climbs. Brokerage, property management, owners' association management, valuation and development are different businesses with different conditions, and what separates them is whose money you hold and how long before they receive what they paid for. In brokerage the permission attaches to the individual as well as to the firm.

Does holding property in a company make the exit cheaper?

Nobody can promise you that in advance. A property sale moves a title and attracts the Land Department's transfer fee calculated on the price; a share sale moves the company that owns the title instead. Whether the Department treats the second as an instance of the first, for fee purposes, is the question that decides whether a holding structure saves anything at all on exit. Get it answered by the Department or by counsel before you pay for the structure.

Is rental income from Dubai property tax free?

It depends on who receives it. Corporate tax is federal, reaches property income like any other, and applies at 9% on taxable income above AED 375,000 and 0% at or below it, so rent received by a company is business income in that company's accounts. Whether an individual's real estate investment amounts to a business at all is a separate question, and the Federal Tax Authority publishes dedicated material on natural persons for it.
