Answered plainly

A trade licence lets you sign. On its own it does not let you bank, sponsor, employ, import or reclaim anything.

The licence is issued and founders read it as permission to operate. It is permission to exist and to contract.

The licence arrives and the company can do less than the founder was told

A UAE trade licence is a permission to exist as a business and to enter into contracts. That is a real and useful thing. It is also almost the entire list.

On the morning the licence issues, a new company cannot receive money into an account in its own name, cannot sponsor a residence for anybody including its own owner, cannot put a person on a payroll, cannot clear a shipment through customs, cannot charge or reclaim value added tax, and in most cases cannot yet prove to a counterparty that it is anything other than a document.

None of that is a defect in the formation. Every one of those capabilities is issued by a different body against a different application, and the licence is the input to all of them rather than a substitute for any. The reason it surprises people is that the licence is the thing that gets sold, photographed and celebrated, so it acquires a significance nobody who issues it ever claimed for it. It is better read as a specification, because six different parties each read a different line of it once it is in your hands.

  • Receive money into an account in the company's name

The bank, at its own discretion

  • Sponsor a residence, the owner's included

The corporate immigration file, evidenced by an establishment card

  • Put a person on a payroll

The labour file and a work permit

  • Clear a shipment in the company's name

The emirate's customs authority, by client code

  • Charge or reclaim value added tax
  • File a corporate tax position

The Federal Tax Authority, by enrolment

"Three easy steps" is the wrong count, because the steps are not consecutive and most of them are not yours

The three-step version of a UAE launch — pick a structure, submit documents, start trading — describes the formation and stops at the moment the formation ends. What follows is not a fourth step. It is a set of parallel applications with dependencies between them, run against bodies that do not share a file. The licence is roughly a third of what has to be true before a company can invoice, bank, hire and file, which is why our own brief is finishing the setup rather than selling the licence.

Two of those dependencies do the most damage when they are discovered late. The establishment card sits between the licence and every visa, so a founder who budgeted for visas and not for the immigration file finds the whole plan waiting on a document nobody mentioned. And the bank sits downstream of everything and answers to none of it, which means the account you assumed would take a week can take considerably longer and can also simply not happen.

The order capabilities actually arrive in

Two properties of that ladder matter more than any individual rung.

It is not strictly sequential, and treating it as if it were wastes weeks. The immigration file, the customs code and the tax enrolments can be pursued in parallel with the bank. Founders queue them because a formation is described as a queue.

The bank is the only rung with no guaranteed outcome. Every other capability is a published test you either meet or do not. The account is a decision taken by a private institution under anti-money-laundering obligations, and it may decline without telling you which part failed. Plan the other rungs so that none of them is waiting on it, and read what the assessment actually turns on in corporate bank account opening before the file is submitted rather than after it comes back.

This is the half of the launch nobody schedules, because there is nothing to buy and no counter to visit. The clocks themselves, and the counter at which you find out one was missed, are set out in a UAE company's first year breaks on dates, not decisions.

The corporate tax period. A UAE company is within scope of Federal Decree-Law No. 47 of 2022 from the beginning, at 9% on taxable income above AED 375,000 and 0% at or below it. Enrolment with the Federal Tax Authority is an obligation in its own right and is timed by reference to the licence issue date for resident juridical persons — a schedule that has been amended, so take the current window from the Authority rather than from anybody's blog. Owing nothing and filing nothing are different positions.

The record-keeping obligation. Accounting records have to exist from the first day of the first tax period, not from the first return or the first invoice. A company that begins bookkeeping in month nine has a problem that is expensive to solve backwards and cheap to have avoided.

Anti-money-laundering supervision, if your activity carries it. A designated non-financial business or profession — real estate brokers, dealers in precious metals and stones, auditors and accountants, and corporate service providers among them — carries the obligation from licence issue rather than from first trade. Nobody says so at the counter.

Alongside those, the licence starts its own renewal clock immediately, and that clock is upstream of the immigration file, the labour file and the customs code, all of which are tested against it. Your UAE company has one load-bearing renewal date sets out which one it is.

Four corrections worth making before you build a plan on them

"No personal income tax in free zones" is not a free zone benefit. There is no federal personal income tax on employment income anywhere in the UAE, mainland included. Presenting it as something a zone provides is one of the oldest confusions in this market, and it makes a zone look like it is giving you something it did not.

"Free zone means zero tax" is no longer true, if it ever was that simple. A free zone entity is within scope of corporate tax and may be relieved at 0% on qualifying income if it meets the Qualifying Free Zone Person conditions for that tax period, under Cabinet Decision No. 100 of 2023 and Ministerial Decision No. 229 of 2025. It is a test passed annually, not a status attached to the licence.

"Unlimited visas on the mainland" is not a rule. Capacity is drawn from a labour file and an immigration file assessed against premises and activity. The claim circulates as a mainland selling point and there is no instrument behind it.

"An offshore company pays no tax" is a claim about the wrong thing. An offshore entity is still a person the corporate tax law can reach; whether tax is payable depends on income and on where the business is actually managed and carried on, not on the record the certificate came from.

What it promisesWhat is actually true

  1. No personal income tax in free zonesA benefit the zone gives youNo federal personal income tax on employment income anywhere in the UAE
  2. Free zone means zero taxA status attached to the licenceA relief tested annually on qualifying income, not attached to the licence
  3. Unlimited visas on the mainlandHeadcount without a ceilingCapacity assessed against premises and activity; no instrument states a number
  4. An offshore company pays no taxExemption by jurisdictionStill within reach of the corporate tax law; income and management decide

The sequence that works, and why the bank goes first even though it finishes last

  1. Open the bank conversation before the licence application, not after it. Every input a bank decides on — the activity code, the ownership chain, the substance behind the address — is chosen in week one and is expensive to change in month six.
  2. Apply for the establishment card as soon as the licence issues. It gates every residence, including the owner's, and it is the dependency founders discover last.
  3. Enrol for corporate tax on the Authority's schedule, not on your accountant's availability. The obligation is timed off the licence.
  4. Run the customs code and the labour file in parallel if you need either. Neither waits on the bank, and both wait on the licence. The customs side is set out in customs codes and moving goods after the trade licence.
  5. Start the bookkeeping in month one, at whatever scale is honest. The obligation exists whether the transactions do.
  6. Watch the VAT threshold rather than the calendar. Enrolment turns on taxable supplies passing AED 375,000, with voluntary enrolment available at AED 187,500. The thresholds that reopen a company file are set out in the thresholds that reopen a UAE company file.
Above AED 375,000Enrolment is mandatory, and only then may an invoice carry VAT
AED 187,500 and aboveVoluntary enrolment becomes available

AED 375,000in taxable supplies

Below AED 187,500Neither turnover test is met, and no invoice may carry VAT

Where launching immediately is the wrong move

Your first revenue depends on a capability you do not yet hold. If the business cannot invoice until it can clear a shipment or charge VAT, the licence date is not the start date and treating it as one produces a payroll running against no income.

Your bank application is weak and you know why. A broad trading activity with no named suppliers or customers, an ownership chain the bank cannot see through, or a shared desk with no resident manager. Fixing any of those before applying is cheaper than being declined and reapplying with the same file.

You have not decided the financial year end. It sets the first tax period and it is awkward to change afterwards. A week spent here saves a reporting problem that runs for years.

You are launching to secure a residence rather than to trade. A licence bought for the visa produces a company with obligations, renewals and a tax position, and the visa is not the cheapest part of it. A trade licence is not a golden visa sets out the difference.

Your activity needs a second regulator you have not approached. The licence may issue and the operating permission may not, and in several sectors the second document is the one that lets you take a customer.

the one question this section turns on

  1. Name the capability your first invoice depends onThe licence confers contracting, and almost nothing else
  2. Test the bank file before it is submittedAn activity that matches the business, a visible ownership chain, a resident signatory
  3. Fix the financial year endIt sets the first tax period and is awkward to change afterwards
  4. Does your first revenue depend on a capability you do not yet hold
  5. It doesThe licence date is not the start date, and treating it as one runs a payroll against no income
  6. It does notYou can contract and invoice from the licence date, with the other rungs pursued in parallel
  7. Whether the first invoice needs a document you do not holdSettle that before the licence issues, not after it

Frequently asked questions

Can I invoice a client with just my trade licence?

You can contract and you can issue an invoice. Whether you can receive the payment into a company account depends on the bank, and whether the invoice may carry VAT depends on whether you hold an enrolment. Invoicing with VAT before enrolment is not a shortcut; it is a defect on the invoice.

Do I get a visa automatically with my licence?

No. The licence permits the company to trade. Sponsoring a person requires a separate corporate immigration file evidenced by an establishment card, and in a free zone the visa capacity is a term of the facility you leased rather than a property of the licence.

How long until I have a bank account?

Nobody can tell you honestly, because the decision is the bank's and it is taken under its own due diligence obligations. What you can influence is the quality of the application: an activity that matches the described business, a documented ownership chain, identifiable counterparties and a resident signatory who can attend.

Do I need to enrol for corporate tax if I will not owe anything?

Enrolment is an obligation of its own, separate from whether tax is payable. A company below the AED 375,000 threshold still has a position to file, because owing nothing and filing nothing are different positions. The obligation is timed by reference to the licence issue date for a resident company, and that schedule has been amended, so take the current deadline from the Federal Tax Authority rather than from anybody's summary of it.

Can I start hiring before the bank account opens?

Legally the labour file and the work permits do not depend on the bank. Practically, salaries have to be paid through a compliant channel and the establishment's obligations begin at the first employee, so hiring ahead of an account creates an operational problem rather than a licensing one.
