Your trade licence is one page, and every party who reads it afterwards reads a different line

Formation is written about as though the licence were the finish line.

A UAE trade licence fits on one page. It carries a licence number, a trade name, a legal form, a list of activities, a named manager, an address and an expiry date, and the founder who has just paid for it reads it once, checks the spelling of the company name, and files it.

Everyone else reads it repeatedly, and none of them reads it for the same reason. Over the first two years of trading the licence will be pulled apart by a bank, a customs office, the tax authority, an immigration desk, a landlord and the procurement team of every corporate customer that puts you through vendor onboarding. Each of those parties cares about a different line, and several of them will refuse you on a line you have never looked at.

That is a more useful way to think about formation than a sequence of steps, because it tells you which decisions to spend time on. The fields that get read the most are not the ones the setup conversation dwells on. This page is about the readers; if what you want is the fields themselves, one by one, with what each one commits you to, that is every field on your Dubai trade licence is a declaration you can be held to.

The activity list decides the most and is chosen the fastest

Of everything printed on the licence, the activity list is the field that constrains the business, and it is routinely picked in ten minutes from a consultant's shortlist.

It decides what you may lawfully invoice for. It is checked at the bank against what money is actually moving through the account. It is read by customs against what you are clearing. It is the field a corporate customer's onboarding form asks you to evidence when your quotation describes work your licence does not name. And for a free zone company holding a conditional tax status, the activity is the field the whole status is built on — Cabinet Decision No. 100 of 2023 and the qualifying-activity decisions work off what the business does, not off where it sits.

The failure mode is always the same and it is never discovered at the counter. A licence is granted with three activities. Eighteen months later a real contract arrives that sits just outside all three. The choice is then to amend the licence, decline the work, or invoice it anyway and hope nobody reads the licence — and somebody always reads the licence.

the failure mode this section describes, from issue day to the contract that breaks it

  1. A licence is cut with three activitiesThe list is chosen from a consultant's shortlist in ten minutes
  2. Eighteen months later a real contract arrivesIt sits just outside all three
  3. What do you do with work your licence does not name
  4. Amend the licenceA small fee, then a fresh approval and a bank re-review
  5. Decline the workNo amendment, and no invoice
  6. Invoice it anywaySomebody always reads the licence
  7. Choose the list against what your first customers will pay forNot against the description you gave the consultant

Our page on commercial, professional or industrial covers how the categories differ, and the activities a second authority has to approve covers the lines that need a regulator's sign-off before the licence is worth anything.

Four colleagues around a table study loose sheets, two in Gulf dress and two in suits

The second field is treated as administrative and is not. Limited liability company, sole establishment, branch, free zone establishment with one shareholder, free zone company with several — the label tells a counterparty whether there is a company between you and a claim, and whether the entity in front of them is its own person or an extension of something abroad.

A branch is the clearest case. It is not a subsidiary; it is the parent standing here, and the parent's liability comes with it. That is set out in opening a UAE branch of your existing company. A sole establishment is the same problem in miniature — one person, no company between them and the claim, covered in working alone in the UAE.

Changing this field later is the least amendment-like amendment on the licence. Depending on the authority it can be handled as a change to the record, or it can require the existing entity to be wound up and a new one incorporated. Establish which before you choose, not after.

Read down the columns rather than across the rows and the pattern is that no single field is universally important. Read across and the pattern is that the activity line is the only one every column cares about.

Three sentences about the Dubai licence that were printed for years and are now wrong

The material this article replaces was written with three claims in it, all of which were once defensible and none of which should be repeated.

"A mainland company needs a UAE national holding 51 per cent." That stopped being the default position for most onshore commercial and industrial activities in 2021. A short residual list survives, and a local service agent is still involved in specific structures, but the blanket sentence is now false in the direction that costs a founder equity. The detail is in four UAE obligations you are still being sold.

"The minimum paid-up capital for a Dubai LLC is AED 150,000, and there is a capital deposit step." There is no UAE-wide minimum capital figure. Where a number exists it is set by the authority you incorporate under, and the deposit question is separate from the figure question. AED 150,000 is a real figure at one authority and hearsay at the next — worked through in the share capital figure is a promise, not a payment.

"Free zone companies are exempt from VAT and corporate tax." They are not exempt from either. Free zone companies are inside Federal Decree-Law No. 47 of 2022. What some of them hold is a conditional 0 per cent treatment on qualifying income, with a de minimis limit, audited accounts and an annual test. VAT is federal, and the VAT concept the sentence borrows — the Designated Zone — is a separate schedule that is not a synonym for the free zones.

Three claims, all inherited from advice written before 2021 and 2023, all still circulating. A useful way to date any Dubai setup document you are handed is to look for these three sentences; if one of them is present, the rest of the document is also from that era.

The sentence still in circulationWhat is actually the caseWhat believing it costs you
A mainland company needs a UAE national holding 51 per centNot the default for most onshore commercial and industrial activities since 2021Equity handed over that stopped being required in 2021
The minimum paid-up capital for a Dubai LLC is AED 150,000No UAE-wide minimum; the authority you incorporate under sets any figureOne authority's figure budgeted for at another
Free zone companies are exempt from VAT and corporate taxA conditional 0 per cent on qualifying income, with a de minimis limit and an annual testA status read off an address rather than tested each year

The licence says nothing about your tax, and the authority that taxes you does not read it

Man in a kandura, woman in an abaya and a man in a suit each point at one licence

This is the assumption worth removing early. A licence is a permission to carry on a named activity from a named place. It is not a tax status, it does not enrol you for anything, and the field that founders scan for a tax answer does not exist on the page.

Corporate tax and VAT obligations attach to the taxable person under the tax legislation, on their own triggers and their own calendar. Neither begins because the licence printed. Our UAE corporate tax and VAT and corporate tax compliance pages set out what actually starts them, and choosing your first financial year end covers the decision that fixes every tax deadline the company will ever have.

Amending a field is cheap; what the amendment sets off is not

Every authority publishes a fee for changing something on the licence, and the fee is almost always the smallest number in the transaction.

Change the activity list and you may trigger a fresh external approval, a new lease requirement, a bank re-review and an update to your customs file. Change the address and the tenancy record, the immigration establishment card and the customs clearing point all follow — the address on your licence is filed by somebody else covers who actually holds that record. Change the manager and every signature mandate the company holds is stale until it is refreshed. Change the shareholders and the beneficial owner record, the bank file and any transfer consent your zone requires all come into play.

The change on the licenceWhat the change sets off

  1. Activity listA different line on the licenceA fresh external approval, a new lease requirement, a bank re-review, a customs update
  2. AddressA different address on the licenceThe tenancy record, the immigration establishment card, the customs clearing point
  3. Named managerA different name on the licenceEvery signature mandate the company holds is stale until it is refreshed
  4. ShareholdersA changed ownership entryThe beneficial owner record, the bank file, any transfer consent your zone requires
  5. Legal formSometimes only a change to the recordAt some authorities the entity is wound up and a new one incorporated

The pattern is that the licence is a source document for a set of other records, and the cost of an amendment is the cost of resynchronising all of them. A UAE company does not grow gradually covers the version of this that arrives by arithmetic rather than by choice.

Four people each reach toward a different coloured band of one large document on the table

Where reading the licence closely is the wrong use of your attention

If you have not yet chosen the activity, the licence is not the document to be studying. The activity list is decided from the classification directory and from what your first customers will pay for, and no amount of scrutiny of a specimen licence improves that choice.

If you are a solo consultant on a package licence with one activity, most of this article is about companies larger than yours. Check the spelling, check the expiry date, diarise the renewal, and go and get customers.

If your business is regulated, the licence is the second document, not the first. The approval that matters comes from the sector regulator, and its conditions will be tighter than anything on the licence page.

The four things to check on the day it issues

Read the activity list against the last three quotations you sent, not against the description you gave the consultant. Read the legal form and satisfy yourself it is what you were told you were buying. Read the named manager and confirm that person can actually sign, and is available to. And read the expiry date and put it in a calendar with a reminder ninety days ahead, because it is the date the other five readers of this document use to decide whether the company in front of them is real.

Frequently asked questions

Can somebody else verify my licence without asking me for it?

Yes. Licence details are checkable through the federal National Economic record and through the issuing authority's own lookup. That is why a discrepancy between what you tell a counterparty and what the record says is found quickly.

Does the licence prove I can sponsor visas?

No. Visa capacity runs through a separate immigration file with its own establishment card, and that file is opened after the licence exists rather than with it. The licence is a precondition and not the permission, which is true of several capabilities founders assume arrive on issue day — what a new UAE licence does not yet let you do lists the ones that are switched on later.

If my activity is described loosely, is that safer or riskier?

Riskier, and the risk is asymmetric. A vague activity line is read narrowly by whoever is checking it and generously by nobody: the bank matches it against what is moving through the account, customs reads it against the goods, and a corporate customer's onboarding form asks you to evidence it when your quotation describes work the licence does not name. Precision protects you at the exact moment the field is being used against you.

What happens if the licence expires while a contract is running?

It is not only a renewal fee problem. Several dependent records key off a valid licence — the immigration file, the customs code, the bank's own compliance flag — and restoring them is slower than renewing on time. The expiry date is also the field every other reader of the document uses to decide whether the company in front of them is currently real, so a lapse is visible to counterparties you have not spoken to.
