The LLC is not a trend, and it is not the American LLC the advice was written for

The limited liability company has been the default onshore UAE vehicle for decades. What changed between 2020 and 2021 was who may own one, not the form itself.

Somebody has told you to form an LLC, and the reasons offered were probably ownership flexibility and limited liability, with a tax advantage mentioned third. The first two are real. The third is imported from a different country's tax code and has never described anything that happens here.

The limited liability company is also not a new arrival, and it was never a trend. It is the form almost every onshore UAE company has taken for decades, because it is the form the licensing departments, the banks and the courts were all built around. What changed between 2020 and 2021 was not the form. It was who is allowed to own one.

So this page takes the LLC on its own terms: what the liability boundary covers and where it leaks, who is permitted to bind the company, what corporate tax makes of the form, what every later change to it costs, and when it is the wrong thing to be buying. The prior question — which of the UAE's legal forms fits your situation at all — is settled on choosing the legal form of your UAE company. This page assumes you have landed on this one.

Four claims in circulation, and what each one actually is

Most of what is said about the UAE LLC was true at some point, which is what makes it durable.

What is saidWhat it actually isWhat it leaves you holding
The LLC is a new trend in DubaiThe form almost every onshore company has taken for decadesThe right form, bought for the wrong reason
An Emirati partner, sponsor or nominee is requiredWhat changed between 2020 and 2021 was who may own one, not the formA contract sold on a rule your activity has probably left behind
Limited liability walls off the people involvedA boundary around the company's obligations, with routes straight past itA boundary you may already have signed away
An LLC carries a tax advantageImported from another country's tax code, and it has never described anything hereA federal charge on the company's own income that no election moves off it

The second row still costs people money, because a contract is still being sold on the strength of it. If a consultant is arranging a local partner, a sponsor or a nominee shareholder for an ordinary trading or services activity, ask which published list puts your specific activity outside the reform. That list exists, it is short relative to the whole economy, and your activity is probably not on it. The counterparty that genuinely survived the reform is not a shareholder at all — it sits on certain non-LLC licences, and it is set out on commercial, professional or industrial.

What "limited" limits, and the doors it does not close

The company is a separate juridical person from the day it is incorporated. It owns its own assets, owes its own debts, sues and is sued in its own name, and a shareholder's exposure to its obligations is confined to the value of the shares they hold. That is the whole of what the form buys, and it is worth a great deal — a trading company that fails owes its suppliers, and the shareholders do not.

What it is not is a wall around the individuals involved. Several routes go straight past it, and most of them are opened by the founders themselves.

the one question this section turns on

  1. The company is incorporated as a separate juridical personIt owns its own assets and owes its own debts
  2. It sues and is sued in its own nameThe claim is against the company, not against the people in it
  3. A shareholder's exposure is confined to the value of the shares heldThat is the whole of what the form buys
  4. Has anybody put their own name to one of the company's obligations
  5. Nobody hasA failed trading company owes its suppliers; the shareholders do not
  6. The bank guarantee is signed, the landlord holds a cheque, or the capital is unfundedThat obligation becomes unlimited for the person who signed it
  7. The signature, not the form, decides where the boundary sitsSettle who is about to guarantee anything before the memorandum goes to the notary

The third row is where most of the form's value is signed away. A new company has no trading history, so the bank asks the shareholder to guarantee the facility and the landlord asks for a personal cheque. Both are ordinary requests. Both convert a limited exposure into an unlimited one for that obligation, and the founder who paid for an LLC specifically to obtain a liability boundary has just handed back the part of it that would have mattered. Why a new entity gets asked at all is covered on a new UAE company has nothing a lender can hold.

The last row is the one people find hardest to accept, because it does not behave like a corporate matter. A cheque is signed by a human being, and the consequences of it bouncing follow that human being. No company form intercepts that.

The manager is the form's real mechanism, and also its concentrated risk

An LLC does not act. A manager acts, and the general assembly of shareholders appoints and removes them. This is the part of the form founders under-read, because ownership feels like the important column and it is not the operative one.

Two consequences follow. A shareholder holding every share is not automatically the manager, and where the memorandum names somebody else, that somebody else is who the licensing department, the bank and the counterparty recognise. And the manager's powers are whatever the memorandum gave them and no more — a manager who signs beyond that authority has exposed themselves without necessarily binding the company, which is the worst available outcome.

Where the memorandum is silent, the statute's default applies, and defaults are written for the general case rather than for yours. The instrument that governs is the Arabic one, which matters more than founders expect and is set out on the Arabic text is the one that governs.

The American LLC is a tax structure. The UAE LLC is not.

This is the largest single error in the material circulating about UAE LLCs, and it travels because two jurisdictions use the same three letters for different things.

Read the fourth row twice. A UAE LLC with no revenue and no tax to pay still has a filing obligation, and the penalty regime does not distinguish a dormant company from a busy one. That obligation starts at incorporation, not at first invoice.

Above AED 375,0009%Unchanged, and nothing pushes the profit onto the shareholders' own returns
At or below AED 375,0000%Files for every tax period, including one in which no tax is due

AED 375,000of taxable income

No revenue at all0%, with no tax to payThe return still falls due; the penalty regime treats a dormant company like a busy one

Two further corrections belong here. A free zone entity whose name carries the LLC suffix is licensed by a zone authority under that zone's own rules, and the suffix tells you nothing about its tax position — a 0% outcome there depends on satisfying Qualifying Free Zone Person conditions, not on the letters after the name. And no zone can exempt anyone from a federal tax, because corporate tax is federal. The detail sits on VAT and corporate tax rather than here.

Everything you will ever change about an LLC is a notarised document

Here is the cost that never appears in a comparison table, and it is the honest answer to the claim that the LLC is the low-admin option.

None of this is difficult. All of it is sequential, and each step waits on the one before it. A free zone entity handles most of the same changes as amendments to the authority's own record with no notary in the chain, which is a genuine operational difference between the two and one of the few that survives scrutiny. The LLC also carries a standing audit duty: the company must have one or more auditors auditing its accounts each year, elected by the general assembly, however small it is.

A mainland LLC may be held by a single partner and, on the current text, by up to fifty. The single-partner version is a legitimate form rather than a workaround. It is also the version where shareholder, manager and signatory are one person, so the separations described above exist on paper and nowhere else. What that does when the shareholder dies is set out on when a UAE shareholder dies.

Where the LLC is the wrong form

The form is the default, which is exactly why it gets sold to people who should not have it.

You work alone, with no employees and nothing third parties can claim against. A consultant invoicing three clients from a laptop is buying a memorandum, an audit duty and a notary relationship to hold a boundary nothing is pressing against. A permit or a sole establishment may be the honest answer, and the comparison is on working alone in the UAE.

You intend to raise institutional money. Share transfers in an LLC run through pre-emption and a notarised memorandum amendment, which fits a funding round's mechanics poorly and its timetable worse. Where the round is real the holding vehicle usually sits elsewhere — see structuring a UAE company that investors can fund.

Your parent company wants no second balance sheet. A branch is an extension of the existing company rather than a new entity, which is sometimes exactly what a group wants and sometimes exactly what it cannot accept. That trade-off is on opening a UAE branch.

Your profession does not take the form. Several regulated and professional activities are licensed in other shapes, and the activity makes that choice rather than your preference.

You bought it for the liability boundary and then guaranteed everything personally. Where the bank facility, the lease and the largest supplier account are all personally guaranteed, the form is protecting you against the creditors you do not have. That is not a reason to avoid an LLC. It is a reason to know what you are actually holding before you pay to maintain it.

Nothing about your operation touches the UAE. A company with no UAE customers, no UAE premises and no UAE staff is carrying a mainland LLC's amendment overhead for a jurisdiction stamp. Compare it against a free zone entity, and compare year three rather than the first invoice.

What to settle before the memorandum goes to the notary

Four things, all of them cheaper to decide now than to amend. Who is named as manager, with powers expressly stated rather than left to the default. Which majorities each class of decision needs, written into the memorandum instead of inherited from the statute. What the capital figure is and whether it will actually be funded, since the unfunded portion is a personal exposure. And whether anybody is about to guarantee an obligation personally — that decision does more to your real liability position than the choice of form ever will.

Frequently asked questions

Is a free zone company using the LLC suffix the same form?

No. It is licensed under its zone's own companies regulations by a zone authority, and the suffix is a naming convention rather than a statement that the federal companies law governs it. What differs in practice is who amends the corporate record, what the audit and filing duties are, and which customers the licence reaches.

If I hold every share, am I the manager?

Only if the memorandum says so. Ownership and management are separate positions in this form, and the licence prints the manager. A sole shareholder who was never appointed has a company that cannot lawfully be bound by the only person in it.

Does limited liability protect me from a dishonoured cheque?

No. A cheque is signed by a human being, and the consequences of it bouncing follow that human being — the same is true of a labour offence or a false declaration. The company's form does not intercept any of it, and nothing about being an LLC changes who the signatory was. This is the most common way a founder discovers that the liability boundary has a person-shaped hole in it.

Does an LLC pay tax before or after its shareholders do?

The company pays on its own taxable income, at 9% above AED 375,000 and 0% at or below it. Nothing treats that profit as the shareholders' income instead — there is no election of the American kind that pushes it onto their personal returns. A distribution out of already-taxed profit is a separate event from the company's own liability, and the company files for every tax period, including one in which no tax is due.

Can an LLC be converted into another form later?

Conversion of legal form is addressed in the 2025 amendments to the companies law, and the practical question is whether the authority you are licensed with is operating the procedure yet. Treat it as a project with a cost rather than as a form field, and confirm the position with that authority before relying on it. What a conversion costs, and which exposures it leaves exactly where they were, is priced out on changing the legal form of a UAE company.

Does a small LLC have to appoint an auditor?

Yes. The audit duty attaches to the form rather than to the revenue, so a company with modest turnover still carries it: the company must have one or more auditors auditing its accounts each year, and the general assembly elects them. Plan for it in year one, because the first set of accounts is the hardest to reconstruct afterwards.

How many shareholders can an LLC have?

One is permitted, and the current text sets a ceiling of fifty. The single-partner version is a legitimate form rather than a workaround, though it is also the version in which shareholder, manager and signatory are one person, so the separations this form relies on exist on paper and nowhere else. Companies reach the ceiling by accident more often than by plan, usually through an employee share arrangement nobody modelled against it.
