Converting a UAE company’s legal form became possible in 2025, and it does not cancel what the old form already did

The legal form sits on your quotation before anyone asks you about it, and it decides three things no licence amendment reaches: who answers a claim, who may hold the business, and who may bind it. Federal Decree-Law No.

The quotation arrives with the form already chosen. It is on the trade name reservation, it is the spine of the memorandum, and it will be printed after the company's name on every invoice the business ever issues — and almost no founder is asked about it, because by the time a price exists the decision has been taken by whoever built the package.

For most businesses the default is right, and onshore that default has long been the limited liability company — what it actually is, and is not, is the subject of the LLC after the ownership reform. The problem is not that the wrong form gets chosen often; it is that the form is the one first-hour decision whose reversal cost is invisible. Since October 2025 there is a federal route to convert it. That route is genuinely useful and it is routinely oversold, because a conversion runs forward. It does not reach back and unmake what the previous form already did.

What each form is, who may hold it and what each does to liability is set out in federal law recognises five company forms. This page is about what it costs to leave one.

The form fixes three things, and a licence amendment reaches none of them

An activity can be added. A trade name can be changed. Premises can be upgraded. Those are amendments: a fee, a form, an afternoon. The form is a different class of decision because it is not recorded in one place — it is recorded in the memorandum, in the licence, in the bank mandate, in every contract and in the mind of every counterparty who read an invoice.

Read the last column. It is the whole argument of this page.

Liability does not convert

This is the part that gets stated wrongly in almost every conversation about legal forms, usually by someone who means well.

A natural person trading under a licence answers for the business in all their own assets. A partner in a civil company answers for a negligence claim against the practice in their own assets. Those are not features of a document you can replace. They are the position that applied to the period during which that form existed, and converting the business to a limited liability company next March does not retire a claim that arose last November. What a conversion does is change the answer going forward.

Three related points follow, and each one has cost somebody real money.

A personal guarantee is a separate contract. The guarantee a bank or a landlord took from you personally is not a term of your company's constitution. It does not read the memorandum, it does not notice the conversion, and it survives it. The only thing that releases a guarantee is the person who holds it.

A branch never had its own liability to convert. A branch is the existing company holding a UAE licence — its contracts are the parent's contracts and its debts are the parent's debts, without limit. Worse, where a foreign company's branch traded on the mainland before the federal approval and the emirate licence were both complete, the law makes the individuals who carried on the activity personally and jointly liable for it. Incorporating a company afterwards does not reach that period either.

An invented form was never a form. A company that takes some structure other than those the law lists is void, and the persons who contracted in its name answer personally and jointly for what it incurred. There is nothing to convert out of, because there was never a container.

the one question that decides whether a conversion helps at all

  1. Find the form that applied when the act occurredThat form, not today's form, decides who answers
  2. Ask whether the exposure is the company's or a person's ownA natural person, or a partner in a civil company, answers in their own assets
  3. Ask who holds any guaranteeA guarantee is a separate contract and only its holder can release it
  4. Did the claim, the debt or the guarantee arise before the change of form
  5. It arose beforeThe old position stands for that period — insurance, negotiation or settlement
  6. It arises afterThe new form answers, and that is the whole of what a conversion buys
  7. The date of the act, not the date of the memorandumPrice a conversion for what it fixes going forward

Who may own it is a different question from who may hold a licence

The 2020 ownership reform is the most misquoted fact in this market, in both directions. The mandatory Emirati shareholding was removed from most onshore activities with effect from 1 June 2021, and the Ministry describes full foreign ownership against the five forms the companies law lists. Two qualifications matter for a founder choosing a form rather than reading a headline.

The sole establishment is not one of those five forms. It is a natural person trading under a licence, created by the emirate's licensing law rather than by the companies law, so who may hold one is the emirate's answer and it splits by licence category. A professional establishment is generally open to a foreign national, in Dubai with a Local Service Agent named on the file. The commercial and industrial position has not moved evenly between emirates, and any flat statement either way is worth treating as unsettled until the department that would issue the licence confirms it against your own activity code.

And the narrow list of activities of strategic impact carries conditions the relevant authority sets. That is checked against your activity, not assumed from the sector.

One trap sits inside the partnership forms and it is worth naming because it is sold as an advantage. A limited partner is liable only to the extent of their contribution — on two conditions. A limited partner who takes part in management can be treated as a general partner, and a limited partner whose name appears in the company's name with their knowledge assumes general-partner liability toward anyone who dealt with the company on the strength of it. A person the market believes is running the business cannot claim the protection of not running it.

Conversion became possible in October 2025, and the free zone sits outside it

Federal Decree-Law No. 20 of 2025 introduced two things that change this subject. An onshore company may convert its legal form while keeping its legal personality, and domicile may be transferred between UAE licensing authorities. Before that, changing form generally meant a new entity and rebuilding everything attached to the old one.

Three qualifications keep it from being the escape hatch it reads as. Parts of the amendment depend on Cabinet-level rules and on each authority adapting its own templates, so the operative question is what a given economic department will actually process this month. The amendment sits in the federal companies law, and the free zone carve-out in that law is the reason it does not simply carry across — a change of form inside a zone answers to the zone's own incorporation rules, and two zones are two different answers. And preserving the legal person does not preserve what hangs off it, which is the next section.

Four different operations get described as "changing my company", and they are not the same transaction.

  • A different activity, trade name or premisesA fee, a form, an afternoon

An amendment to the licence

  • A different legal form, onshoreThe legal person is preserved, and the form changes going forward

A conversion of form under Federal Decree-Law No. 20 of 2025

  • A different onshore licensing authority, same formWhat a given economic department will process this month

A transfer of domicile between UAE licensing authorities

  • A different legal form inside a free zoneThe federal carve-out: the zone's own incorporation rules decide
  • A free zone company that wants to be on the mainlandThe bank account, the visas and the customs code are re-done

A new entity, and the business migrated to it

The cost is the re-papering, and most of it is held by people who do not work for you

The government fee for a conversion is not the cost. The cost is that a dozen separate records name your company in its old form, each is held by a different party, each has its own process, and several of them can stop the business while they catch up. The legal form is also a mandatory part of the trade name, so a conversion is a name change as well — and a name change reaches every attested document, every signatory record and every live contract.

  • Whether the account survives the change of formOnboarding is a commercial policy, not a licensing consequence

None of that is a reason to avoid a conversion that is genuinely needed. It is the reason to price one properly, and the reason the answer is often to get the form right at the start instead — the adjacent decisions with the same property are set out in seven decisions you make in week one and cannot undo in year two.

Two memorandum terms are cheap to write and expensive to retrofit

The profit and loss split is fixed by the memorandum in advance. Where it is silent, shares follow each partner's contribution to capital. Three terms are void however they are drafted: a clause shutting a partner out of profit, one excusing a partner from losses, and one promising a partner a fixed percentage of profit. The last is the one that catches the silent investor who was offered a guaranteed return — as a share of profit the promise does not hold, and a return that has to be certain needs a different instrument, priced as one.

The second is the share structure. An LLC has been able to carry more than one class of share since 15 October 2025, which changes what can be done without a conversion at all; what an investor needs to see, and which structures make a company impossible to fund, are worked through in structuring a UAE company that investors can fund.

Where converting is the wrong answer

Your problem is exposure that already exists. A conversion is forward-looking. A claim that has arisen, or a guarantee already given, is addressed by insurance, negotiation or settlement — not by a change of form. Paying for a conversion to solve it buys nothing.

You are pre-revenue and testing whether the market exists. Optimising a structure for a business that may not survive the pilot is a real cost against a hypothetical benefit. Take the simplest form you can exit cleanly and revisit it when there is something to protect.

Your real constraint is the sector regulator. Where a health authority, a media regulator, a financial supervisor or a municipality has to approve you, no form relieves that, and the approval file has the longer timetable.

You want a heavier form because it sounds substantial. The share company forms exist to raise and spread capital across many holders, and they carry the governance, capital and audit obligations that go with that purpose. A two-person business inside one pays for a board it will never use and banks more slowly.

You are inside a free zone and reading the federal reform as yours. The carve-out means your answer comes from the zone, and it may be a second entity rather than a conversion. Get that answer before you budget the first one.

You are converting to fix a bank relationship. Onboarding is a commercial policy. A new form gives the bank a fresh file to assess, not a reason to reach a different conclusion.

You are being sold a partnership to solve an ownership problem that no longer exists. The mandatory Emirati shareholding was removed from most onshore activities in 2021. A nominee arrangement or a side agreement offered as the way to hold a business you can now own outright is answering a question the law closed years ago — the full list is in the obligations that no longer exist.

What to settle before the memorandum is signed

  • Whether anything you sign can create a liability larger than the business could pay, because that question chooses the form on its own
  • Whether a person who is not you will hold value in this thing within three years
  • Which of your counterparties hold a consent right over a change of form or control
  • Whether your authority is onshore, in an ordinary free zone, or in a financial centre, because the conversion route differs in all three
  • Who holds a personal guarantee today, and what it would take to have it released
  • What the taxable person position is on a conversion, answered by the tax authority rather than assumed

Frequently asked questions

Can I convert a sole establishment into a company and keep the trading history?

The licence history and the trade name are the authority's records and they can usually be carried in some form; the personal exposure from the establishment period is not a record and cannot be. Ask the department what it will process before you plan the sequence.

Does converting protect me from a claim about last year?

No. The form that applied when the act occurred is the form that decides who answers for it. A conversion runs forward only, so a natural person who traded under a licence, or a partner in a civil company, still answers in their own assets for the period during which that form existed. A personal guarantee behaves the same way: it is a separate contract, it does not read your memorandum, and only the person holding it can release it.

Can I move my company from a free zone to the mainland?

In practice that is a new incorporation and a migration of the business rather than a conversion, because the federal route does not carry into the zones. The bank account, the visas and the customs code are re-done, and the trade name has to be available at the new authority.

Does the legal form change how much tax I pay?

Rarely by itself. What the form decides is whether there is a taxable person at all, and therefore whether there is a return to file in a year with no profit. Rates and free zone treatment turn on where you are licensed and what you actually do.

Can a company be a partner in my company?

Generally yes for the corporate forms, and it is how holding structures are built. It changes the file: the corporate partner's own constitutional documents, attested, and beneficial ownership traced through to natural persons. Budget the attestation timetable, which belongs to consulates rather than to your deal.

Will my bank account survive a conversion?

Treat it as a fresh assessment and tell the bank before the authority tells it. An account frozen mid-conversion is the most common way a technically successful change of form damages a business. Onboarding is a commercial policy rather than a licensing consequence, so the new form gives the bank a fresh file to assess and not a reason to reach a different conclusion. Expect a new mandate and a new signatory list, and expect any facility conditioned on the borrower's identity to be looked at again.
