How to Start a Trustee and Custody Services Business in Dubai
Assets outlive the arrangements that hold them. A shareholding survives the founder who built it, a portfolio survives the marriage that accumulated it, and a family's property survives the generation that knew why it was bought in that particular country. At the point where the asset outlasts the person, somebody has to be holding it who is not the owner, under a document that says exactly what they may and may not do with it. That is the work on this line.
Trustee, fiduciary and custody services on a fee or contract basis names three versions of the same relationship. In each of them the asset belongs to somebody else, the holder's authority is written down rather than assumed, and — this is the part of the name that does the most work — the holder is paid a fee for holding, not a return for owning. The qualifier is not administrative tidiness. It is the boundary that separates this activity from every investment line in the catalogue, and it is the first thing to settle about a plan, because it decides whether what is being described is a service sold to clients or a vehicle built for the founder.
It follows that the product here is not performance. Nobody buys a trustee because the assets will grow. They buy a trustee because the arrangement will still be intact, correctly documented and defensible in ten years, under somebody with no interest of their own in the outcome. Continuity and independence are what is being sold, and both are difficult to prove at the start of a practice, which is the central commercial problem of the trade.
The buyer has an asset and a problem that outlasts him
Families holding assets in more than one country
The most common reason anyone reaches for this service. Property in one country, a company in another, a bank account in a third, heirs in a fourth, and no single arrangement that works across all of them. The client is not buying investment management; they are buying one holder, one set of records and one instrument that answers the question of who may deal with what.
Owners whose shares have to survive an event
A business with two or three principals has a predictable vulnerability: the death, divorce, incapacity or departure of one of them puts shares into the hands of people who have never run anything. Holding those shares under an instrument settles in advance who may vote them and on what terms, which is worth far more than it costs and is almost always arranged too late.
Funds and managers who need an independent holder
Where somebody else's money is being managed, the person deciding what to buy should not also be the person holding it. That separation is a structural requirement of credible fund arrangements rather than a preference, which is why an independent holder has a market that does not depend on anybody's investment view.
Parties to a transaction who need a neutral hand
Escrow is fiduciary work in its purest form: two parties who do not trust each other both trust a third to hold the consideration and release it only on a stated condition. The engagement is short and the whole value is that the holder has no stake in which way it goes.
Groups needing an officer who is not an employee
A corporate group sometimes needs a director, a signatory or an officer independent of management — for a joint venture, for a lender's protection, or because a counterparty insists on it. That is a fiduciary mandate, and it carries personal exposure, which is why it is paid for.

CZ 365 — Trustee, fiduciary and custody services on a fee or contract basis
Three distinguishable jobs sit inside the activity, and a practice usually does one well before it does any of the others at all.
A trustee holds assets under a trust or foundation instrument and owes duties to beneficiaries who are not the person paying the invoice. That last clause is the whole difficulty of the role. The duty runs to people who may be children, may be unborn, and may one day disagree with each other, and it cannot be discharged by doing what the person who established the arrangement would have preferred.
A fiduciary acts for another under a narrower mandate — as an officer, an attorney under a power, a nominee signatory, an escrow agent. The authority is specific and usually shorter-lived, but it is still personal: the obligation attaches to the individual or the firm holding the mandate, not to the client who granted it.
A custodian has the narrowest authority and the most exacting job: safekeeping, the record of what is held and for whom, settlement on instruction, and the events that arrive with an asset whether anybody wants them or not — a corporate action, a dividend, a deadline for a decision. A custodian decides nothing about the assets and is accountable for knowing precisely what it has.
| Trustee | Fiduciary | Custodian | |
|---|---|---|---|
| Whose asset it is | The beneficiaries', held in the trustee's name | The principal's | The client's |
| Where the authority comes from | The trust or foundation instrument | A mandate or a power of attorney | A custody agreement |
| Who the duty is owed to | Beneficiaries, who are not the fee payer | The principal | The client whose assets are held |
| What the client is really buying | Continuity the owner will not be there for | A neutral hand to act | Safekeeping and an exact record |
| How the engagement ends | Retirement in favour of a successor | Revocation, or the act completing | Notice and a transfer out |
| What it is most often confused with | Owning the asset | Advising the principal | Managing the asset for a return |
The focused row is the one to carry away. In all three columns the authority is a document, and the document is the product. A practice on this line is a records practice before it is anything else: what it may do, what it has done, what it holds and on whose instruction, written at the time and retrievable years later by somebody who was not there. A trustee who cannot evidence why a decision was taken has no defence that it was taken properly at all.
The liability is long and the exit is not voluntary
This is the structural feature that separates the practice from ordinary professional work, and it ought to be understood before the first engagement is signed. The fee is earned annually for holding and reporting, while the exposure runs as long as the arrangement does and sometimes longer. A trustee cannot resign out of a problem: retirement normally requires a willing and suitable successor, and the least attractive files are precisely the ones nobody will take over.
Conflicts are the other hard constraint, and they are not a matter of disclosure wording. A holder cannot be the buyer of what it holds, cannot be the adviser recommending the transaction it will then execute as holder, and cannot prefer one beneficiary because that beneficiary is the one in contact. Independence is the asset on the balance sheet, and it is destroyed in one transaction rather than eroded gradually.
What the licence does not cover, and the boundaries are commercial as well as legal
The honest value of this line sits as much in what it excludes as in what it permits, because several of the exclusions are separate entries in the same catalogue and are routinely assumed to come bundled.
Advising on the assets is not here. Investment advisory services and Investment Consultancy are their own lines, and the separation is deliberate: a holder who also recommends is on both sides of the same transaction.
Managing the assets for a return is not here either. General Investments Management & Operation is its own line. The difference is discretion — a custodian acts on instruction, a manager decides.
Holding assets for the firm's own account is outside the line altogether, and this is where the fee-or-contract qualifier bites. Own account investment activities, such as by venture capital companies, investment clubs etc, Activities of Holding Companies and Special Purpose Vehicle are all separate entries, and they describe structures that hold for their own benefit. A founder who wants a vehicle to hold family assets wants one of those; a founder who wants to be paid for holding other people's wants this one. The two plans sound similar in a first conversation and share almost nothing after it.
Drafting the instrument is legal work, and auditing the accounts is an audit appointment. A practice may be the holder named in a document it did not write and should not expect to write.
And the condition that matters most: where the work involves holding client money or financial instruments, that is a financial activity licensed on its own terms rather than something a corporate-services or consultancy permission extends to. The same is true of acting as a licensed corporate agent or providing an official office address for other companies. Onshore, the safekeeping of client funds falls to the Central Bank of the UAE; in a financial free zone that question is asked by the zone's own regulator against its own rulebook, so the choice of jurisdiction here is largely a choice of which supervisor and which body of law the arrangement will be read under. Where the assets include UAE real estate, a further and separate control applies to how property may be held and dealt with.
Which permissions a specific plan needs, what conditions attach to them and what they cost to hold differ between the emirates and between the authorities, and on this line they turn on whose assets are held and under what document rather than on the title of the service. ConsultZone establishes that first and confirms the conditions with the relevant authority before anything is committed.

Activities that sit beside this one
Most licences carry more than one activity. Adding a neighbouring line at the application stage costs a fraction of amending the licence afterwards.
