Topic summary

The client is profitable and still cannot say which part earns the money

A financial consultancy is hired when a company's own numbers have stopped answering the questions being asked of them. The job is not more bookkeeping. It is turning what the business already records into something it can decide with.

Two events produce most engagements

Outgrowing the reporting, and being about to be examined by a lender, an investor or a buyer. Both arrive with a deadline and a budget, which is why nobody commissions this work speculatively.

Cash forecasting is the most requested piece and the most often missing

Profitable companies are the ones that most frequently have no forward view of cash. Budgets built from drivers rather than from last year plus a percentage are the second most asked for.

One diagnostic project becomes recurring reporting work

Once a client has seen a report that answers its questions it does not go back. That conversion is the difference between a practice that compounds and one that restarts every quarter.

Naming a product is the line that changes the licence

Telling a client its capital structure is wrong is advice. Naming an instrument to buy, or a lender to approach for a fee, moves the work onto investment advisory, CZ 286 and CZ 287, or finance brokerage, CZ 254 — licensed on their own terms.

Audit, tax filing and bookkeeping are three other lines

An audit opinion is a separate profession. A filed tax position belongs with Tax Consultant, CZ 362. Accounting and book-keeping, CZ 201, records what happened where this line interprets it. A firm wanting two of them applies for both.

How to Start a Financial Consultancy Business in Dubai

A trading company can be profitable for six years and still be unable to say which of its four product lines makes the money. The accounts are filed, the bank balance is healthy, the auditor has signed — and every decision about pricing, hiring or a new branch is being taken on instinct, because no report in the building answers the question being asked. That company does not need more bookkeeping. It needs somebody to turn what it already records into something it can decide with.

Financial consultancy is that work. It is bought by businesses whose numbers have outgrown the system that produces them, and by businesses about to be examined by somebody who will ask harder questions than they have ever asked themselves. Those two moments — outgrowing the numbers, and being inspected — account for most engagements on this line, and they feel completely different to the client even though the underlying job is the same one: make the business legible.

The fee is paid for a decision the client cannot make alone

The commercial case for this line is unusually good for a service business, and it rests on three things.

The buyer is already in pain and already looking. Nobody commissions a financial consultant speculatively. The trigger is a specific event: a lender asking for forecasts, a partner dispute, a loss nobody can explain, an investor asking for a data room, a group growing past the point where one person can hold it in their head. A buyer with an event has a budget.

The work is senior time with almost no delivery cost. There is no stock, no plant, no inventory risk and no working capital tied up in anything. The cost base is people, software and a room. That makes the margin visible from the first engagement and makes a one-person practice viable in a way that a goods business never is.

The first engagement is a door into recurring work. A diagnostic project frequently becomes a monthly management-reporting arrangement, because once a client has seen a report that answers its questions it will not go back. That is the difference between a consultancy that grows and one that starts again every quarter.

Against all of that sit two real constraints. The fee is earned on delivery, so cash flow is a function of how fast work converts, and a project that slips because the client cannot supply its own data is unpaid time. And the work is bought on reputation rather than on advertising: the pipeline is referral-driven, which is slow at the start and then compounds.

CZ 253 — Financial consultancy

Under this line a company advises businesses on how to understand, plan and control their own money. In practice the engagements cluster into four kinds.

Making the current position readable

Management accounts rebuilt so they reflect how the business actually runs rather than how the ledger is arranged. Costing work that establishes what a product or a branch truly costs once shared overhead is allocated honestly. Pricing reviewed against that cost rather than against a competitor's list.

Planning forward

Budgets built from drivers rather than from last year plus a percentage. Cash forecasting, which is the single most requested piece of work on this line and the one most often absent in profitable companies. Scenario work that answers what happens if the largest customer leaves or the cost of borrowing moves.

Preparing a company to be examined

Getting a business ready for a lender, an investor, a buyer or a joint-venture partner — assembling the information somebody else will demand, finding the questions it cannot yet answer, and fixing those before a third party finds them. This is the highest-value work on the line because the client's alternative is discovering the gap during diligence.

Building the function that replaces you

Designing the reporting pack, the controls and the finance structure a growing company needs, then handing it over. Clients buy this when they have decided to hire a finance director and want the role defined before they recruit into it.

What none of those engagements include is deciding for the client. The deliverable goes out in the client's name, the client's board owns it, and the consultant's product is the quality of the reasoning inside it.

The conditions that attach, and the one that changes the licence

Most of what attaches to a financial consultancy is ordinary: a trade licence carrying the activity, premises recorded against it, work permits for the staff, and tax enrolment on the fee income once the thresholds are met. Nothing in that list is unusual and ConsultZone confirms each against the emirate and the authority concerned.

One condition is not ordinary, and it is the only question on this page worth getting right before the licence is applied for.

  1. Write down the decisions the client is trying to makeBudgeting, costing, cash, or being ready for somebody else's examination
  2. Price the work against that decision rather than against the hoursA forecast that saves a facility is not worth what it took to build
  3. Will the advice name a specific investment, lender or credit product
  4. YesThat is a line licensed on its own terms — investment advisory or finance brokerage — and a consultancy licence does not carry it
  5. NoThe consultancy licence is the gate, and the trade licence is the whole of the permission
  6. Keep the deliverable in the client's own name, decided by the client's own boardAdvice the client owns stays advice
  7. A practice that advises, and never recommends a productThe boundary is what keeps the licence clean

The question in the middle is the whole of it. A financial consultancy may tell a client that its capital structure is wrong, that it is carrying too much short-term debt, that it should raise equity before it raises borrowing, and that its cost of finance is higher than its peers'. The moment the same engagement names an instrument to buy, a lender to approach for a fee, or a product to take, it has moved from advice into an activity that is licensed on its own terms and supervised at federal level. ConsultZone's own catalogue carries those as separate lines — Investment advisory services (CZ 286), Investment Consultancy (CZ 287), Financing Broker (CZ 254) and Mortgage Consultant (CZ 307) — and the separation exists because the obligations are different.

Two further boundaries catch people out. An audit opinion is a separate profession with its own professional licensing, and no consultancy licence substitutes for it. A tax position filed on a client's behalf belongs with Tax Consultant (CZ 362), and Accounting & Book Keeping (CZ 201) is a different activity again — it records what happened, where this line interprets it. A firm that genuinely wants to do two of these things applies for both rather than stretching one.

The last condition is commercial rather than legal. Institutional clients ask for professional indemnity cover before they sign, and most will ask who specifically is doing the work. On a line where the product is reasoning, the individual is the credential.
