How to Start a Tax Consultancy Business in Dubai
Until corporate tax arrived, most UAE companies had no tax position to take. A VAT-enrolled business had returns to file and that was the extent of it; everything else had an accountant, a trade licence and no reason to ask anybody a question. What changed is not that filing became harder. It is that every company now has to be able to explain itself — where its profit arises, why a charge between two of its own entities is priced the way it is, whether a relief it has assumed applies on the facts as they actually are. That turned a market for compliance into a market for judgement, and Tax Consultant, as the line reads in the catalogue, is the licence to sell the judgement.
Clients arrive with questions phrased as though they had a yes or a no inside them. Is this income taxable here. Can we keep the treatment if we open an office in Riyadh. Does this management charge stand up. Every one of them sounds like a lookup and every one of them is a position: a reading of facts the client has not finished gathering, recorded in a form that somebody else will read later and may disagree with. A practice that answers in a sentence is not cheaper than one that answers in a memorandum. It is selling a different, and much worse, product.
What a tax consultancy actually sells
The deliverable is a reasoned position, and the reasoning is the part with the value in it.
The work itself is specific enough to list. Establishing how a transaction should be treated, on stated facts. Testing whether an exemption or a relief is available on those facts rather than on the client's description of them. Structure questions — where an entity belongs, what the group looks like on paper, what a reorganisation does to the position of each company in it. Pricing between related parties, and the documentation that has to exist behind the price. Reviewing a filing position before it is submitted, and again after somebody queries it. A look back across earlier periods to find out what has already been assumed. And the memorandum that records why a position was taken on the day it was taken, which is the only artefact that still has any use in two years.
The product is the reasoning, not the conclusion
A conclusion with no recorded facts behind it cannot be defended, because the first thing anybody challenges is the facts. The practice that writes down what it was told, what it assumed, what it did not verify and what would change the answer is doing the work it is paid for. The practice that sends a paragraph by email has given away the conclusion and kept none of the protection, for itself or for the client.
How the fee is earned decides what kind of firm you have
This is where new principals most often choose badly, because the choice looks like pricing and is actually a choice of business.
five ways to sell the same technique
What it givesWhat it costs
- A retainer covering questions as they arisePredictable revenue, and you hear about a transaction before it closesUnlimited questions at a fixed price, and the hard ones land in the last week of the period
- Advising at the decision point, priced per engagementA fee that matches what the decision is worth to the clientNothing recurs, and you learn about the transaction after it was signed
- Reviewing a filing position somebody else preparedShort, well-defined and easy to priceYou inherit a position you did not take, on records you did not keep
- Acting as the client's approved agent before the authorityThe whole relationship, and the correspondence with itA standing obtained on its own terms, and your name on the submission
- Building the practice on one relief or one sectorA reputation that brings work without sellingA market that disappears if the treatment changes
The row that carries the argument is the second. Advice bought at a decision point is worth what the decision is worth, which is why this work is priced nothing like bookkeeping — and the price is also why it does not recur, so a practice living on it has to find the next decision every quarter. Most firms end up with the first row funding the overhead and the second row funding the partners, and the error is to run them as one offer at one rate.
Where the advisory line stops, and it stops in two places
Advising a taxable person and acting for it in its own name are not the same engagement. The second is a standing approved on its own terms by the Federal Tax Authority, and the activity recorded on a trade licence does not confer it. The practical effect is worth knowing before a client assumes otherwise: a practice can establish the position, draft every figure in a submission and still have to hand the correspondence to somebody who holds that standing.
The other boundary is the audit. An opinion on a set of accounts is a separately approved activity and auditors are a matter for the Ministry of Economy, so a tax practice is not an audit practice and does not become one by acquiring accounting clients. Representing a client in a dispute that has become a legal proceeding is lawyers' work as well. None of those three limits is a disadvantage; each one is a referral relationship if it is understood early and an embarrassment if it is discovered in front of a client.

The client who needs an adviser rather than a bookkeeper
The useful way to describe this market is by who is already in it, because four kinds of founder start this practice and they do not have the same problem.
The specialist leaving a large firm has the technique and usually the network, and needs the first ten clients, a professional indemnity policy and the discipline to write things down without a review department behind him. The accountant whose clients keep asking questions he is not paid to answer has the opposite problem: the clients are already there and they expect the answer to be included in the monthly fee, so the whole exercise is teaching an existing base that judgement is a separate purchase. The head of tax at a group going out alone usually has one deep specialism and a very narrow addressable market, which is a strength if the specialism is in demand here and a trap if it was specific to the group he left. And the overseas firm opening a desk because its own clients have moved to the Gulf has the referrals and none of the local reading, which is a solvable problem and not a cheap one.
Companies buy this at decision points: a new shareholder, a group reorganisation, a first filing, an intercompany charge somebody has questioned, an acquisition, a move into or out of a free zone, a query from the authority. That is the shape of the demand, and it has an obvious consequence for anyone planning the business — the pipeline is events, not months. Whoever wants recurring revenue that arrives without being re-sold is describing accounting and bookkeeping, which is CZ 201 on the same sheet and a genuinely different firm: that line is a production activity bought monthly and judged on accuracy, and this one is bought once and judged on whether the reasoning held.
Where the practice sits between the mainland and a free zone
The clients are companies resident in the UAE and the advice is delivered to them wherever they sit, so the structural question is about reach rather than about logistics. A mainland licence is the ordinary route for a practice selling into the local market, because both ends of the engagement are inside it. A free zone licence can hold a consultancy activity and suits a practice whose clients are inside its own zone or outside the country altogether, with the standing caveat that what a particular licence permits, and to whom it permits it, is settled by the authority issuing it rather than assumed from the activity name. Whether the licence is cut in a professional or a commercial form, and what that implies for the shareholding and for who must hold the practice, is the same kind of question and is answered the same way.
One wrinkle belongs to this line and to no other consultancy on the sheet. The treatment of a free zone company is itself among the most-asked questions in the market, which means a practice sitting inside a zone has already been asked about its own position by the time it is asked about a client's. Having a documented answer for your own accounts is not an administrative detail; it is the demonstration that the analysis is real. For the same reason the practice's own enrolment and filing deserve to be early and clean, because a tax adviser who is late with his own return has a selling problem that no amount of technical ability repairs.
What the licence costs to hold, which form it takes, what the premises condition is, and what additional standing is needed for the parts of the work this line excludes all depend on the emirate and the licensing authority. ConsultZone establishes those for the specific practice before the licence is applied for, because the two decisions that are expensive to reverse — the emirate and the licence form — are both taken at the beginning.

Activities that sit beside this one
Most licences carry more than one activity. Adding a neighbouring line at the application stage costs a fraction of amending the licence afterwards.
