How to Start a Venture Capital and Investment Club Business in Dubai
Two investment businesses in this catalogue look identical from the outside and are governed nothing alike. Both have a team, a view, a pipeline and a portfolio. Both tell the same story at the same conferences. The only thing that separates them is whose money is at risk — and that single question decides which permission the business needs, how much supervision comes with it, and what can be said to whom while raising.
Own account investment activities, such as by venture capital companies, investment clubs etc is the line for the first of them: a company putting its own capital at risk, on its own decision, for its own return. No outside subscriber has handed money over. Nobody is owed a report. The people deciding and the people exposed are the same people. From the moment that stops being true — the moment capital arrives from somebody who expects you to invest it for them — the activity has changed into a supervised financial business, licensed on its own terms, and no reading of an own account permission reaches it.
His catalogue names two examples and they sit at opposite ends of the line. A venture capital company deploying the balance sheet of its own shareholders is plainly inside it. An investment club is the harder case, and it is the one most likely to be described wrongly in good faith, which is why most of this page is about where the edge actually falls.
What own account investment actually covers
The activity is the deployment of the company's own capital, and the work divides into four parts that look nothing like each other.
Sourcing. Finding the positions. For a venture company this is the bulk of the job and most of it produces nothing; the volume of what is seen and declined is the only honest predictor of what is eventually taken.
Diligence and pricing. Establishing what is actually being bought. On own account this is cheaper than it is for a managed pool, for a reason that is rarely stated: there is no third party to satisfy, so the work can stop at the point where the people exposed are comfortable rather than at the point where a file would survive external challenge.
Holding and following. Tracking the position, deciding whether to support it again, and knowing when a loss is finished. The discipline that separates an investment company from an enthusiast is written-down reasoning at the point of each decision, so that a later judgement can be made against what was expected rather than against memory.
Realisation. Getting out. Own account capital has the advantage of no fixed life, which means there is no artificial pressure to sell into a weak market — and the matching disadvantage that there is nothing forcing a decision on a position that has stopped working.
That is the shape of the line. The question that decides whether a plan belongs on it is narrower, and it has one answer per situation.

Six situations, four destinations, and the two that lead off this line are the two worth reading twice. Neither of them is defeated by calling the arrangement a club.

Who is on this line, and who only thinks they are
Venture capital companies deploying their own balance sheet. Shareholders who have agreed what the company will do with its own money, taking minority positions in early companies. The clearest fit, and the one the activity name leads with.
Family capital, formalised. A family that has been investing informally for years and wants a company rather than a collection of personal holdings, for succession, for record-keeping and so that a counterparty has something recognisable to contract with.
Corporate venture arms. An operating group taking positions in companies adjacent to its own market, where the return is partly strategic. Own account by construction, because the capital is the group's.
Angels who have outgrown doing it personally. The move into a company is usually driven by wanting a clean set of records and a single counterparty signature rather than by tax or structure.
Investment clubs, which are the case to get right. A group of people pooling money and investing it together is on the right side of the line while each member's own capital is at risk and the members decide collectively. It crosses the line when one member, or an organiser, decides for the others — particularly where that person takes a fee or a share of the gain for doing so. At that point someone is managing other people's money for reward, which is a supervised activity whatever the group calls itself and however well everybody knows each other. The size of the group is not the test. Who decides, and for whose money, is.
Where this is the wrong purchase. Raising capital from outside investors to deploy into a portfolio is a pooled vehicle and needs a permission of its own. Being paid for a view on somebody else's portfolio is the advisory line. Arranging finance for a borrower against a success fee is CZ 254 Financing Broker. And a company whose only holdings are its own group's subsidiaries is a holding company rather than an investor, which is a different line with different substance expectations.
Where own account investment sits between the mainland and a free zone
This is an activity with almost no physical requirement, which is precisely why the jurisdiction question gets answered badly. There is no warehouse to site and no plant to approve, so the decision tends to be made on licence cost — and licence cost is the least important input.
What actually decides it is where the portfolio is and who the company must be able to contract with. A mainland licence suits a company investing into UAE businesses, taking seats on UAE boards and contracting with UAE counterparties in its own name. A free zone licence suits a holder whose positions sit outside the country and whose activity is the deployment of capital rather than participation in the local market. The UAE also has financial free zones operating under their own frameworks, which is where a plan that genuinely involves managing third-party money usually ends up, and that is a different conversation from this one.
Three practical points apply whichever route is chosen. Substance matters more than it used to: a company claiming to make investment decisions needs to be able to show that the decisions were in fact made by it, which means real presence and written records of its own deliberations rather than a signature collected elsewhere. The company carries its own tax obligations, with enrolment and filing handled through the Federal Tax Authority, and the treatment of a holding differs enough between structures that it belongs in the structuring conversation rather than after it. And what the licence permits is a question of the exact activity wording, which differs between jurisdictions — a wording that permits own account deployment and a wording that permits acting for others are not the same wording, and the difference is the whole of this page. ConsultZone confirms the wording and the conditions for the specific case before anything is committed.

Activities that sit beside this one
Most licences carry more than one activity. Adding a neighbouring line at the application stage costs a fraction of amending the licence afterwards.
