Topic summary

Nobody starts with a holding company

The trigger is an event the existing arrangement cannot survive: a buyer who wants one business and not the other two, a partner joining one of them, a family settling succession. The licence is bought years after the businesses it owns.

It does four jobs, and buyers want one of them

It makes one business sellable without the others, gives distributions a single place to arrive, carries the shareholders' agreement over everything it owns, and passes to the next generation without an estate. Most founders come for the first and keep the structure for the third.

The step that fails is moving the existing holdings, not the licence

Each operating company was created under its own authority with its own process and its own consents. The licence at the top is straightforward; lifting four existing companies underneath it is the work, and doing it in the wrong order costs three exercises instead of one.

A bank account is the binding constraint more often than the licence

A company with no trading income has to explain itself to an onboarding committee. That, rather than the application, is what decides whether distributions can actually be collected.

The mainland case does not apply to it

A holding layer does not sell to UAE customers, bid for government supply, import or keep stock. What decides the jurisdiction is narrower: whether the activity wording permits holding interests in companies licensed elsewhere, whether the law suits the shareholders' agreement, and whether a bank will open the account.

Substance is where a cheap structure fails

No office, no people and no decisions taken in the country is a problem for onboarding and for any tax position that depends on where a company is managed. The honest version is a small real presence with minutes that record decisions actually taken.

It is not the line next to it

Running a holding of investments is CZ 268. A company built for a single transaction and expected to end with it is CZ 358. Taking a mandate over somebody else's money is a supervised financial activity that no holding licence reaches.

How to Start a Holding Company Business in Dubai

The company at the top of an ownership diagram has no customers. It sells nothing, invoices nobody, and in a great many cases employs one person who is also a shareholder. Everything it does, it does by owning the companies underneath it — and the reason a founder pays to create one is that ownership held in a single place behaves differently from the same ownership held in four separate names.

The catalogue line is Activities of Holding Companies, and it is the structural member of this family rather than an operating business. It is worth separating from its neighbours before anything else. CZ 268 General Investments Management & Operation is the work of running a holding of investments — deciding, recording, collecting, reporting. CZ 358 Special Purpose Vehicle is a company built for one transaction and expected to end with it. A holding company is neither of those: it is a permanent owner whose only job is owning, and it is usually created years after the businesses it owns.

That timing is the whole commercial story. Nobody starts with a holding company. A founder starts with one trading company, adds a second because a different authority suited a different activity, takes a partner into the third, and five years later owns a diagram nobody has drawn. The trigger for this licence is almost never ambition. It is a specific event that the existing arrangement cannot survive — a buyer who wants one business and not the other two, a partner joining one of them, a bank asking who owns what, a family deciding inheritance while everybody is still alive.

What the ownership layer actually does

A holding company is not a tax scheme and it is not paperwork. It does four separate jobs, and most founders want it for one of them and discover the other three afterwards.

It makes one business sellable without selling the others

Three companies held directly by one person are three separate sales, each negotiated on its own, each exposing the seller personally. The same three held under one owner become three parcels that can be sold, split or kept independently, because the thing being transferred is a holding in a company rather than a slice of somebody's personal estate. This is the job that pays for the structure, and it is almost always discovered late — during a negotiation, when the structure cannot be changed quickly without alarming the buyer.

It gives dividends somewhere to arrive

Profit distributed from four operating companies to four personal accounts is four decisions with no common view. Distributed upward into one owner, it becomes a single pool that can fund the next business, cover a loss in one of the existing ones, or sit still. Founders describe this as tidiness. It is closer to working capital: the layer above is the only place in the diagram where money from one business can reach another without anybody lending anything.

It is where the agreement between owners lives

A shareholders' agreement signed at the level of an operating company governs that company. Signed above it, the same agreement governs everything the layer owns — who may sell, to whom, at what valuation, what happens on a deadlock, what happens on a death. Partners who agreed their terms verbally in the first year are the single most common reason this licence gets bought, and the agreement is the deliverable rather than the licence.

It survives the founder, which nothing else in the diagram does

A company owned personally passes through an estate. A company owned by a company does not change hands when the founder dies; what changes hands is the holding above it, and that transfer can be written down in advance. For a family with operating businesses and employees, that difference is the difference between a succession and a standstill.

Built in the right order these four jobs cost one exercise. Built in the wrong order they cost three, because the step that actually fails is never the licence — it is moving the shares of companies that already exist, each of which was created under a different authority with its own process and its own consents.

Who is this for?

A founder whose companies have outgrown his own memory. Four entities, two jurisdictions, three partners who each came in on different terms, and no single document that answers "who owns what". The licence does not solve that. Drawing the diagram in order to apply for it does, which is why this exercise is worth more than its cost even to owners who never complete it.

Families settling succession while everybody is still able to discuss it. The holding layer is where a founder can allocate without dismantling: children can hold the layer in agreed proportions while the operating businesses keep trading under the same management and the same licences.

Groups that intend to sell one business and keep the rest. If a sale is foreseeable, the structure should exist before the approach, not during it. A buyer reading a diagram that was rearranged three weeks before diligence will ask why, and the answer costs more than the restructuring did.

Partners who shook hands. Two people who built something together and never wrote down what happens if one of them wants out. Almost every dispute in a private group is this one.

Where this is the wrong purchase. A single company with a single owner does not need a layer above it; it needs the layer the day a second company or a second owner appears. A company created for one deal and expected to close with it is CZ 358, not this. And a company intending to take a mandate over somebody else's money is describing a supervised financial activity that no holding licence reaches.

Where the ownership layer is best licensed

Most of the usual mainland case is irrelevant here, and that is worth saying plainly because it is the case most packages are sold on. A holding company does not sell to UAE customers, does not bid for government supply, does not import and does not keep stock. None of the arguments that decide a trading licence apply to it.

What decides it instead is narrower and more technical. Whether the authority's own activity wording permits holding an interest in companies licensed elsewhere, including on the mainland and in other free zones, is the first question and it is not uniform. Whether the jurisdiction's own law and courts suit the shareholders' agreement the owners actually want is the second, and it matters more than it sounds, because that agreement is the reason the structure exists. Whether a bank will open an account for a company with no trading income is the third, and in practice it is often the binding one.

Substance is the fourth, and it is where cheap structures fail. A company with no office, no people and no decisions taken in the country is a problem twice over: a bank's onboarding will not clear it comfortably, and a tax position that depends on where a company is managed cannot be supported by a company that is not managed anywhere. The honest version of this licence is a small real presence — an official office address, somebody accountable, minutes that record decisions actually taken — rather than a name on a certificate.

The practical items are few and worth settling at the start. The layer needs an official office address recorded against its licence, and that address carries the visa allocation for whoever is employed by it. Where a licensed corporate agent is used for company records and filings, the engagement belongs in writing with the scope stated. Work permits and labour contracts for the one or two employees sit with the federal labour ministry. Corporate tax reaches the entities in a group rather than the diagram as a whole, so enrolment and filing through the Federal Tax Authority are a position to establish deliberately rather than discover. What the licence costs to hold and which conditions attach depend on the emirate and the licensing authority, and ConsultZone confirms those against the actual list of companies to be held before anything is committed.
