Topic summary

The administration happens whether the return does or not

Distributions have to be banked and allocated, notices have to be read, maturities have to be met. None of it is investing and all of it is irreversible when it is missed, which is what this activity is for.

Operation is the word that does the work

This is the desk rather than the opinion. CZ 203 is the structure that owns the assets; CZ 286 and CZ 287 sell a judgement to somebody else. This line is what has to happen every month regardless of whether anybody has a judgement.

The record, the calendar, the cash and the reporting cycle

One current list of what is held and under which agreement; a calendar of dates on which somebody must act or lose something; the banking and allocation of income; and a cycle that tells the owners where they stand. Returns are the outcome, these four are the job.

A missed date is silent

A portfolio never announces an omission. A notice period passes, an option window closes, and the holding is quietly worse from then on. The calendar has to exist outside anybody's head, which is most of the argument for a desk at all.

The owner doing it himself is the single point of failure

He is usually competent. What forces the decision is an illness, a trip or a transaction that happened while he was unreachable, and by then the arrangement has to change in a hurry.

The test is whose money it is

Once the money is not the group's own, the question stops being licensing and becomes supervision. Taking a mandate, taking discretion over a client's account, pooling subscriptions, arranging deals or holding client money are each licensed on their own terms.

Valuing, broking and lending are three separate activities

A desk that drifts into any of them because a client asked has taken on a liability its own permission does not answer for. Settle the permission that matches the intended business, then build the service — not the other way round.

How to Start a General Investment Management Business in Dubai

A portfolio generates administration whether or not it generates a return. Distributions arrive and have to be banked, allocated and recorded. A term is varied and nobody reads the notice. A statement contradicts the one before it. Something matures on a date that was never put in a diary. None of that work is investing, all of it is irreversible when it goes wrong, and all of it has to be done by somebody who can be held accountable for having done it.

The catalogue line is General Investments Management & Operation, and the word in it that does the work is operation. This is the running of a holding of investments rather than a view about which ones to buy. It is the desk, not the opinion. CZ 203 Activities of Holding Companies is the structure that owns the assets; CZ 286 Investment advisory services and CZ 287 Investment Consultancy are both judgements sold to somebody else. This line is the thing that has to happen every month regardless of whether anybody has a judgement at all.

That distinction has one hard edge and it is worth stating at the top rather than at the bottom. Managing money that belongs to somebody else, for a fee, under a mandate, is a supervised financial activity in its own right. Management and operation of investments, read naturally, is the management of the investments held by the licence holder and its own group. The gap between those two readings is where most of the trouble on this line lives, and it is covered in full below.

Who is this for?

A family whose assets have outgrown one person's memory. Property in two emirates, holdings in three operating companies, a managed account somewhere, a loan to a cousin and an insurance policy nobody has read since it was signed. Nothing here is complicated individually. Collectively it is beyond the point where one person with a spreadsheet can say, accurately and on demand, what is owned and what is due.

A group that acquired a portfolio by accident. Operating companies throw off cash, the cash gets put somewhere, and after a few years the somewhere is a portfolio with no owner inside the business. The finance director did not take the job to manage it and is not measured on it.

An owner who has been doing this himself. The commonest buyer. He is competent, he is the single point of failure, and the thing that eventually forces the decision is an illness, a trip or a transaction that happened while he was unreachable.

A holding layer that now needs a desk under it. CZ 203 creates the owner. It does not create anybody to answer the telephone. A group that has built the structure frequently finds the next gap is operational rather than legal.

Where this is the wrong purchase. Pooling other people's subscriptions and investing them is a fund, which is a different regulated business. Taking discretion over a client's account for a fee is a licensed activity with continuing supervision attached. Selling a written view to a committee is CZ 287; carrying a standing engagement about a named client's own holdings is CZ 286. None of those is this.

CZ 268 — General Investments Management & Operation

Stripped to what actually occupies the week, the activity is a record, a calendar, a cash function and a reporting cycle. Returns are the outcome. These four are the job.

The record is the deliverable

One list, kept current, of what is held, in whose name, under which agreement, at what cost, with the document attached. It sounds administrative until the first time it is needed in a hurry — a bank asking for a consolidated position, an auditor asking for support, a buyer asking what a company owns, an executor asking what exists. A group that cannot produce that list inside a day does not know what it owns, whatever anybody believes.

The calendar is what gets missed

Maturities, renewal dates, notice periods, option windows, capital calls, filing deadlines, rent reviews. Each is a date on which somebody must act or lose something, and losing it is silent. The portfolio does not announce the omission; it simply becomes slightly worse and stays that way. Operating this line properly means the calendar exists outside anybody's head.

Somebody has to be able to say why

Every position was taken for a reason, and the reason is worth more later than it is at the time. Written down, a decision can be reviewed, defended to a co-owner, or reversed deliberately. Not written down, it becomes a holding nobody wants to sell because nobody remembers why it was bought. The decision trail is also the only honest basis on which a group can judge whether the desk is adding anything.

How the desk is arranged decides who is accountable

There are three serious arrangements and they differ less in cost than in who carries the decision. An internal desk puts the remit, the record and the accountability inside the group. A mandate to a licensed manager moves the decision outside it, under conditions that manager's own permissions impose. One administrator with the owner still deciding is the cheapest and is also the arrangement that stops when the owner does.

What the licence does not cover

This is the section to read twice, because the distance between a lawful operation and an unlicensed one is often a single sentence in a proposal to a friend.

Managing assets that belong to a third party under a mandate, taking discretion over somebody else's account, pooling money from more than one investor into a common vehicle, arranging deals in financial instruments, holding or controlling client money, and operating a payment or money-transfer service are each activities licensed on their own terms, with their own conditions and their own continuing supervision. A general management and operation permission is not a route to any of them and no reading of it reaches them. The practical test is ownership of the money: once it is not the group's own, the question has changed from licensing to supervision.

Three further lines are separate activities rather than extensions of this one. Valuing a specific asset for a fee, brokering a transaction between two parties, and lending or arranging finance are each their own licensed work with their own professional conditions. A desk that drifts into any of them because a client asked is taking on a liability its licence does not answer for.

The sound order is dull and it is the only one that works: establish what the business will actually do, settle the permission that matches it, then build the service and sign clients. Firms that reverse those steps discover the problem after a client has signed, which is the expensive moment to discover it.

On structure, this activity needs people and systems rather than premises, so the mainland case and the free zone case are closer than usual. A mainland licence suits a desk serving the group's own UAE companies and UAE counterparties directly. A free zone licence gives an office and a straightforward incorporating process and suits a desk whose owners and assets sit outside the country. The available activity wording differs enough between authorities that this decision belongs against the real asset list, not against a package price.

The practical items are the ordinary ones and they are worth settling early. The desk is people, so work permits and labour contracts sit with the federal labour ministry and the visa allocation attached to the premises is a real constraint on headcount. Investment income and any management fee charged inside a group carry tax consequences, with enrolment and filing handled through the Federal Tax Authority, and inter-company charges in particular are a position to take deliberately. What the licence costs to hold and which conditions attach depend on the emirate and the licensing authority, and ConsultZone confirms those for the specific case before anything is committed.

Most licences carry more than one activity. Adding a neighbouring line at the application stage costs a fraction of amending the licence afterwards.
