Topic summary

The firm is hired to make a decision defensible, not to make it

The deliverable is a document and the buyer is usually a committee. What earns the second engagement is the method visible under the conclusion, because the method is what the committee will be judged on.

The test against the advisory line is whether the engagement ends

Commissioned, delivered, closed — that is this line. A standing view on a named client's holdings, available between reports and paid by the period, is CZ 286 Investment advisory services, and it carries obligations this one does not.

Five engagements, not one with five names

The feasibility read, the market assessment, manager selection run as a process, an allocation framework, and the post-mortem on an investment that went wrong. They are different pieces of work with different buyers and different risks.

Scope creep is the commercial risk, not analysis

One more market, one more scenario, a new board question asked as a clarification. The engagement letter that says what a further question costs is the difference between a profitable file and an open-ended contract.

A client who has already decided is the common failure

A sponsor arrives with a conclusion and a fee attached to supporting it. Obliging sells nothing and takes on somebody else's liability. The defence is a method agreed in writing before the analysis starts, because a method cannot be renegotiated after it produces an unwelcome answer.

Analysing an asset class is consultancy; telling a named investor what to buy is not

Arranging the transaction, holding the funds or running the account are each licensed in their own right. No consultancy permission reaches them, and the distance is often one sentence in a scope of work.

Valuation and brokerage are separate activities

A market can be analysed at length without either. Putting a number on a specific building, or introducing a buyer to a seller, has become a different licensed activity with professional conditions of its own.

How to Start an Investment Consultancy Business in Dubai

A consultancy of this kind is not engaged to decide. It is engaged so that somebody else can decide and then defend the decision to a board, an auditor, a shareholder or a successor who was not in the room. The deliverable is a document. The buyer is usually a committee rather than a person. And the thing that earns a firm its second engagement is almost never the conclusion — it is the method visible underneath it.

The line is Investment Consultancy, and separating it from its neighbour is the first thing a reader should do. CZ 286 Investment advisory services is a standing engagement about an identified client's own portfolio, carried year to year and paid for by the period. This line is commissioned, delivered and closed. A firm intending to carry the same clients indefinitely is describing the advisory business; a firm intending to be engaged, paid and finished is describing this one. The distinction decides the firm's cash flow, its headcount pattern and the shape of every contract it signs.

What a committee is actually buying is capacity it does not have. The members have other jobs, a date by which they must answer, and no mandate to spend six weeks on a market they have never traded in. A consultancy that understands the engagement as supplying a defensible answer inside a deadline is selling something a client recognises. One that understands it as supplying expertise is selling something nobody has a budget line for.

CZ 287 — Investment Consultancy

Five engagements account for most of what firms on this line are genuinely paid for, and they are different pieces of work rather than variations on a single one.

The feasibility read. A sponsor has an acquisition or a project in mind and needs the case tested by somebody with no interest in it proceeding. The most valuable output is frequently the reason not to proceed, which is also the hardest to deliver and the one most likely to go unread. A firm that cannot say no in writing will not keep this kind of client long.

The market or sector assessment. Capital exists and local knowledge does not. The client wants to know who is already operating, who is buying, what entry would involve and — the question that is usually unasked and always the real one — what would have to be true for the plan to work.

Manager or fund selection, run as a process. Here the value sits almost entirely in the method and its record: the universe considered, the criteria applied, how candidates were scored and why one was preferred. A committee buys this because the process is what it will be judged on, not the outcome, which nobody can promise.

An allocation or policy framework. A written statement of what an institution will and will not hold, in what proportions, and on what trigger it rebalances. This is a governance document rather than a trade recommendation, and that distinction is the whole of the licence question described further down.

The post-mortem. An investment went badly and the owners want to know whether the decision was poor or only the outcome. Uncomfortable work, often well paid, and the engagement most likely to be commissioned by somebody other than the person who made the original call.

Scope is where the money is won or lost

A consultancy fee is agreed against a described piece of work, and the work then grows. One more market. One more scenario. A new question from the board, asked as though it were a clarification. The firms that make money on this line are the ones whose engagement letter says plainly what a further question costs and who may ask for one. The firms that do not are discovering, halfway through a second unpaid scenario, that they have written an open-ended contract.

The client who has already decided

The common failure is not analytical. A sponsor arrives with a conclusion and wants a document supporting it, and the fee is attached to producing one. A consultancy that obliges has sold nothing and has taken on the liability for somebody else's decision. The only real defence is a method agreed in writing before the analysis begins, because a method cannot be renegotiated once it has produced an unwelcome answer.

Adjacent lines people confuse with it

Four lines sit close enough that the wrong choice is routine, and two of them are not consultancy at all.

CZ 286 Investment advisory services. Put from this side: the test is whether the engagement ends. If the firm is to hold a continuing view on a named client's holdings and be available between reports, that is the advisory line and it carries obligations this one does not.

Management and financial consultancy. A management consultancy advises on how a business is run; a financial consultancy on how it is funded and reported. Where an engagement is really about operations, structure or reporting rather than about where capital is placed, the honest answer is that a different line describes the work better and will be easier to defend when a client asks what the licence covers.

Property valuation and brokerage. A consultancy may analyse a real-estate market at length without touching either. The moment the work is to put a number on a specific building, or to introduce a buyer to a seller, it has become a separate licensed activity with professional conditions of its own.

Licensed financial activities. The hard boundary. Analysing an asset class, a market or a manager is consultancy. Telling a named investor what to buy with their own money for a fee, arranging the transaction, holding the funds or running the account is not, and each of those is licensed in its own right with its own conditions and continuing supervision. A consultancy permission does not reach any of them, and the distance between the two is often one sentence in a scope of work.

six requests, three destinations

  • A committee choosing between fund managers on a written processWhat is bought is the method and the record of it
  • A fund whose investment process needs reviewing before an auditThe work examines method rather than holdings

Who commissions this work

Institutional investment committees. Pension and endowment boards, and the investment committees of large family holdings, which need an outside process they can point to. These clients return, not because the engagement continues but because a new question arrives each year.

Family offices without an in-house investment team. Capital of serious size and nobody employed to analyse it. The work is episodic and the relationship is long, which is a comfortable commercial position if the engagement letters are written one at a time.

Corporates assessing an acquisition or a new market. The engagement is bounded by a transaction timetable, which makes the deadline the hard constraint and the scope the negotiable one. Fees here are the highest on the line and the work is the most compressed.

Project sponsors and developers who need the case tested. Frequently commissioned because a lender or a partner has asked for independent analysis, which means the real reader is a third party and the document has to survive being read adversarially.

Where the firm sits between the mainland and a free zone

A consultancy holds no stock and needs no yard, so the question is only about who it may contract with. A mainland licence lets the firm take engagements from UAE institutions and corporates, meet them here and invoice them directly, which is the whole job for a practice serving domestic committees. A free zone licence gives an office and a straightforward incorporating process and suits a firm whose clients sit outside the country. The available activity wording and the attached conditions differ enough between jurisdictions that this belongs against an actual client list.

Where this is the wrong purchase. A firm meaning to carry the same clients and their portfolios continuously wants CZ 286. A firm meaning to invest its own money is describing an own-account investment line, not a consultancy. A firm meaning to raise money from investors for a venture is describing a regulated activity that needs its own permission before a single approach is made. Work permits and labour contracts sit with the federal labour ministry, tax enrolment and filing with the Federal Tax Authority, and what the licence costs to hold and what conditions attach depend on the emirate and the licensing authority — ConsultZone confirms those for the specific case before anything is committed.

Most licences carry more than one activity. Adding a neighbouring line at the application stage costs a fraction of amending the licence afterwards.
