The shortlist

The Ten Reasons Dubai Is Recommended, and the Condition Attached to Each One

Every reason on the standard list is true. Each one also carries a condition that the list omits, and the condition is the part that decides whether the advantage reaches you.

The standard list is not wrong. That is what makes it difficult to argue with, and what makes it useless on its own.

Every item below appears on every consultancy's page, including ours. Every one of them is true. And every one has a condition attached that the list format is structurally unable to carry — because a bullet point that ends "…provided that" does not sell as well as one that ends.

So here is the list, with the conditions restored. If you have read the optimistic version, this is the same information with the part that decides your case put back in. What the five most-quoted advantages cost to actually hold, rather than to be granted, is priced separately in what the UAE gives you and what it costs.

1. One hundred percent foreign ownership

True. The mandatory local-shareholder requirement was removed for most mainland activities in 2020–21. You can own your own company outright.

The condition. A defined list of activities with strategic impact still carries requirements, and certain agency arrangements are unaffected. More importantly: ownership reform did not change who you may sell to. That is the free zone question, and it is the more consequential one. A founder who chose a free zone for the ownership advantage chose it for a reason that stopped being distinctive.

2. No personal income tax

True. There is no personal income tax on employment income.

The condition. It says nothing about what your home jurisdiction taxes. Residence here does not automatically end tax residence elsewhere, and several countries tax on citizenship, on days present, on a centre-of-interests test, or on the location of assets rather than of the person. The saving is real for some people and zero for others, and which you are is a question about your own nationality and circumstances, not about the UAE. The move is a separate decision from the company, and every reason to move to Dubai is a fact about Dubai works through the personal fact that settles each one.

the personal fact sitting behind the company decision

  1. There is no personal income tax on employment incomeIt says nothing about what your home jurisdiction taxes
  2. Residence here does not automatically end tax residence elsewhereThe move is a separate decision from the company
  3. Does your own country tax on citizenship, days present, a centre of interests or assets
  4. One of those tests reaches youThe saving is zero for you, and the UAE rate is not the variable
  5. None of them reaches youThe saving is real, and it turns on your nationality rather than on the UAE
  6. Your own nationality and circumstancesNot a question about the UAE, and not answered in any brochure

3. Corporate tax is low

True. The headline rate is low by international comparison, and a below-threshold band exists.

The condition. It is no longer zero, which is what a large amount of circulating advice still says. Corporate tax applies to financial years beginning on or after 1 June 2023. Free zone treatment is conditional — qualifying activities, qualifying income, adequate substance — and mainland-derived revenue can disqualify the entire entity rather than just the mainland portion. "Free zone means tax free" is the single most expensive sentence in this market.

4. Location between Europe, Asia and Africa

True. The time zone genuinely works for a business serving both directions in one working day, and the air links are unusual.

The condition. Geography is a fact about the airport, not about your market access. Serving the region from here depends on whether your invoice is accepted there. A free zone invoice is not treated identically everywhere in the GCC, and the largest neighbouring market applies its own rules about origin and local presence. Location gets you the flight; it does not get you the customer.

5. World-scale logistics infrastructure

True. Ports, airports, bonded facilities and warehousing at a standard most of the region does not have.

The condition. The trade licence lets you sell goods. It does not let you move them — that needs a customs code, which is a separate application, and in a free zone the movement of goods into the mainland market has its own treatment. Founders routinely licence a trading activity and discover the customs and movement layer afterwards.

6. Straightforward company formation

True. By international standards, forming a company here is fast and administratively clean.

The condition. The licence is one of six things a company needs before it can trade. The other five — structure, premises that carry your visa count, the establishment and labour files, a bank account, and a defensible tax position — are where the time actually goes. "Set up in days" is accurate about the licence and misleading about the business.

What the company needsWhat it settlesWhy it takes the time
The trade licenceThe activity you are permitted to sellFast and administratively clean by international standards
StructureWho owns and controls the companyOwnership reform did not change who you may sell to
PremisesThe visa count the company can carryQuota follows the premises, not the licence and not the fee
The establishment and labour filesWhether you may hold employees at allA second file, held by a different ministry from the one that licensed you
A bank accountWhether money can actually moveMoney moves when a bank is willing to move it
A defensible tax positionWhether the low rate survives a testQualifying activities, qualifying income and adequate substance

7. Residence permits for you and your family

True. A company can sponsor residence for its owner and staff, and for dependants.

The condition. Quota follows the premises, not the licence and not the fee. A flexi-desk carries a small allocation; a plan for six permits needs a facility that supports six. And a company-sponsored permit is not a long-term self-sponsored visa — the long-term routes are decided by federal immigration authorities on evidence a formation package cannot supply. Buying a company is a slow and expensive way to obtain residence if the company has no other purpose.

8. Free movement of capital

True. There are no exchange controls and profits can be repatriated.

The condition. The constraint is never the regulation; it is the banking. Money moves when a bank is willing to move it, and that depends on the account existing, the counterparty being acceptable, and the transaction being explicable. "Full repatriation of profits" is a true statement about the law and not the thing that decides whether your money moves this month.

9. Access to talent

True. A large, international, mobile labour market, and hiring is administratively possible in a way it is not in many jurisdictions.

The condition. Hiring the first person opens a second government file, held by a different ministry from the one that licensed you, with its own obligations — contracts, insurance, end-of-service, and a labour establishment file. The licence made a company; it did not make an employer. And the cost of a role here is not the salary: accommodation, schooling and permit costs are the reason offers get declined.

10. Double taxation treaties and international standing

True. An extensive treaty network, and a jurisdiction that is recognised rather than regarded as offshore.

The condition. Treaty benefits are not automatic. They generally require tax residence to be established and certified, and substance to support the claim. A company with no presence beyond an address will struggle to rely on a treaty when a foreign authority tests it. The network is an asset for a business that is genuinely operated from here and close to worthless for one that is not.

The authority that licensed you

  • The licence, and the activity you may sellFirst, and fast by international standards

  • Whether a regulated activity is permitted at allNo amount of local presence pre-approves you

A different ministry from the one that licensed you

  • The labour establishment fileThe moment you hire the first person
  • Contracts, insurance and end-of-serviceWith the second file, not with the licence

Federal immigration authorities

  • The long-term self-sponsored routesOn evidence a formation package cannot supply

Your bank

  • Whether your money moves this monthOnce the account exists and the transaction is explicable

A foreign tax authority

  • Whether a treaty claim survives a testWhen a foreign authority tests the claim

What the pattern tells you

Read the conditions together and they say one thing: the advantages are conditional on the business being real here.

Ownership is free, and market access is earned. Tax is low, and only if the activity and income qualify. Formation is fast, and banking is not. Residence is available, and it is proportionate to premises. Treaties exist, and they need substance.

what each advantage grants, against what it then requires

What it gives youWhat it then asks of you

  1. OwnershipThe company outright, with no local shareholderMarket access is earned separately; who you may sell to did not change
  2. Corporate taxA rate low by international comparison, and a below-threshold bandQualifying activities, qualifying income and adequate substance
  3. FormationA licence issued fast and administratively cleanBanking is not fast; money moves when a bank is willing to move it
  4. ResidencePermits for the owner, the staff and dependantsPremises proportionate to the permits, because quota follows the premises
  5. TreatiesAn extensive network, and standing rather than offshoreTax residence established and certified, and substance behind the address

That is not a warning about the UAE. It is the shape of a jurisdiction that got much easier to enter and much more demanding to occupy — and the advice that is still being sold describes only the first half of that change. Sorted by the rank of the instrument that grants each item rather than by the item itself, the same list also predicts which advantages are durable, which is the sort in every benefit Dubai is sold on.

Where Dubai is the wrong choice

  • Nothing about your business touches this region. If the customers, the assets and the work are all elsewhere, forming here adds obligations and administration without adding access. This is the honest answer to a surprising share of enquiries.
  • Your objective is purely tax. If the only reason is the rate, check your home jurisdiction's rules first. For some nationalities the saving is substantial and for others it is nil, and the answer is not in any UAE brochure.
  • Your activity is heavily regulated and you need certainty. In the financial free zones especially, the regulator decides, and no amount of local presence pre-approves you.
  • You need residence rather than a business. There are routes decided on your own credentials. Buying a company for a permit is expensive, slow and the permit is the shorter kind.
  • You cannot document where your money comes from. This is the one that ends applications. Every advantage above sits behind a bank account, and every bank account sits behind a traceable source of funds.

What to do with this list

Take the three items that actually motivated you and read the condition attached to each. If all three conditions hold for your situation, the case is strong and the rest of this site is about executing it well.

If one of them does not hold, that is not a reason to abandon the plan — it is the thing to design around, and it is much cheaper to design around before the licence is issued than after.

Frequently asked questions

Can I own 100% of a company in Dubai?

Yes, for most mainland activities. The mandatory local-shareholder requirement was removed in 2020–21 and you can own your own company outright. Two conditions survive: a defined list of activities with strategic impact still carries requirements, and certain agency arrangements are unaffected. The larger point is that the reform did not change who you may sell to — that is the free zone question, and a founder who chose a free zone for the ownership advantage chose it for a reason that stopped being distinctive.

Is there any personal income tax in Dubai?

There is no personal income tax on employment income. That says nothing about what your home jurisdiction taxes: residence here does not automatically end tax residence elsewhere, and several countries tax on citizenship, on days present, on a centre-of-interests test, or on the location of assets rather than of the person. The saving is substantial for some nationalities and nil for others, and which you are is a question about your own circumstances rather than about the UAE.

Does being in Dubai give me access to the regional market?

It gives you the flight, not the customer. The time zone genuinely works for a business serving Europe and Asia in one working day, and the air links are unusual, but geography is a fact about the airport rather than about market access. Whether you can serve the region from here depends on whether your invoice is accepted there: a free zone invoice is not treated identically everywhere in the GCC, and the largest neighbouring market applies its own rules on origin and local presence.

Does a Dubai trade licence let me import and export goods?

Not by itself. The trade licence lets you sell goods; moving them needs a customs code, which is a separate application, and in a free zone the movement of goods into the mainland market carries its own treatment. Founders routinely license a trading activity and meet the customs and movement layer afterwards, which is the wrong order if a first shipment is already booked.

Are double taxation treaty benefits automatic?

No. They generally require tax residence to be established and certified, and substance to support the claim. A company with no presence beyond an address will struggle to rely on a treaty when a foreign authority tests it. The network is a real asset for a business genuinely operated from here and close to worthless for one that is not, which is the pattern every item on this list follows.
