Answered plainly

Nobody commissions a corporate tax audit. What you can commission is a condition of the return you file — and it is not an opinion on your tax.

Two different events share the word audit, and most UAE content written about corporate tax audits describes neither accurately.

Before paying for a "corporate tax audit", establish which of two things is being sold

A firm has quoted you for a corporate tax audit. The phrase covers two events that have almost nothing in common, and the quotation is only ever for one of them.

The first is an engagement you commission: a licensed audit firm examines your financial statements and gives a written opinion on whether they are fairly presented. Since tax periods beginning on or after 1 January 2025, that engagement has stopped being optional for several categories of company — not because auditing is virtuous, but because audited financial statements became a condition of a tax position under Ministerial Decision No. 84 of 2025, which replaced Ministerial Decision No. 82 of 2023.

The second is the Federal Tax Authority examining your records and returns to test what you declared. You do not choose the auditor, the scope, the timing or whether it happens. Under Article 16 of Federal Decree-Law No. 28 of 2022 on Tax Procedures the Authority must give at least ten business days' notice before conducting a tax audit, and that notice is the whole of your involvement in the decision.

Most content written on this subject describes the second event using the vocabulary of the first — preparing for it, benefiting from it, uncovering savings through it. You cannot order one, and it does not exist to help you.

This page is about the first one — the obligation, the evidence, and the cost of being late. Who must be audited zone by zone, the approved auditor lists, and what an examination looks like from the inside are on our audit and accounting page, which this page does not repeat.

Who is actually required to hold audited accounts, and what tells you

Nobody sends a letter. Each trigger below is one you discover in your own records, usually after the year has already ended.

Two things follow from reading down that last column. The consequences are not equivalent, so "do I need an audit?" is the wrong question — the right one is "which of these six applies to me, and what does each one do if I miss it?" And the second row is different in kind from the rest, which is the subject of the lateness section below.

The free zone trigger is the one that varies most and the one where general advice is worthless: each authority sets its own window, its own late fee and in most cases its own list of firms whose signature it will accept. Those belong to the audit and accounting page and to your zone's own portal, not to a page like this one.

An audit opinion is not an opinion on your tax

Here is the division of responsibility that the legacy version of this article collapsed, and collapsing it is how companies end up believing a clean opinion settles their tax position.

Only the first line carries an auditor's opinion. Everything under it is your own assertion, made in a return you signed, and tested later by the only party in the table that can raise an assessment. A clean audit report is evidence that the accounting was sound. It is not a tax clearance, and it does not bind the Authority to anything.

The licensed audit firm

  • Whether the financial statements are fairly presentedIn the written opinion, and nowhere else

The Federal Tax Authority

  • Whether an assessment is raisedAgainst the return you signed, not the opinion
  • Whether your records are examined, and whenOn at least ten business days' notice
  • How far back the figures can be reopenedFive years from the end of the tax period

Your free zone authority

  • Whether your auditor's report is accepted at allOn receipt, against its own list of firms

Company law

  • Whether an auditor must be appointed in the first placeA duty that is real and modest

This matters when choosing what to buy. If your worry is the qualifying income split or the transfer pricing file, an audit does not address it, and a firm that implies otherwise is selling the wrong engagement. The conditions of the status are set out on our UAE corporate tax page.

What the auditor needs, and the three things that cannot be created later

A woman points a pen at two binders embossed with a magnifier and a percentage mark

Most of an audit file can be assembled after the year ends. A small part of it cannot, and that part decides whether you get a clean opinion or a qualified one.

The practical consequence is a date, not a list. A company that appoints its auditor in the seventh month after its year end has already lost the count, weakened the receivable confirmations, and cannot manufacture the substance record. The opinion that follows may be qualified or carry a scope limitation, and both of those travel: to your zone, to your bank, to a buyer's diligence, and into the file the Authority reads if it examines the period.

Appointing the auditor before the year end costs nothing extra and preserves all three.

What being late actually costs, and the consequence in no penalty schedule

"Late" has four different meanings depending on who is waiting, and they are not equally survivable.

The first three rows are money, and the amounts are published: under Cabinet Decision No. 75 of 2023 as amended, a late return attracts AED 500 for each month or part month for the first twelve months and AED 1,000 a month after that, while unpaid tax carries 14% a year charged monthly from the day after it was due. Unpleasant, arithmetic, and finite. The thresholds and filing dates those charges hang off are set out on VAT and corporate tax compliance.

The fourth row is different, and it is the reason this page exists. For a Qualifying Free Zone Person, audited financial statements are not a filing requirement sitting beside the tax position — they are one of the conditions of it. Fail a condition and the status is lost from the start of that tax period and for the four tax periods that follow. Five periods of consequence from one missed engagement, and no penalty table anywhere shows it, because it is not a penalty. It is the removal of a relief.

What the status givesWhat it asks of you

  1. The rate0% on qualifying incomeAudited statements at any level, pricing documentation and genuine substance
  2. Small revenueThe relief itself does not changeCosts that frequently exceed the tax saved on mainland or overseas sales
  3. One condition missedNo penalty is charged, because this is not a penaltyThe status from the start of that tax period and the four tax periods that follow
  4. Leaving the engagement lateNothing at all is savedThe count, the receivable confirmations and the substance record

Weigh that against the audit fee you were deciding whether to spend. Then weigh it against the thing most companies actually do, which is to leave the engagement until the zone's renewal notice arrives.

Why the audit is the wrong place to fix a tax position

An audit examines a year that has finished. The decisions it documents were taken between six and eighteen months earlier, and most of them cannot be revisited.

Whether income was qualifying was fixed when the invoice was raised, by who the counterparty was and what the activity was. Whether the substance condition held was fixed by where the work actually happened. Whether the related party price was defensible was fixed when the price was agreed. By the time an auditor asks, each of those is a historical fact with a paper trail or without one.

That is why the useful work sits at the point of transaction rather than at the point of audit: a coding rule that separates qualifying from non-qualifying revenue as invoices are raised, a note recording where a decision was taken while it is being taken, a pricing file opened when an intercompany agreement is signed. All three are cheap in the month they happen and unavailable a year later.

Where an error is already inside a filed return, the mechanism is a voluntary disclosure under Article 10 of Federal Decree-Law No. 28 of 2022, not an audit — and one made before the Authority notifies you of an examination costs materially less than the same correction afterwards.

Where buying an audit is the wrong move

Nothing requires it of you. A mainland company below the revenue threshold, not in a tax group, not claiming free zone status, with no facility and no outside shareholder, has a company law duty to appoint an auditor and no external reader for the output. That duty is real and modest. It is not the engagement most firms will quote for.

You want it to settle your tax answer. It does not reach the adjustments, the qualifying income split or the pricing. Read the responsibility table above again: those lines have no auditor's opinion on them, by design.

You want it as protection in an examination. An assessment is raised against your return, not against your opinion. A clean report is useful context and it is not a defence.

Your records are a folder of invoices and eleven months of bank statements. Then your problem is bookkeeping and the audit is the most expensive way to discover it. Fix the ledger first, at ledger rates.

You are claiming free zone status on small revenue. Audited statements at any level, transfer pricing documentation and genuine substance are all conditions of the 0%. On a modest turnover selling mostly to mainland or overseas customers, those costs frequently exceed the tax saved. Model it before electing, not after.

You are appointing an auditor in month seven and expecting a clean opinion. Three items on the evidence table are already gone. Buy the audit, by all means — but buy it knowing which qualification you are paying for.

You want one firm to keep the books and audit them. Independence runs the other way. Ask precisely how the two engagements are separated, and get the answer in writing before either starts.

Frequently asked questions

Can I ask the Federal Tax Authority to audit me so I know I am compliant?

No. A tax audit is initiated by the Authority, on notice, at a time of its choosing. If you want certainty about a position you have already filed, the mechanisms are a voluntary disclosure to correct it and, for a genuinely uncertain point, professional advice on the position itself.

Does a clean audit opinion mean my corporate tax return is accepted?

No. The opinion addresses the financial statements, and nothing else. Your return contains adjustments, elections and characterisations that no auditor opined on — whether income was qualifying, how a related party price was set, which reliefs you claimed — and an assessment is raised against the return rather than against the opinion. A clean report is useful context in an examination and it is not a defence. The Authority's ordinary reach into those figures is five years from the end of the tax period.

My free zone says a company of my size does not need an audit. Am I safe?

Only from your zone. The zone, company law and the tax rules decide different questions under different instruments, and a company excused by one can be caught by another in the same financial year. If you claim Qualifying Free Zone Person status, audited statements are required regardless of what your zone asks for.

How far back can the Authority look?

Under Article 46 of the Tax Procedures Law the ordinary limitation is five years from the end of the tax period, extending to fifteen years where there has been evasion or a failure to enrol for a tax that should have been enrolled. Corporate tax records must be kept for seven years under Article 56 of the corporate tax law, which is why a five-year retention habit borrowed from company law is not enough.

What if my auditor is not on my zone's list?

The report is rejected on receipt and the work has to be performed again by a firm that is listed. Check the list before the engagement letter is signed, and check the list for your own zone — approval by one authority means nothing to another.

Who can represent me if an examination is opened?

Formal representation before the Authority is the work of an accredited Tax Agent appointed under Article 14 of the Tax Procedures Law, whose appointment does not transfer your own responsibility for the tax. Ask for the agent's number and check it against the Authority's own list. Your statutory auditor is not that person, and a consultant without that accreditation is not either.
