Step by step
The benefits a foreign entrepreneur is sold arrive as a calendar. Here is the sequence, and what each stage commits you to afterwards.
Forming the company is the short part of this project and the part everybody quotes for.
The part that is quoted for is the short part
A formation quotation covers a few weeks of work. The decision in front of you covers the first three years, because most of what a UAE company costs is not the licence — it is the premises the licence requires, the permits the staff require, the filings the tax law requires, and the renewal that carries all of it into the next year. This page is the order of work and the obligation ledger; the separate question of what a foreign investor actually holds, vehicle by vehicle, is answered in foreign ownership of a UAE company.
The benefit side of this is genuine. There is no personal income tax on employment income. The corporate tax rate is low and the first slice of taxable income is untaxed. The dirham is pegged to the US dollar, which removes a whole category of currency risk from a business that prices in dollars, as your UAE company is a dollar business sets out. The Ministry of Finance publishes an extensive network of double taxation agreements. None of that is in dispute. What is usually missing from the pitch is the second column.
What it gives youThe second column

The order the work actually happens in
These stages have real dependencies. Each one blocks something downstream, and taking them out of order is the single most common reason a formation that was quoted at three weeks takes three months. The route choice sitting above the sequence — which emirate, and mainland against free zone — is covered under business setup in the UAE.
Two of those lines deserve emphasis. The address on your licence is filed by your landlord rather than by you, which is why a tenancy problem becomes a licensing problem — the mechanism is in the address on your licence is filed by somebody else. And the bank is the one stage nobody in this industry controls, whatever a package implies.
What begins on the day the licence issues
The pattern worth seeing is that these cycles do not share a date. A licence renewal, a tenancy expiry, a tax filing and four permit renewals will sit in four different months, and the company that treats renewal as a single annual event will miss three of them.
What changes the moment you hire the first person
The visa allocation point catches people repeatedly: the facility class chosen to keep the first-year price down is the thing that later caps hiring. What that opens up is set out in hiring the first person opens a file the licence did not.

The benefit list, with the condition attached to each item

The legacy version of this subject promised tax exclusion. That was written before the corporate tax law and it is no longer true of anybody. The same exercise run across the whole pitch, benefit by benefit, is in what the UAE actually gives you and what it costs.
Where starting the company is the wrong first move
You have not tested the demand. A licence is a permission, not a customer. If the plan is to find out whether anyone here will buy, a company is an expensive instrument for market research, and the annual obligations above run whether or not you invoice anybody.
You are already employed here. Your current permit may already permit more than you think, and a second licence brings a second set of renewals. Establish what you can do under the status you hold before adding a company to it.
The revenue is one contract with one overseas client. Then the question is whether a UAE entity improves that contract at all. Sometimes it does, for banking or for withholding reasons. Frequently it does not, and the answer is to invoice from where you already are.
What you actually want is residence. There are permit routes that do not require you to operate a company, and running a company to hold a visa means accepting a filing calendar as the price of a residence permit. Treat the two decisions separately, which is the argument in a trade licence is not a golden visa.
Your customers are UAE businesses and the quote in front of you is for a free zone. The licence does not reach them directly. Fix that before you buy it, using the only UAE customer a free zone licence already reaches and moving between free zone and mainland after you have chosen.
You cannot fund the second year. First-year packages are priced to win the sale. The renewal, the permits, the accountant and the premises are the real cost base, and what a low-cost UAE licence leaves out sets out which of them are simply missing from the headline.

What we would want before quoting this work
The activity as the authority would describe it. Where your customers sit. How many people you expect to sponsor in the first eighteen months, because that decides premises. Whether a shareholder or the signatory will be outside the country during the process. And your intended financial year end, because it is easier to choose once than to change later — choosing your first financial year end explains why.
Frequently asked questions
How long does the whole process take?
The licence can be quick where no second approval is involved. The bank is the long pole and it is not on anybody's schedule. Build the plan around a complete document file and a realistic banking window rather than around a licence issue date.
Do I need to be in the UAE to do it?
Not for every step, and forming from abroad converts the work into a legalisation exercise. A power of attorney drafted wide enough matters more than a flight — see forming a UAE company from outside the country. A shareholder sitting abroad also adds a legalisation chain to the constitutional documents, and the bank stage is the one that in practice wants to meet a resident signatory, so plan the permits and the banking window around who will actually be in the country.
What is the single largest recurring cost?
Premises, in most cases, and premises are also what caps hiring. It is the line most worth getting right in year one, because changing it means a new tenancy and a gap you cannot hire through. The facility class chosen to keep the first-year price down is the thing that later limits how many people you may sponsor, and on the mainland the address on the licence comes from a tenancy contract filed by the landlord, so the premises decision reaches the licence as well as the payroll.
If my income is below the corporate tax threshold, can I ignore the tax authority?
No. Being on record and filing is an obligation in its own right. The 0% band describes what is charged, not whether a return is due. The return and the payment fall due within nine months of the end of the tax period, the obligation recurs annually, and it reaches free zone companies as well as mainland ones, because corporate tax is federal and a free zone cannot exempt you from a federal law.
Which obligations differ between a free zone and the mainland?
Corporate tax and VAT are federal and reach both. Employment and immigration administration differs by authority, audit requirements differ by zone and legal form, and premises rules differ entirely. What is genuinely harder on the mainland is set out in what is actually harder about a mainland company.
