There are no tax breaks in the UAE, only elections — and most of them foreclose another one

Corporate tax relief in the UAE is not granted, it is chosen, and the choices are not additive.

Relief in this regime is something you choose, and the choices cancel each other out

A UAE company is not granted tax relief. It elects into it, usually inside the return, usually annually, and almost always at the price of another election it can then no longer make.

That is the part the phrase "tax breaks" hides. A break sounds additive, like a discount that stacks with other discounts. The reliefs in Federal Decree-Law No. 47 of 2022 are closer to a menu where choosing the fish removes the beef: the free zone 0% closes off Small Business Relief and the tax group; Small Business Relief closes off the year's losses; a group closes off three of the four nil-rate bands its members held separately.

So the useful question is not which reliefs exist. It is which one your company can hold, what holding it forecloses, and how long the decision binds. This page answers that. The regime underneath it — rates, thresholds, enrolment and filing — is in UAE corporate tax for new companies, and the one election large enough to need its own treatment is in a UAE tax group is easier to enter than to leave.

Four different things are called a tax break, and each fails in its own way

Before the menu, the taxonomy. Being clear about which kind of object you are dealing with tells you where the risk sits.

Three practical consequences follow. An exemption cannot be lost by administrative failure, because there was nothing to claim. An election is lost by a filing decision, which is why the return is a decision document rather than a summary. And a self-assessed position is the only one of the four where you can be wrong for years without being told.

The elections a UAE company can actually choose between

These are the items genuinely on the menu for an ordinary trading company. Each entry says what it does and, more importantly, what it locks in.

Small Business Relief. Under Article 21 and Ministerial Decision No. 73 of 2023, a resident company with revenue at or below AED 3,000,000 in the relevant period and every previous one elects to be treated as having no taxable income for that period. It is the most valuable item here for a small company and the most commonly mis-timed. It locks in three things: losses of a relief period cannot be carried forward; exceeding the revenue ceiling once removes the relief for that period and permanently thereafter; and it is unavailable to a Qualifying Free Zone Person. It is also time-bounded, reaching tax periods ending on or before 31 December 2029 following a later extension, so a structure built to last longer than that should not depend on it.

Qualifying Free Zone Person status, and the election out of it. Article 18 gives 0% on qualifying income and 9% on everything else from the first dirham, with no nil-rate band on the non-qualifying part. Article 19 lets a free zone person elect to be taxed in the ordinary way instead, which is sometimes the better answer. What the status locks in is unusually heavy: audited financial statements whatever the revenue, transfer pricing documentation, substance in the zone, exclusion from Small Business Relief, exclusion from a tax group, exclusion from transferring a loss to another company — and, on a failed condition, exclusion from the status itself for that period and the following four. The test itself is in no free zone can exempt you from a federal tax.

Tax loss relief and the transfer of a loss. Article 37 carries a loss forward against later taxable income, capped in any period at 75% of that period's taxable income before loss relief, and Article 39 gates the carry-forward on ownership continuity with a same-or-similar-business test standing in where continuity has broken. Article 38 transfers a loss to another taxable person under a 75% ownership relationship. This is the cheapest thing on the menu, because it is a per-period offset that commits nothing about next year and creates no structure. It is also the relief most often replaced by a tax group that was not needed.

Qualifying group transfer relief. Article 26 allows assets and liabilities to move between companies in a 75% group without a gain or loss arising. What it locks in is a two-year clock: move an asset, then sell either company or move the asset out of the group inside two years, and the relief is clawed back. Any transfer under it belongs on a schedule with a date, because it will be read in the diligence on the next transaction.

Business restructuring relief. Article 27 allows a business, or an independent part of one, to be transferred without an immediate charge where the consideration takes the prescribed form. It carries a comparable clawback where the arrangement unwinds within two years. It is a relief for a restructuring you were going to do anyway, and a poor reason to do one.

The participation exemption. Article 23 takes income from a qualifying shareholding out of the charge, subject to a minimum ownership interest, a minimum holding period and a test on the tax the underlying company itself bears. All three conditions are worth reading rather than assuming, and a holding structure designed before they were read is the commonest way this one goes wrong.

The foreign permanent establishment exemption. Article 24 lets a resident elect to exempt income from its foreign establishments. The trade is symmetrical and often overlooked: taking the income out of the UAE computation takes the losses out with it. A loss-making overseas branch is worth more inside the computation than outside it.

The realisation basis. Article 20 permits an election about when gains and losses are recognised, which is a measurement framework rather than a relief. It is mentioned here because it is an election that sits in the same list and is chosen once, with effects that run for as long as the assets are held.

A tax group. Article 40 makes two or more resident companies a single taxable person. What it buys, what it costs and why it is easier to enter than to leave is a separate subject, treated in full in a UAE tax group is easier to enter than to leave. The only point that belongs here is the one people miss: a group is one taxable person, so four companies that each sat under the nil-rate band arrive at one band between them.

Which pairs cancel each other out

This is the table to read before any structure is built, because most of the expensive mistakes in this area are a company holding one relief and needing another.

one small profitable company, judged on the same six rows

Judged onQualifying Free Zone PersonSmall Business Relief
Tax on income that does not qualify9% from the first dirham, and no nil-rate band on that partTreated as having no taxable income at all
A revenue ceilingNo ceiling — the status applies at any sizeAt or below AED 3,000,000, in this period and every previous one
Audited financial statementsRequired whatever the revenueNot carried by the relief
A transfer pricing file, and substance in the zoneBoth requiredNot carried by the relief
Membership of a tax groupNoNot settled
Cost of one failed conditionThat period and the following fourThe relief for that period, and permanently thereafter

Whether a tax group can itself elect Small Business Relief, and how the revenue ceiling would be measured for one, is not settled by the decision — which is silent on groups. It is a question for the Authority's guidance before an application goes in, not after.

Where the cost of qualifying exceeds the tax it removes

Every relief on the menu has a price. Some of the prices are tax — a band given up, a loss forgone. Some are cash: an audit, a transfer pricing file, premises that would survive a substance review, a consolidation. The tax side can be computed exactly. The cash side is quoted by your auditor, and nothing on this page will invent a figure for it.

Set them side by side on one set of facts — a company with AED 500,000 of taxable income and revenue under AED 3,000,000.

one company, one tax period, AED

The tax it removesWhat holding it costs

  1. No relief at allNothing is removed, and AED 11,250 falls dueNothing is given up, and nothing is foreclosed
  2. Small Business ReliefThe whole AED 11,250Nothing at all — unless the company is loss-making, when it costs the loss
  3. The free zone 0%At most the same AED 11,250An audit the company would not otherwise need, plus a transfer pricing file

Read rows one and three together. On these figures the most expensive relief on the list saves at most AED 11,250 of tax, and it costs an audit the company would not otherwise need. Read rows one and two together and the cheapest election on the list saves the same AED 11,250 and costs nothing at all — unless the company is loss-making, in which case it costs the loss, and the loss can be worth several times the relief. That model is worked through period by period in a startup's corporate tax problem is the order the obligations arrive in.

What is not a relief, and is routinely sold as one

Three things get presented as tax planning and are simply correct computation.

Disallowed expenditure is not a relief you failed to claim. Entertainment expenditure is partly disallowed under Article 32, fines and penalties are not deductible, and Article 30 caps net interest deductions by a formula set in a ministerial decision. None of these is optional and none is a choice you can make differently.

Accurate bookkeeping is not a relief. It is the condition on which every relief here depends. A company whose records cannot evidence a position does not have that position, whatever it elected.

A second company is not a relief. Splitting one business across several entities so that each sits under the nil-rate band is addressed directly in Cabinet Decision No. 116 of 2022, which treats artificial separation as an arrangement to obtain a tax advantage. Article 50, the general anti-abuse rule, sits above the whole menu and reaches a transaction whose main purpose was the advantage rather than the business.

Where choosing the relief is the wrong answer

The relief ends before the structure does. Small Business Relief reaches periods ending on or before 31 December 2029 as the regime stood at the date of review — an end date that has already been extended once, so check it rather than plan on it. A holding structure built to last a decade should be viable on the regime that follows it.

The cost of qualifying is a recurring cost and the saving is a one-off. An audit and a transfer pricing file arrive every year. Compare them to the tax over the same horizon, not to the tax in the best year.

The election destroys an asset you have not finished building. A loss-making company electing a relief it does not need in a year with nothing to pay is the clearest example, and it is the most common.

The relief you are protecting blocks the one you will need. A group that keeps a free zone company's 0% cannot consolidate. A company that keeps its 0% cannot take the small-business election. Deciding which matters more is arithmetic, and it takes an afternoon.

Nobody has modelled the second year. Every election on the menu is decided against a forecast. An election modelled on one year of figures is a coin toss with a compliance cost attached.

The relief is the reason for the transaction. If the structure exists because of the relief rather than the business, Article 50 is the provision it will be read against, and the reading happens after the money has been spent.

You hold a licence, not a position. No licensing authority, zone or emirate grants, confirms or protects any item on this page. They are all federal, and they are all answerable only against the Decree-Law and the decisions issued under it.

Frequently asked questions

Which UAE tax relief is the best one?

The question has no answer without your revenue, your customer mix and your forecast. For a small profitable company it is usually Small Business Relief. For a genuine manufacturer or commodity trader inside a zone it is usually the free zone 0%. For a founder with two companies and one loss it is usually neither, and it is Article 38.

Can we take Small Business Relief and the free zone 0% together?

No. Ministerial Decision No. 73 of 2023 excludes a Qualifying Free Zone Person from the relief by name, so the two are alternatives rather than a stack. For a small free zone company the relief is frequently worth more: the 0% status charges 9% from the first dirham on any income that is not qualifying, and it carries audited statements at any size, a transfer pricing file and real substance in the zone. Small Business Relief carries none of that.

Is an election permanent?

It depends on the election. Small Business Relief and the transfer of a loss are made period by period. The qualifying group and restructuring reliefs carry a two-year clawback. A tax group ends only on an approved application, and the periods of membership never stop mattering.

Our profits are below the threshold, so is there anything to decide?

Yes — whether to file a loss return rather than elect a relief, whether the year end matches any sister company, and whether the group you are considering would cost you three nil-rate bands. Below the threshold the tax is nil and the decisions are not.

Does an auditor or a consultant confirm our relief?

Neither of them does. An auditor reports on the financial statements and a consultant gives an opinion, and no part of that is a determination, because most of the menu here is self-assessed and reviewable years later against records you either kept or did not. Only the items that need an application carry an approval, and until the Authority gives it the structure does not exist, whatever the board resolved. No licensing authority, zone or emirate confirms any of it either.
