Answered plainly

As a non-resident, every risk in this engagement reduces to one question: whose name is on it

Experience, reputation and range of services are the wrong first test for someone choosing a Dubai setup firm from another country.

You are about to send certified copies of your identity documents, and quite possibly originals that a court or a government office in your own country issued, to a firm in a city you may never have visited. Then you will sign something that puts a name on a licence while you are several time zones away from the counter where it happens.

The selection tests every guide offers — years in business, reputation, breadth of services, reviews from clients you cannot telephone — are not wrong. They are just not the tests that decide what happens to you. For a non-resident, what decides that is whose name ends up on each item, and who physically holds what. Those two questions are answerable before you pay anything, and they survive a firm turning out to be worse than advertised.

For the public checks on a firm — its own licence, the supervision it carries, the four records that prove something about it — every check worth running on a UAE formation consultant is public and free. For what any firm can and cannot be held to, which formation problems a consultant can actually remove. For how firms are paid and which way that bends advice, our business setup consultants in Dubai page. This page is the part none of those cover: the exposure that exists only because you are somewhere else.

Distance changes the remedy, not just the convenience

Three asymmetries do all the work.

You cannot attend a counter. Several steps in a UAE formation want a person in a room — a notary, a biometric appointment, a bank's own onboarding meeting. Somebody else standing in for you is not a favour, it is an instrument with a scope, and the scope is the whole of your protection. The mechanics of what can and cannot be done from outside the country are set out in forming a UAE company from outside the country.

You cannot read your own file. A resident client can walk in and ask. Yours is whatever the firm tells you, unless you hold the portal credentials in your own hands. That is not a trust problem; it is an information problem that persists even with an honest firm, because you will not know a renewal notice arrived.

Your identity documents leave your possession and cross a border. A resident hands over a copy and gets it back the same afternoon. Your corporate originals may spend weeks in a consular chain, in somebody else's custody, in a country whose courts you would have to travel to.

what distance does to each part of the engagement

What a resident client hasWhat you have instead

  1. Attending a counterAttends in person: the notary, the biometric step, the bank's own meetingA proxy stands in, and the scope of that instrument is the whole of your protection
  2. Reading your own fileWalks in and asksWhatever the firm tells you, unless you hold the portal credentials yourself
  3. Your identity documentsHands over a copy, gets it back the same afternoonOriginals may spend weeks in a consular chain, in somebody else's custody
  4. Where the remedy sitsTen minutes awayWhere the firm is, in a country whose courts you would have to travel to

And the remedy sits where the firm is. Liability for what is filed does not move to the firm merely because the firm filed it — a consultant can do every step and the authority will still come to you. So prevention at the start is worth disproportionately more to you than it is to a client who lives ten minutes away.

Eight things carry a name, and you should be on seven of them from day one

One item on the list legitimately is not yours. Where a firm supplies the official address as a product, that is a service you are buying rather than a dependency being concealed — and a non-resident with no premises of their own frequently needs it. The same goes for a local service agent where a particular Dubai professional structure still requires one: no shares, no profit entitlement, no authority over the company or its account. The problem is never that a firm holds something. It is that you did not know it did, and did not price what it costs to take back. The portal logins are the company, and most founders never hold them is the detail behind row six.

  2. Legitimately not yours1A service you are buying, such as the official address supplied by the firm

Your originals: what must travel, and what never should

Three tiers of document appear in a formation file, and only one of them genuinely has to leave your hands.

The reason originals travel at all is that the UAE is not a party to the Hague Apostille Convention, so a foreign public document becomes usable here at the end of a consular chain running through the UAE mission accredited to the country of issue and finishing with the Ministry of Foreign Affairs. No counter on the UAE side repairs a chain that was never completed, which is why a defective attestation means the document starts again rather than gets corrected.

Five custody terms cost nothing to insist on and are awkward to ask for later. An itemised receipt naming every document and who holds it. A named individual as custodian rather than a firm in the abstract. Courier bookings in your name with tracking you can see. Scans of everything before it leaves, at a quality that supports a replacement application. And a written purpose limitation: your identity documents are for the named company's file and nothing else, with a return-or-destroy date and an undertaking that no copy is used on any other application. A firm that will not sign that has told you something about its filing practices generally.

The power of attorney is the instrument that carries the whole exposure

Everything else on this page is a risk you could discover. A general power of attorney is a risk you granted.

Six terms make one safe to sign. The scope names the filings, the authority and the company, rather than "all matters relating to the company". Banking authority is excluded expressly, or capped, unless you have decided otherwise with your eyes open. There is an expiry date. It is revocable, and you know before you sign how a revocation is effected and who must be notified for it to bite. It is read in the language that governs, which for a mainland company is Arabic — the Arabic text is the one that governs. And you never sign a blank form, however normal anybody says that is.

TermWhat the safe form says
ScopeNames the filings, the authority and the company, never all matters relating to it
Banking authorityExcluded expressly, or capped, unless you have decided otherwise
DurationThere is an expiry date
RevocationRevocable, and you know before signing how a revocation bites and who must be told
LanguageRead in the language that governs, which for a mainland company is Arabic
The form itselfNever a blank one, however normal anybody says that is

For a non-resident, one test sits above all of those: a power you cannot revoke from where you live is worse than no power at all, because the fallback without it is a delay, and the fallback with it is a dispute conducted at a distance.

Nominee and side-agreement arrangements, and what they actually expose you to

The reason usually offered for one of these is a rule that no longer exists. Federal Decree-Law No. 26 of 2020 removed the general requirement for majority Emirati shareholding in an onshore company, with effect from 2021, and most activities now permit full foreign ownership. What survives is a strategic-impact list under Cabinet Resolution No. 55 of 2021, where a sector regulator sets the permitted foreign percentage for the activities on it — a narrow list, not a default. Four UAE obligations you are still being sold covers the repeal and what replaced it.

So the first question is whether your activity is on that list at all. If it is not, a majority-holder arrangement is being sold to you rather than imposed on you.

the two instruments named in this section

  1. Federal Decree-Law No. 26 of 2020 removed the general majority Emirati shareholding ruleWith effect from 2021, most activities now permit full foreign ownership
  2. Cabinet Resolution No. 55 of 2021 leaves a strategic-impact listA narrow list, not a default, with a regulator-set foreign percentage
  3. Is your activity on the strategic-impact list
  4. It is not on the listFull foreign ownership is permitted: the arrangement is being sold, not imposed
  5. It is on the listThe sector regulator for that activity sets the permitted foreign percentage
  6. Whether your activity is on that listEstablish it, with the instrument named, before anybody proposes a nominee

Two further things about these arrangements deserve saying plainly. Whether a particular side agreement is enforceable is a legal question, and a setup consultancy holding an ordinary consultancy trade licence is not licensed to answer it — advocates and legal consultants are licensed separately, and in Dubai the Legal Affairs Department publishes who they are. And the practical exposure is not evenly shared: you carry the whole of it, because the person on the record has the record and you have a promise.

Exit, and what you cannot do about it from another country

The general sequence for changing provider, including the two points where somebody else's consent is required, is in what your provider keeps holding afterwards. The non-resident part is narrower and harder.

Read the third column. Most of what you would need to reclaim requires either a person in the UAE or the cooperation of the party you are leaving. That is the entire argument for settling these at the start, when they cost a paragraph in an engagement letter, rather than at the end, when they cost a trip.

Where this caution is the wrong answer

A firm supplying your official address is not a warning sign. It is a product, and for a non-resident with no premises it is often the only workable one. What matters is that the dependency is disclosed and the cost of unwinding it is known. Treating the service itself as a defect leaves you with no address.

Insisting on physical presence for everything. A properly scoped proxy is how a file moves while you are abroad. A founder who refuses every delegation will stall a formation for months in exchange for a protection that a well-drafted instrument already gives them.

One shareholder, one zone licence, no staff, no urgent banking need. At that scale the exposure is small, the document set is short, and running a full custody and naming audit costs more than it protects. Get the credentials and the contact details in your own name, and leave the rest.

Your real blocker is in your own country. A shareholder who will not produce identification, a document an issuing authority has not released, a consular chain already running. None of that is affected by which UAE firm you chose, and paying closer attention to the firm will not move it.

Naming is not vetting. Being on every record does not make a wrongly chosen activity code correct, and does not stop a file being refused at a gate. The two exercises are separate and you need both — a UAE formation is refused at a named gate covers the second.

You have already signed and filed. Then this page is an audit, not a plan. Ask for the handover list and the year-two figure, and work forward.

What to settle before any document leaves your country

  1. An itemised custody receipt, naming every document, the individual holding it, and the date it comes back.
  2. A written purpose limitation on your identity documents, with a return-or-destroy date and an undertaking that no copy is used on another file.
  3. The naming schedule — which of the eight items will carry your name, and for any that will not, why, and what the amendment costs to change later.
  4. The power of attorney in final form, scope-limited, dated, revocable, with the revocation route written down before you sign it.
  5. Your own portal credentials and contact details, tested from where you live, before the final payment moves.
  6. Whether your activity is on the strategic-impact list at all, with the instrument named, before anybody proposes a majority holder or a nominee.
  7. The exit terms, including who holds the licence, the credentials, the official address and the originals, and what leaving costs in filings.

Frequently asked questions

Should I hand over my original passport?

No, and no step requires it. A firm needs a clear copy, sometimes certified. Corporate documents and personal certificates issued abroad are a different matter, because the consular chain stamps the physical document — for those, order duplicate originals from the issuing authority so that nothing irreplaceable is in transit.

Is a nominee shareholder arrangement legal in the UAE?

That is a legal question, and a setup consultancy is not licensed to answer it. What is checkable without a lawyer is the premise: most activities now permit full foreign ownership, so the first thing to establish is whether your activity sits on the strategic-impact list. What is also certain is that beneficial ownership particulars are filed with your incorporating authority, so the arrangement does not deliver the privacy it is usually sold for.

The firm wants to put its own email and mobile on my licence. Is that normal?

It is common, and it is how a client becomes expensive to leave. Notifications about renewals, violations and filings then arrive somewhere you cannot see. Ask for your own address on every file, and test that a notification reaches it before you pay the final instalment.

Can I revoke a power of attorney from outside the UAE?

Settle that before you sign, in writing, naming the mechanism and who must be notified for the revocation to take effect against the authorities the power was used at. A power whose revocation route nobody can describe to you is the single most dangerous document in the engagement.

The firm is holding my documents and will not release them. What now?

Your position depends almost entirely on what you agreed at the start, which is why the custody receipt matters more than any reassurance. There is no competence regulator for this category to escalate to, though a firm acting as a trust and company service provider does carry anti-money-laundering supervision — and the practical lever is usually that a company's own documents can be reissued by the authority that issued them. What your provider keeps holding sets out which items can be replaced and which cannot.

Do I have to come to the UAE at all?

For the company, frequently not. For a residence permit, yes — the biometric and medical steps inside it are personal and nobody can take them for you. The useful planning question is not whether to travel but when, because a trip booked before the file is complete buys nothing.
