How to Start a Real Estate Buying and Selling Business in Dubai
Dealing in real estate on your own account is the only property line where the company's own capital is the stock. The gain is a spread, eaten from both ends by transfer cost and by unsold months.

How to Start a Real Estate Buying and Selling Business in Dubai
Of the property activities in this catalogue, buying and selling of real estate is the only one where the company's own money becomes the stock on the shelf. There is no client, no mandate and no commission. A unit is bought with capital the company has raised or borrowed, it sits on the balance sheet, and the entire result of the trade is the difference between what was paid for it and what somebody else eventually pays. That single fact separates this line from every brokerage activity beside it, and it is the reason the two trades attract completely different people.
The arithmetic is unforgiving in a way that a commission business is not. A spread has to cover the cost of transferring the unit in, the cost of transferring it out, whatever was spent making it saleable, the finance running against it, the service charges falling due while nobody lives there, and the months of a working year during which that capital is doing nothing else. A dealer who buys well and sells slowly can lose money on a unit that appreciated. A dealer who buys indifferently and sells in six weeks can make money on one that did not. Time on market is the variable that decides this business, and it is the variable a buyer has least control over.
What this line covers: dealing in property on your own account
The activity covers acquiring real estate in the company's own name with the intention of reselling it, holding it while that happens, and disposing of it. In practice that is four recognisable trades. Buying a completed unit, improving it and selling it on. Buying from a developer before completion and assigning the contract to another buyer before handover. Assembling a small portfolio, holding it through a cycle and selling into a stronger market. And buying something difficult — a unit with a title problem, an unpaid service charge history, an awkward layout or a motivated seller — on the basis that solving the difficulty is itself the margin.
What it does not cover is acting for anyone else. The moment a unit being sold belongs to a third party and the fee is a commission rather than a spread, the work has crossed into brokerage, which is separately licensed and carries a personal permit attached to the individual doing it. CZ 342 is the sale brokerage line and CZ 295 the leasing one. Nor does this line carry the business of renting out what you have bought and keeping it: holding units for income is CZ 294, and letting them by the night is CZ 368. Most dealers eventually hold one or two units they could not sell at the price they wanted, which is exactly how a trading company discovers it needs a second activity on its licence.

Who you sell to, and how long each buyer takes
There are four exits and they move at very different speeds, which matters more than the price any of them will pay.
The end user buying to live in the unit pays the most and takes the longest. The decision involves a family, a school run, a commute and often a mortgage, and any one of those can stall a deal for a month. The investor buying for yield is faster and colder: the unit is a number, the questions are about rent achieved and service charges, and the offer arrives inside a week or not at all. Another dealer will move faster than anyone and will pay least, because the whole point of that trade is that your margin becomes theirs. And a tenant already living in the unit is the quietest exit of all, routinely overlooked, and frequently the one buyer who needs neither a viewing nor persuading.
Matching the exit to the asset before buying is the whole discipline. A unit bought for an investor and marketed to families sits. A unit bought for families and priced for an investor sells quickly and makes nothing. Dealers who survive their first cycle are the ones who wrote down who the buyer would be before they made the offer.
The conditions attach to the property, not to the trade
Nothing a dealer does is itself a controlled act in the way that handling food or medicines is. What is controlled is the asset, and the gates that matter sit with the land authority rather than with the body that issued the trade licence.
Where a company may hold property at all depends on who owns the company and where the unit is: ownership by parties who are not nationals of the UAE or the wider Gulf is confined to designated locations, and which locations those are is a matter of record rather than of negotiation. Every transfer in and every transfer out is recorded with the Dubai Land Department, and the record it creates is the title to the asset. A unit bought before completion is bought from the developer, and selling it on before handover needs that developer's consent to the assignment — a commercial decision somebody else makes about your exit. Finance taken over a unit has to be discharged before a transfer can be recorded. And a unit inside a building carries service charges owed to its owners' association, with a clearance on those charges standing between a seller and a completed sale.
six gates, and only one of them is the licence
The emirate's economic department
- The trade licence carrying this activityFirst; nothing is bought in the company's name before it
The Dubai Land Department, against the property record
- Whether the company may hold property in a given location at allBefore an offer is made, not after one is accepted
The Dubai Land Department
- The transfer itself, and the title record it createsOn the day the money moves, and again on the way out
The developer
- Consent to assign a unit bought before completionWhen you want to sell early, which is the worst moment to ask
The lender
- Discharge of any finance standing over the unitBefore a transfer can be recorded at all
The owners' association
- Clearance that the unit's service charges are paid upBefore the sale closes, and it has caught sellers out
The shape of that drawing is the argument of the page. One gate belongs to the authority that licensed the company, and a new dealer plans for that one. Two belong to the land department. Two more belong to private parties — a developer and a lender — whose timetables are not yours and whose consent is not automatic. A business plan built around how quickly a licence can be obtained has measured the least interesting gate on the file.
Two financial conditions are worth building in from the first purchase. The gain on a sale is business income rather than a windfall, so how it is treated, and how value added tax applies to the class of property being traded, are settled with the Federal Tax Authority for the actual structure rather than assumed from the activity name. And because the asset is the stock, the funding question is not how much capital the business has but how long that capital can stay committed. What the licence costs to hold, which form it takes and what conditions attach in a given emirate all depend on the emirate and the licensing authority, and ConsultZone establishes those for the specific case before an offer is made on anything.

Activities that sit beside this one
Most licences carry more than one activity. Adding a neighbouring line at the application stage costs a fraction of amending the licence afterwards.
