Every claim on a Dubai business-setup trends list is either an instrument you can name or a sentence somebody wrote

A trend forecast about Dubai company formation is unfalsifiable by construction: it names no instrument, so nothing can ever show it wrong, and nothing in it can be acted on. This page does the opposite job.

You are being asked to sign something this quarter, and the reason on the page is a trend. Technology licensing is easing. Sustainability is where the support is going. The rules are relaxing. Setup now takes a day. Each of those sentences is built so that nothing can ever contradict it, which turns out to be the same property as being impossible to act on.

There is a cheap test that sorts the whole category. Ask which instrument. A live rule in the UAE has a publisher, a number and a date — a Federal Decree-Law, a Cabinet Decision, a Ministerial Decision, an emirate resolution, a zone rulebook. If the answer to "which instrument" is a strategy name, a target year or the name of an initiative, you have not been told a rule. You have been told a mood, and you are about to price it.

So this page does the audit instead of the forecast. What a trends list claimed, what was actually issued, and the specific date in each instrument that binds you rather than the one that makes the headline.

The five claims, and what each one actually rests on

One further habit of the genre deserves naming, because it is the reason the whole category should be read with a hand over the claims. A trends list will attribute a benefit to a named body or a named place that does not issue licences at all — a council, a community, a development, sometimes an event that was never held. The claim reads as verifiable precisely because it carries a proper noun. If you cannot match the name to an authority that issues something, treat the sentence as absent rather than as merely unconfirmed. Related reading: a strategy announcement is not a licence you can buy.

The date on an instrument is usually three dates, and only one of them binds you

This is where honest sources still get misread, and it accounts for more wrong advice in this market than bad faith does.

The third row is the one to carry away. Most UAE obligation is scoped either to financial years beginning after a date or to activities on a list, rather than to "companies in Dubai" at large. Which is why choosing your first financial year end is a decision rather than an administrative detail.

The record, in the order the instruments reach a company file

Seventeen entries, each with the date that matters. Nothing here is a forecast and nothing here is obscure.

Two structural notes sit beside that table rather than inside it. The National Economic record now holds licence data from all seven emirates against the ISIC Rev.4 classification, which is why an activity carries the same code in Sharjah as it does in Dubai. And a domestic minimum top-up tax reaches very large multinational groups for financial years beginning on or after 1 January 2025 — no rate and no revenue threshold is stated here, because neither was read at the Decision text, and this market quotes both from memory.

What each change did to standing advice is worked through in the UAE rule changes that made older advice wrong, and the obligations abolished outright are in four UAE obligations you are still being sold. This page is the instrument spine; those two are the consequences.

The four instruments that reach a company with no tax question at all

Forecast pieces concentrate on tax and ownership, because those are the headlines. The instruments that most often catch an ordinary company are quieter than that.

Federal Decree-Law No. 33 of 2021 is the frame every work permit is issued under, which means the day you hire somebody you open a file the trade licence did not create — the subject of hiring the first person opens a file the licence did not. Federal Decree-Law No. 45 of 2021 reaches any business holding personal data about customers or staff, with no revenue test to fall under. Cabinet Decision No. 109 of 2023 puts the beneficial owner of your company on record, and it is the mechanism behind what outsiders can and cannot learn about your ownership. The 2025 anti-money-laundering instruments reach designated non-financial businesses and professions whose owners frequently do not know they are designated — property, precious metals, corporate services, audit.

None of those four was ever a trend. All four are live, and three of them apply on the day the licence is issued.

What this page deliberately does not contain

An honest chronology has holes in it, and stating them is the point rather than an apology for it.

No commencement date for the phased electronic invoicing programme. It has been announced through the Ministry of Finance, the dates circulating in this market do not agree with one another, and a commitment made against a guessed date is the same class of error as acting on a trend. Take the date from the ministry that publishes it.

No fee, term or application route under Executive Council Resolution No. (11) of 2025. The resolution is real, and the Department of Economy and Tourism is obliged to issue the activity list that governs which authorisation applies. Until you have read that list against your own activity code, "can my free zone company sell into Dubai" is a question about a list rather than a yes or a no.

No rate and no threshold for the top-up tax. No discount scheme for any class of founder. No processing time for any licence. Each of those is missing because it was not confirmed at the source, and a page that fills such gaps from commentary is exactly the artefact this one replaces.

Where a chronology is the wrong tool

You want to know what your licence permits today. A statute will not tell you. The directory line printed on your licence will, and commercial, professional or industrial explains how that line is derived. Read the licence, not the law.

You are choosing between a free zone and the mainland. The 2023 and 2025 instruments narrowed the tax difference considerably, which promotes the question nobody forecasts: who you are allowed to sell to. Start at the only UAE customer a free zone licence already reaches.

You are waiting for the rules to settle before forming. They will not settle, and nothing in the record above made formation harder. Waiting costs a financial year and buys no information. If the decision you are really postponing is the route rather than the timing, business setup in Dubai puts mainland, free zone and offshore beside each other with what each one costs.

You are auditing a company you already run. A chronology tells you which files to open, not which ones are wrong. Work through the licence, the memorandum, the tax record, the employment file and the beneficial owner record one at a time, and expect most of them to be fine.

You want to know what happens next. This page predicts nothing, on purpose. A forecast you paid for is a forecast you will feel obliged to act on.

What to ask before you sign anything against a trend

Name the instrument. Name its number. Name which of its three dates reaches your company — the day it was issued, the day it started operating, or the period of yours that it applies to. Then ask what has happened to that instrument since, because almost every stale claim in this market was accurate when it was written and has simply never been re-read.

If the answer to any of those is a target year or an initiative name, you have been handed a sentence rather than a rule. That is not a reason to distrust the person in front of you. It is a reason to keep your money in your pocket until somebody can point at the page it came from.

Frequently asked questions

Has a trend ever changed a licence?

No. A licence changes when an authority amends a classification directory, a fee schedule, a rulebook or a statute. Every change worth knowing about arrived as one of those, with a publisher, a number and a date on it. The test is cheap: ask which instrument. If the answer is a strategy name, a target year or the name of an initiative, you have been told a mood rather than a rule.

Does a government strategy ever create something I can license?

Sometimes, but never by itself. A strategy can be followed by a zone, an authority or a rulebook that does license something — and at that point it is the instrument you name, not the strategy. If the only thing your adviser can name is the strategy, the licensable activity does not exist yet.

Is full foreign ownership available in every sector?

No. Federal Decree-Law No. 26 of 2020 removed the majority-Emirati shareholding requirement and Dubai applied its eligible-activity list from 1 June 2021, but Cabinet Resolution No. 55 of 2021 determines the activities of strategic impact and those are handled separately. Ask where your specific activity code sits before treating the general answer as yours.

Corporate tax applied from June 2023. Was my first return due that year?

Not necessarily. It applies to financial years beginning on or after 1 June 2023, so your first tax period follows your own year end, and a company with a December year end came into the regime later than one with a May year end. The obligation to hold records runs from the first day of that first period rather than from the first return.

My adviser quoted a 2025 deadline. Is it still live?

Ask which instrument set it and what has happened to that instrument since. A deadline that once existed is not evidence of a deadline that still does, and an expired date is among the most common things in circulation here.

Why does this page not tell me what is coming in 2027?

Because a page that did would need replacing in 2027, and the previous version of this page is the argument against writing one. A forecast names no instrument, so nothing can ever show it wrong and nothing in it can be acted on. A dated record of what was actually issued keeps working: you add rows to it rather than rewriting it, and every row can be checked against the instrument it names.
