Answered plainly
The economic substance filing a new company is quoted for was confined to years that have already closed
A company formed today is still being sold an annual economic substance filing, because the instrument that confined the regime arrived without a marketing campaign behind it.
If a quotation in front of you carries an annual economic substance filing for a company you have not yet formed, the question to ask is not what it costs. It is which instrument imposes it, for which financial year.
That question has an awkward answer, and the reason it keeps going unasked is structural rather than dishonest. A new obligation arrives with an announcement, a circuit of briefings and a fee attached, so every provider in the country hears about it within a week. A withdrawal arrives as a clause nobody markets, because there is no money in it. The requirement then survives in the only place it was ever really recorded — a provider's checklist, and the quote template built from it. Four UAE obligations you are still being sold works through this one alongside three others; this page stays with economic substance, because it is the one that new companies are most often mispriced on and the one where the wrong correction is as expensive as the original error.

What changed, and what changed it
The regime ran from 2019. A UAE company carrying on one of a defined set of Relevant Activities filed an annual notification, and where it earned income from that activity, a report as well. This page reproduces none of that activity list, deliberately: the list that governs is the published list for the years it governed, and a list retyped into a blog post is how a closed regime keeps being applied to open years.
Cabinet Decision No. 98 of 2024 confined the entire regime to financial years beginning 1 January 2019 and ending on or before 31 December 2022. The commencement is recorded as 2 September 2024 and the Ministry of Finance announced it on 14 October 2024. On that instrument, a financial year beginning on or after 1 January 2023 carries no notification and no report — no reduced filing, no simplified return, and no annual fee a provider can legitimately raise against it.
Two things follow, and they need saying in the same breath.
The first is that a company incorporated this year has no economic substance filing in its calendar at all. The second is that this page is not the authority for that. The Ministry of Finance is, and its own economic substance pages are where the current position has to be confirmed before anybody prices work, drafts an engagement letter or declines an invoice on the strength of it. Read that as a genuine instruction rather than a disclaimer: the market got this wrong for two years in one direction, and is now starting to get it wrong in the other.

Nothing in that table is a reason to keep fewer records. The next section is why.
The filing ended; the question did not move
Substance was never the filing. The filing was evidence of it. Remove the form and the question stays exactly where it was, because it was never only the Ministry asking.
This is the part a stale guide gets wrong in the second direction. A provider who drops the annual fee and tells you substance no longer matters has replaced one error with a more expensive one, because the readers below apply the test on their own account, under their own rules, at moments you do not choose.
Six readers, six standards, one underlying question: are the decisions being taken here, by people who are here, doing the work the licence names. None of them will accept a filing receipt as the answer, because for most of them it never was.
Ministry of Finance
- The annual notification and report — only for years ending on or before 31 December 2022
Banks
- The evidence file at onboarding: a lease, a contract, an issued residence permit
Auditors
- Evidence of how the company is run, never a filing receipt
Buyers
- The same evidence, at the moment something is at stake
Foreign tax authorities
- Where the decisions are physically taken, and whether that country claims residence
Federal Tax Authority
- The nil-rate conditions, under the corporate tax rules
Where the description of substance itself is useful — what "directed and managed here" required, and the record that proves it — the instrument that governed the closed window remains the clearest text this country has published on the subject, and it is read there rather than reproduced here. Four UAE obligations you are still being sold works through that reading in detail.
Why an older guide misleads, and how to date one in a sentence
You can establish roughly when a guide's reference material was last opened by the claims it makes. This is worth doing because the same source is usually confident about several other things too.
The last row is the practical one. Ask for any compliance package to be itemised with an instrument named against each line. A firm that can do that has read something recent. A firm that cannot is selling you its checklist from 2021.
the one question this page opens and closes on
- Ask for the package itemised, one line at a timeEach line either has an instrument behind it or it does not
- Name the financial year the line is charged forThe regime reaches only years ending on or before 31 December 2022
- Ask for the answer in writingThe written answer is the artefact you keep
- Can the firm name the instrument and the financial year
- It names bothIt has read something recent, and the rest of the package can be read the same way
- It can name neitherIt is selling you its checklist from 2021 — read every other line the same way
- Whether an instrument is named against each lineAsk before the deposit, not after
Economic substance is not the only place this happens, and dating a claim is a skill worth generalising: the UAE rule changes that made older advice wrong lists the dated changes between 2018 and 2025 that most stale setup guidance is still written against.
What a company formed now should actually do

Nothing on this page argues for less diligence. It argues for diligence pointed at the right thing.
- Confirm the current economic substance position with the Ministry of Finance, in writing or from its own published page, and keep a note of the date you read it. That note is worth more than any summary.
- Do not pay for an annual filing without an instrument named against it. One question, asked before the deposit: which instrument imposes this, for which financial year?
- Build the decision record from the first month. Dated resolutions signed in the UAE for the decisions that matter — a significant contract, borrowing, a hire, a pricing change. Approvals running through the company's own systems and its own email domain. A bank mandate whose signatories are the people the minutes say are deciding.
- Match the premises and the people to what the company says it does. A trading company holding stock is not credible from a shared desk; a one-person consultancy does not need a floor. "Adequate" was always measured against the level of the activity, which is why no number is available to plan against and why anyone quoting one is guessing.
- Settle the corporate tax question separately. Corporate tax is federal at 9% above AED 375,000 of taxable income and 0% at or below, no zone exempts you from it, and a free zone company holds the nil rate only on qualifying income as a Qualifying Free Zone Person meeting the conditions. That is where the substance test now has real money attached, and it is set out on UAE corporate tax.
- If the company has financial years inside the closed window, treat those separately. They are a historic file with its own limitation period, and that period is not stated anywhere on this page. Establish it from the published text before concluding either that the exposure is live or that it has lapsed.
- Keep the records regardless. Retention duties come from the company law and the tax procedures law, not from the economic substance regime, and they were never affected by its withdrawal.
Read together, those seven steps describe a direction rather than a form: the annual filing went away and the question it asked moved to parties who test it when something is at stake. That is the shift our view of where UAE business regulation is heading is built around, and it is why a company that can evidence how it is actually run is in a better position than one that could only file.
Where this is the wrong thing to be worried about
An honest page has to say when its own subject is a distraction, and for a large share of new companies this one is.
The company was incorporated after the window closed. Then it has no historic economic substance years at all, and nothing in the old regime has ever applied to it. A provider selling remediation for those years to a company that did not exist during them is selling you nothing.
Your real question is the nil rate, not economic substance. If what you want to know is whether your free zone company keeps 0%, the instruments are Article 18 of the corporate tax law and Cabinet Decision No. 100 of 2023, and the answer turns on qualifying income and the conditions attached to it. Substance is one condition among several. Reading about the withdrawn regime will not answer it.
Your real question is where the company is taxed. A UAE company whose decisions are taken in London, Berlin, Mumbai or Toronto invites that country to treat it as resident there, whatever the UAE charges. That is a two-jurisdiction question and it needs advice on both sides.
Your real question is the bank. If the account is the obstacle, the work is the evidence file, not the regime. Substance language does not help; a lease, a contract and an issued residence permit do. Our banking advisory page sets out what onboarding actually asks for.
You are being told substance means a bigger package. The combination that reads as no substance to every reader in the table above is a familiar one: a desk nobody sits at, no staff, no permits drawn, an owner living abroad, and projections of serious turnover. The fix for that is not a larger office. It is a business that is genuinely run from here, or an honest structure that does not claim to be.
You want a number to hit. There is none, and there never was. Every limb of the test was expressed as adequacy measured against the level of the activity. Anyone offering you a threshold to clear has invented it.
- The company was incorporated after the window closed
No historic years at all — remediation for them sells you nothing
- You want to know whether the free zone company keeps 0%
Article 18 of the corporate tax law and Cabinet Decision No. 100 of 2023
- The decisions are taken in London, Berlin, Mumbai or Toronto
A two-jurisdiction residence question, needing advice on both sides
- The bank account is the obstacle
The evidence file: a lease, a contract, an issued residence permit
- You have been told substance means a bigger package
A business genuinely run from here, or an honest structure that does not claim to be
- You want a number to hit
There is none — adequacy was measured against the level of the activity

What we would need to tell you where you stand
The company's incorporation date and its financial year end — those two alone decide whether any historic window applies to you at all. Whether it is a free zone or mainland company, and whether it intends to claim the nil rate. Where the people who take its decisions are physically resident. And whichever quotation or annual package is putting an economic substance line in front of you, with its wording intact.
From that we can tell you whether you have a historic file, whether your real exposure is the nil-rate condition or a foreign residence test, and which lines on the quote have an instrument behind them. Where the honest answer is that the regime never touched your company, that is what you will hear.
Frequently asked questions
Do I need an economic substance notification for a financial year that began after 2022?
On Cabinet Decision No. 98 of 2024, no. Confirm it against the Ministry of Finance's own page before relying on it, and keep a dated note of what you read. That note is the useful artefact: it dates your own diligence, and it is what you produce when a provider's annual package puts the filing back on the invoice a year later.
Does this mean the UAE stopped caring about substance?
No. It means the annual form stopped. The test is now applied by banks, auditors, buyers, foreign tax authorities and the Federal Tax Authority under the corporate tax rules, each on their own terms and at moments you do not control.
I paid a penalty for a period after the window closed. Can I get it back?
That is a genuine question rather than a sunk cost, and the mechanism and the authority to claim from both need confirming with the Ministry. This page states no mechanism because none has been verified here. What is worth assembling first is the evidence that the period sat outside the window at all: the company's incorporation date, its financial year end, and the instrument the penalty was issued under.
Which activities were Relevant Activities?
Deliberately not listed here. Take the published list for the years it applied to, and note that a company with no financial year inside that window never needed it. Reproducing the list would invite exactly the error this page is about, which is applying it to years it does not reach — a guide that prints the list without naming the years is the clearest sign its reference material is stale.
Is a flexi-desk with no staff enough?
Enough for what, and measured against what level of activity. For a genuinely one-person advisory business invoicing overseas clients it can be coherent. For a trading company holding stock, or a company projecting substantial turnover, it is the exact profile that fails with a bank and with the nil-rate conditions.
My provider still charges an annual economic substance fee. What do I say?
Ask which instrument imposes the filing, for which financial year, and ask for the answer in writing. A firm that cannot produce one has told you something useful about the rest of its checklist. Choosing a UAE formation consultant, and when not to sets out the other questions worth asking in writing.
Does any of this reduce what I have to keep?
No. Record retention comes from the commercial companies law and the tax procedures law. The withdrawal of a filing obligation changed neither. If anything the records matter more now, because the parties who ask about substance today — banks, auditors, buyers, foreign tax authorities and the Federal Tax Authority — ask for evidence of how the company is run rather than for a form, and they ask at moments you do not choose.
