A UAE bank account is granted on a risk file, not a document checklist

The checklists circulating online describe the easy half of this: the papers a bank asks for.

The licence arrived a month ago, the office is paid for, and the account is not open. This is the most common reason a properly formed UAE company still cannot trade, and it is almost never solved by producing another document. The bank is not auditing your paperwork. It is deciding whether your company is a risk it wants to carry for the next several years, and the answer is mostly determined before you walk in.

What the bank is actually deciding

A UAE bank onboarding a company is performing a regulated exercise under federal anti-money-laundering law — Federal Decree-Law No. 10 of 2025 and Cabinet Resolution No. 134 of 2025 — supervised by the Central Bank. It must identify you, identify the people who ultimately own and control you, understand the business you say you will do, form a view on whether the money you receive will be consistent with that, and monitor the account against that view afterwards. Where something does not fit, it must consider filing a report through the goAML platform operated by the Financial Intelligence Unit.

Two consequences follow, and they explain most of what frustrates founders.

The bank carries a liability you do not. If your account is used for something it should have caught, the consequence lands on the bank and its compliance officers. That asymmetry is why a thin file gets declined rather than queried, and why a bank will exit a relationship it no longer understands. Compliance-driven account closure is a normal event in this market, not an accusation.

And the decision is graded, not binary. Your file is scored for risk, and the score sets which committee approves it, what evidence is demanded, how quickly it moves and what you can do afterwards. Improving the grade is the only real lever you have.

The document set, and the three items that decide the outcome

Everything below will be requested. Only some of it is genuinely being assessed.

The three that decide it are the beneficial ownership chain, the evidence of real activity with named counterparties, and whether a controlling person is physically resident. Those are structural. The rest is administration.

The risk grade, and what moves it

Bank, payments firm, or nothing: the three outcomes

Not every entity should be pursuing a bank account, and the honest alternative is frequently better than a six-month rejection cycle.

A payments account is a legitimate operating arrangement, and describing it as a bank account is where people get into trouble. If a counterparty, a landlord or a government portal requires an account with a licensed bank, a payments account will not satisfy it, and you will discover this at the worst moment.

Neither, for now

Which currencies the money arrives and leaves in is a separate decision from which institution holds it, and it is worth settling early, because the currency your invoices are written in follows your company into its accounts, its borrowing and its tax return — a chain we trace in what the dirham's dollar link does to a foreign-owned company.

What "zero balance" and "minimum balance" actually describe

Brass scale weighs a rating dial against a stack of papers between an adviser and a visitor

A minimum balance is the bank's price for the relationship, charged as forgone interest rather than as a fee, and it is set per product, per segment and per risk grade. Accounts marketed without one recover the same economics elsewhere — transaction pricing, foreign exchange spread, a mandatory bundled product, a cap on what the account may do. No authority publishes these figures and no consultant can promise them, which is precisely why the number is used as a selling point. Get the schedule of charges from the bank in writing and read the exceptions.

What is happening while you wait

Nothing visible, which is why the wait feels arbitrary. In sequence: the relationship manager assembles the file and forms an initial view; screening runs against sanctions and adverse media for every owner and signatory; compliance reviews the beneficial ownership chain and the source of funds narrative; a committee appropriate to the risk grade approves, declines or returns it with conditions; the account is opened with limits, and sometimes with a restriction on international transfers until the first months of activity match what you described.

the stages behind a wait that looks arbitrary from outside

  1. The relationship manager assembles the fileAn initial view is formed before anyone else looks
  2. Screening runs against sanctions and adverse mediaFor every owner and every signatory
  3. Compliance reviews the ownership chainAnd the source of funds narrative behind it
  4. Does a committee appropriate to your risk grade approve the file as it stands
  5. ApprovedThe account opens with limits, sometimes with international transfers restricted
  6. Returned with conditionsThe evidence the grade demands is asked for before it moves again
  7. DeclinedNo reason is owed, so the next application has to be a different file

Two things shorten this materially. Answering the source of funds question before it is asked, with documents rather than assertions. And naming your first real customers and suppliers, with contracts, so the expected flows are verifiable rather than projected.

Because the elapsed time and the charges both belong to the bank rather than to any consultant, they are set out where they can be kept current: our corporate bank account page covers what banks test, the grounds on which applications are refused, and what an account costs and takes in practice.

What the account obliges you to afterwards

The relationship is a continuing disclosure, not a completed transaction. Changes in ownership, activity, premises or signatories have to reach the bank. Beneficial ownership information is maintained and kept current under the real beneficiary regime. Account information may be reported under the Common Reporting Standard and the FATCA arrangements the UAE participates in, so bank confidentiality is a customer-service proposition rather than a shield — the legacy version of this article promised secrecy, and that promise is simply not what a UAE account is.

The account is also where your tax audit trail lives. Corporate tax obligations require records that support the return, VAT at 5% requires evidence tied to invoices and receipts, and where your entity falls within the Wage Protection System, salaries must run through the required channel rather than out of a personal account.

Where a Dubai bank account is the wrong answer

Where the entity is offshore and does nothing onshore. An offshore company with no trade licence has no UAE activity for a UAE bank to observe. Either give it a reason to be banked here or bank it where its assets and counterparties are.

Where the business is pre-revenue with no named counterparties. There is nothing for the file to be built from. A payments account, or waiting until the first contracts exist, beats a decline on your record.

Where the sector is outside the bank's appetite. Sector exclusions are policy, not negotiation. Establish appetite in the first conversation and move on rather than spending months proving a case nobody will read.

Where nobody involved will be resident. A mandate with no resident signatory fails at the grading stage in most banks, and the workarounds proposed to solve it — nominee signatories, borrowed residents — are worse than the problem.

Where the account is wanted for personal flows. Running personal spending through a corporate account corrupts the transaction monitoring the bank relies on, and it is a common trigger for review and closure.

Where the structure was chosen for a tax outcome the activity does not support. A bank asking why the money arrives somewhere nobody works is asking the same question a tax authority will.

What we would want before we start

The full ownership chain to natural persons, with documents for every layer. Who will be resident and in what role. The first five customers and suppliers by name and country. Expected monthly inflow and outflow, in which currencies. Whether cash is involved. Whether any owner has been declined or exited by a bank anywhere before. Whether the activity touches a sector with known appetite limits. With those answers we can tell you which banks are worth approaching and, more usefully, which are not.

From there the work is mechanical rather than mysterious, and it is set out stage by stage under bank account opening assistance — screening the structure against appetite, assembling the file so the source of funds question is answered before it is asked, submitting it, and carrying the bank's follow-up questions until the account is open or the answer is honestly no.

Frequently asked questions

Can I open the account before the licence is issued?

No. The trade licence and the constitutional documents are the basis of the application, so there is nothing for a bank to assess until they exist. What you can do beforehand is assemble the source of funds evidence and the counterparty contracts, and establish whether your sector is inside the bank's appetite at all. That is where the time actually goes.

Does a free zone company have a harder time than a mainland company?

Not by rule, and sometimes in practice. A free zone entity with a desk-only address, no staff and no onshore customers presents a thinner substance picture, and the grade reflects that rather than the jurisdiction. A free zone company with premises proportionate to its plan, a resident signatory and named onshore counterparties is read like any other operating company.

Why was my application declined without a reason?

A bank is not obliged to explain a decline and generally will not, partly because explaining a suspicion can itself be prohibited. Treat the next application as a different file: narrow the activity, close the ownership chain, add a resident signatory, bring contracts.

Can a non-resident be the sole signatory?

Some banks will consider it, with additional verification and tighter limits. It lowers your grade in nearly every framework, because a mandate held entirely by non-residents leaves the bank nobody it can reach and identity evidence it cannot verify locally. Plan for a resident mandate holder with a genuine role if the structure allows one, rather than a nominee.

Can the account be closed after it is opened?

Yes, and it is a normal event in this market rather than an accusation. Banks exit relationships when activity stops matching the stated business, when a document request goes unanswered, or when a counterparty appears on a list. The relationship is a continuing disclosure, so changes in ownership, activity, premises or signatories have to reach the bank. Keep it current and answer requests promptly.
